MINUTES OF A REGULAR MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Tuesday, May 14, 2013 at 7:30 p.m. at the home of Carolyn Levy.

There were present at the meeting: Carole Princer Levy, Carolyn Levy, Don Perl, Paul Spindel and Ted Waksman, constituting all of the directors of the HOA and, therefore, a quorum. Also present was Tom Pallman of Stillman Management, Inc.

Carole Princer Levy acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.

Derek Meade, Rabbi Moshe Pomerantz and Bob Nadel joined the meeting, together with an engineer Rabbi Pomerantz had hired, Joe Michaels. They discussed the water problems at their units and the proposal of Mr. Michaels to remedy the problem. Mr. Nadel asked whether the HOA’s insurance policy might cover the problem, and it was agreed that Tom Pallman would speak to the HOA’s insurance carrier. The Board advised them that homeowners are responsible for maintaining and repairing their individual units. It was agreed that the discussion of this issue would continue after the insurance question is answered. They then left the meeting.

Mr. Perl gave a financial report. The April results were on budget. As of April 30, 2013 the balances of the Operating Account and Capital Account are approximately $39,900 and $193,200, respectively. A copy of the April expenditures report is attached to the minutes.

The Board then discussed the status of certain homeowners who are in arrears in paying their monthly maintenance charges and certain actions that have been and may be taken by the HOA with respect to such arrears.

Work has started on the three remaining “quads” at the lower end of the community. CertaPro and our engineering consultant report that wood rot is less than they anticipated on these units. Most home repairs will cost less than the budgeted $1,000 cost per home. The main sources of problems that have been found involve areas where vertical siding meets the sloping roof or the ground. Snow and water accumulate in these areas and wood rots. This is both a flashing and building code issue. Rather than replace the entire siding in these areas most homeowners have opted to have CertaPro replace the lowest 8 inches of siding with an engineered material which eliminates the problem and when painted, blends in with the color of the house.

Tom Pallman reported that the tennis court is being power washed this week to clean the surface of the court. He also advised the Board that arrangements are being made with Ron Vitti for new plantings in the community.

The Annual Meeting of Homeowners will be held on Tuesday, June 11, 2013 at 7:30 at Bonnie Briar Country Club. Any homeowner who is interested in running for the Board should contact Tom Pallman. Three directors will be elected at the Annual Meeting.

The pool is scheduled to open by Memorial Day weekend. We need volunteers to check the chlorine levels of the pool. Anyone willing to volunteer should contact Paul Spindel.

Audrey Gerstein has agreed to coordinate a community party for this summer, to be held at 1:00 on Saturday, June 22, 2013. Anyone who is willing to assist Audrey should contact her or Tom Pallman.

The next Board meeting is scheduled for June 11, 2013 at 7:00 at Bonnie Briar Country Club immediately prior to the Annual Meeting.

There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
