MINUTES OF A REGULAR MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Thursday, September 6, 2012 at 7:30 p.m. at the home of Ted Waksman.

There were present at the meeting: Carole Princer Levy, Carolyn Levy, Don Perl, Paul Spindel and Ted Waksman, constituting all of the directors of the HOA and, therefore, a quorum.

Carole Princer Levy acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.

The Board discussed the CertaPro painting contract and authorized and approved it. The contract was signed and will be sent to CertaPro for its signature. Based on responses received from Homeowners it was agreed that the color of the units will remain as is. The painting project will commence in the Spring of 2013. It was also agreed that one of the engineers who previously reported on the condition of the units will be retained to supervise the painting project.

Mr. Perl reported that the July financial results were on budget. Barring any unexpected charges the Operating Account and Capital Account balances are on budget. As of August 31, 2012 the balances of the Operating Account and Capital Account are $36,982 and $226,240, respectively. A copy of the August expenditures report is attached to the minutes.

The Board then discussed the status of the unpaid maintenance charges by Misa Brim, the owner of Unit No. 16, and the maintenance charges arrears report. The Board then discussed potential new capital projects.

The next Board meeting is scheduled for October 9, 2012 at 7:30 at the home of Don Perl.

There will be a meeting of Homeowners on Thursday, September 20, 2012 at 7:30 at Bonnie Briar County Club at which the Board will review the various issues relating to the decision to paint the community rather than re-side.

There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
