MINUTES OF A MEETING OF THE

BOARD OF DIRECTORS OF THE BROOKRIDGE HOA, INC.

Call to order at 7:37 PM.

A meeting of the Board of Directors of Brookridge Homeowners Association, Inc. (“HOA”) was held on

February 5, 2019 at the home of Barbara Schiff (Unit 8). Present at the meeting were: Carole Princer

Levy, Paul Spindel, Monica Teuscher, Barbara Schiff and Jeff Adler - all of whom are Directors

constituting a quorum. Also present was Leslie Molinoff from Condo Conversion sub-committee. Carole

Princer Levy acted as Chair of the meeting. Jeff Adler acted as Secretary.

Condominium Conversion report:

Leslie informed the Board that, since we have not received the “No Action” letter from the NY State

Attorney General’s (AG’s) office, our tax assessment as a Condo is still in an unsettled condition. The

Board agrees with this assessment. Leslie spoke with Mr. Elefante and was told that the AG’s office

wants him to produce an Offering Plan to give to all Brookridge homeowners. Mr. Elefante has yet to

receive any guidance from the AG’s office on this matter.

The Board previously asked Leslie to suggest to Mr. Elefante that his office produce a Draft of an

Offering Plan. Leslie suggested this to Mr. Elefante and still no action from his office and thus no

progress. The Board is losing patience with the apparent “foot-dragging” by Mr. Elefante and will

consider replacing Mr. Eleftante as our legal representative in the Condo conversion.

Leslie was thanked for her time and effort and left the meeting at 7:55PM.

Regular Board Business:

Minutes of the January Board meeting have been approved and posted.

Paul Spindel, Treasurer, reported on the bank balances as of Jan. 31, 2019.

The operating account balance was $ 33,875.00

The capital reserve account was $523,278.00

Total Funds: $557,153.00

Paul reported that in October he had completed negotiations with Sterling National Bank regarding the

interest they are paying on our CD’s. The Bank agreed to increase the interest rates on our reserve

funds to 1.5% and will adjust this rate if interest rate rises; so we will not be rolling-over the CDs as they

mature. Instead, the Board has moved the CDs that matured on October 20th. & January 20th. into the Sterling Bank reserve account.

Bloom and Streit, LLP (our HOA/Condo association CPAs) presented the Financial statement for 2018.

A copy will be distributed at the next annual meeting.

Reminder Again –

(1). The Board previously voted a $10.00 per month increase in Common Fees to begin January 2019. It is intended to cover costs for painting the pool and replace trees. Monthly Common

Charges are now $595.00. All those who have auto-pay that was not changed from $585 this month will

please add an additional $10 to the $595 Common Fees for February.

(2). Please pick-up after your dogs when you walk them. There have been complaints that dog waste

has been left on the grass or thrown into the public garbage. Please put all dog poop in your own

garbage and remind your guests remind your guests who may walk their dogs on our property to do the same.

(3). Homeowners are reminded that cars must be parked in driveways or Guest Parking. No one should

be park on either side of the road around the Upper Circle or Lower Circle,. Parking in these areas is

dangerous, illegal and will interfere with Fire or Emergency Vehicles access to the community.

(4). Owners of any car or truck parked in Guest Parking over 5 days per month will be charged an

additional $125 per month on their Common Charge invoice; unless prior arrangements are reached

with the Board.

Arrears report:

(A). Unit # 6: This Unit remains $32,114.65 in arrears. Wells Fargo Bank holds the mortgage on this property but has not begun a foreclosure action.

(B). Members are, reminded that if Common charges are in arrears, they will lose their pool and tennis court privileges as well as snow removal and roof repairs. In addition, late fees will accrue and a lien will be placed on their unit.

The Board also discussed:

(1). A reimbursement for Light Pole repairs near Unit #54. All lights in the complex are now working.

(2). Rehiring Bloom and Streit CPA for 2019. President Levy signed their agreement after the Board

agreed. Our association will be paying $3,200.00 a year for this service.

(3). The Board received a proposal from Chubb Group of Insurance Companies for D&O insurance and are still in the process of obtaining additional proposals from other companies before selecting a new policy for 2019.

(4). Verizon has finished installing the new phone line for the intercom at the Front Gate. In order to let

guests into the complex from your landline, when you receive a call from the intercom, press 9 on your

phone pad. This will open the gate.

(5). The Board sent a letter (through Stillman Management) to Scott Renda Pools LLC. This letter sets

a “swim by date” for the pool-opening of May 15th.

(6). The Board signed the Westchester County Department of Health’s Certification That Bathing Facilities Are Up To Date for 2019.

New Business:

Jeff Adler updates the Board on the Fire Hydrant private vs. public designation by summarizing a January 25 th email received from United New Rochelle Homeowners’ Association (UNRHOA). This issue seems to be between Suez (the owner of the Hydrants) and the city of New Rochelle (the renter/user). UNRHOA will be pressing forward with the simple solution of having New Rochelle request Suez to bill all water users at the same rate. This will likely be discussed in front of the Public Service Commission (PSC) this month since Suez is asking for a water rate increase and a rate hearing is scheduled in front of the PSC. UNRHOA is encouraging Suez to formulate a price for hydrant rental to give New Rochelle time to evaluate and endorse before this hearing.

There being no further business before the Board, upon motion made and duly seconded the meeting was adjourned at 8:40 PM.

The next Board meeting is scheduled for Tuesday April 16th. at Jeff Adler’s (Unit 29) at 7:30 PM.
