MINUTES OF A REGULAR MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Tuesday, October 9, 2012 at 7:30 p.m. at the home of Don Perl.

There were present at the meeting: Carolyn Levy, Don Perl, Paul Spindel and Ted Waksman, constituting a majority of the directors of the HOA and, therefore, a quorum.

Paul Spindel acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.

Mr. Perl gave a financial report and update on the 2012 results. The September results were on budget. Barring any unexpected charges the Operating Account and Capital Account balances are on budget. A copy of the September expenditures report is attached to the minutes.

Mr. Spindel reported on the status of the painting project which has commenced on two buildings in the lower circle. The average cost of siding repairs for the eight units in those buildings is approximately $2,250. As previously announced to the homeowners, the HOA will pay $1,000 of such costs per unit. The procedure for repairs is that CertaPro and the engineer retained by the HOA will determine the repairs deemed necessary and the cost. Stillman Management will then notify the homeowner of such determination. No repairs in excess of the $1,000 to be paid by the HOA will be made without the authorization of the homeowner. Any cost above the $1,000 would be paid by the homeowner directly to CertaPro. If repairs are deemed necessary but the homeowner does not agree to have them made, the CertaPro painting guaranty shall not apply to such unrepaired siding.

The Board then discussed the status of the unpaid maintenance charges by Misa Brim, the owner of Unit No. 16.

The next Board meeting is scheduled for November 13, 2012 at 7:30 at the home of Paul Spindel.

There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
