MINUTES OF A REGULAR MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Tuesday, December 11, 2012 at 7:30 p.m. at the home of Carolyn Levy.

There were present at the meeting: Carole Princer Levy, Carolyn Levy, Don Perl, Paul Spindel and Ted Waksman, constituting all of the directors of the HOA and, therefore, a quorum. Also present was Tom Pallman of Stillman Management, Inc.

Carole Princer Levy acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.

Mr. Perl gave a financial report and update on the 2012 results. The November results were on budget. Barring any unexpected charges the Operating Account and Capital Account balances are on budget. As of November 30, 2012 the balances of the Operating Account and Capital Account are $38,717 and $228,007, respectively. A copy of the November expenditures report is attached to the minutes.

The Board then discussed the proposed 2013 budget prepared by Mr. Perl. Based on the comments of the directors, Mr. Perl will present a revised 2013 budget to the Board at the next meeting for consideration and approval. The Board then discussed the renewal of the landscaping and snow removal contract with Ron Vitti, roof repair bills, the homeowner arrears report and status of the unpaid maintenance charges by Misa Brim.

Mr. Spindel reported on the status of the painting project and that the work on two buildings in the lower circle has been completed.

The next Board meeting is scheduled for January 15, 2013 at 7:30 at the home of Carole Princer Levy. The next two meetings after that were scheduled for February 12, 2013 at the home of Ted Waksman and March 12, 2013 at the home of Don Perl, each starting at 7:30.

There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
