MINUTES OF THE ANNUAL MEETING

OF

THE HOMEOWNERS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

The Annual Meeting of the Homeowners of Brook Ridge Homeowners Association, Inc. (the “HOA”), was held on, Tuesday, June 11, 2013 at the Bonnie Briar Country Club.

Immediately prior to the commencement of the meeting all members of the Board of Directors met to discuss the presentations to be made at the Annual Meeting.

Carole Princer Levy, as Chair of the meeting, then called the Annual Meeting to order. Ted Waksman acted as Secretary of the meeting. A copy of the notice of meeting was presented. Judge Levy announced that a quorum was present at the meeting. She then gave the President’s report as to the status of the community and actions taken during the past year. Ted Waksman reported on the status of the owner of Unit 16 and one other homeowner who are in arrears in their maintenance payments and the actions taken by the Board with respect thereto. Paul Spindel reported on the status of the painting project. Don Perl then gave the Treasurer’s report as to the financial condition of the HOA. He reported that the HOA’s operating and capital accounts are on budget, and discussed certain capital expenditures anticipated to be incurred during the next year, including resurfacing the tennis court. Carolyn Levy then gave a report on the landscaping of the community.

The next order of business was the election of three directors. The terms of office of Carolyn Levy, Paul Spindel and Ted Waksman were expiring. The following people were nominated for election: Paul Spindel, Ted Waksman and Barbara Schiff, each of whom was elected.

There was then a discussion of amending the HOA’s Declaration to eliminate the provision requiring the HOA to pay for roof repairs. The Board will consider whether to propose such an amendment at a later date, taking into account the views expressed by certain homeowners at the meeting.

Judge Levy then opened the floor for any new business and discussion. The meeting was then adjourned.

THE BOARD OF DIRECTORS

OF

BROOKRIDGE HOMEOWNERS ASSOCIATION, INC.

A meeting of the Board of Directors of Brookridge Homeowners Association, Inc. (the “HOA”) was held on June 11, 2013, at 8:23 p.m. at Bonnie Briar Country Club, Larchmont, NY, at the conclusion of the Annual Meeting of HOA. The purpose of the meeting was to elect officers and to set a schedule of monthly meetings of the Board of Directors.

Present at the meeting were: Carole Princer Levy, Ted Waksman, Paul Spindel, and Don Perl, all of whom are Directors, constituting a quorum. Absent from the meeting was Barbara Schiff. Also present was Tom Pallman of Stillman Management, Inc.

Ted Waksman was elected President; Carole Princer Levy, Vice-President and Secretary; Paul Spindel, Vice-President; Don Perl, Vice-President and Treasurer; Barbara Schiff, Vice-President in charge of Landscaping.

The Board set the following schedule of meetings:

July 9, 2013, at the home of Ted Waksman- Unit #45

August 13, 2013, at the home of Carole Princer Levy- Unit #54

September 10, 2013, at the home of Barbara Schiff- Unit #8

October 8, 2013, at the home of Paul Spindel – Unit #1

November 12, 2013, at the home of Don Perl- Unit #9

The Pool Party will be held Saturday, June 22, 2013, at 1:00PM at the Gazebo.

There being no further business to come before the Board, upon motion duly made, seconded and unanimously carried, the meeting was adjourned at 8:35.
