MINUTES OF A MEETING OF THE

BOARD OF DIRECTORS OF THE BROOKRIDGE HOA, INC.

Call to order at 7:34 PM.

A meeting of the Board of Directors of Brookridge Homeowners Association, Inc. (“HOA”) was held on May 28, 2019 at the home of Monica Teuscher (Unit 43). Present at the meeting were: Carole Princer Levy, Paul Spindel, Monica Teuscher and Jeff Adler - all of whom are Directors constituting a quorum. Also present were: Leslie Molinoff from Condo Conversion sub-committee and new unit owners Peter & Sharon Spenser (Unit #46). Carole Princer Levy acted as Chair of the meeting. Jeff Adler acted as Secretary.

The Spensers had all of their questions answered by Board Members, thanked the Board for meeting with them and left the meeting at 7:44 PM.

Condominium Conversion report:

Leslie informs the Board that, since, we have not received a “No Action” letter from the NY State Attorney General’s (AG’s) office our tax assessment as a Condo is still in an unsettled condition. (We did not receive our tax abatement for 2018.) Unless we get this letter by June 20th we will lose our chance at tax abatement for 2019 as well. Leslie reports that Ralph Elefante (our attorney) feels that once NY State provides the No Action letter we will receive a tax rebate refund and this may be retroactive.

Mr. Elefante, was informed by the NYAG’s office, that the Offering Plan he submitted on behalf of all Brookridge homeowners is deficient. Ralph also received a list of questions from the AG’s office and has prepared revisions to address these issues. These must be submitted to the AG’s office by June 20th.

Mr. Elefante previously stated that the Offering Plan will become statutory in 30 days; once our revisions are accepted. The AG’s office will review the revised offering plan to make sure deficiencies were corrected. A second round of revisions may be expected before the No Action letter is issued.

The Board will continue to grieve our property taxes.

Regular Board Business:

Minutes of the April Board meeting have been approved and posted.

Paul Spindel, Treasurer, reported on the bank balances as of May 28, 2019.

The operating account balance was $ 40,228.01

The capital reserve account was $ 57,819.60

CD Signature Bank (9/14/19) $500,466.17

Total Funds: $598,513.78

Paul reports that as of May 1st we projected a $14,837 year-end surplus v our estimated budgetary P/L. Income is up due to parking fees, collection of delinquent common charges and increased interest earned by moving our reserve fund to Signature Bank (approximately $835/month). Paul expects this surplus to be reduced later in the year based on expenditures planned on fixing the sprinkler system and new planting.

Reminder Again :

(1). Please pick-up after your dogs when you walk them. There have been complaints that dog waste has been left on the grass or thrown into the public garbage. Please put all dog poop in your own garbage and remind your guests who may walk their dogs on our property to pick-up after their dogs.

(2). Homeowners are reminded that cars must be parked in driveways or Guest Parking. No one should be parking on either side of the road around the Upper Circle or Lower Circle, Parking in these areas is dangerous, illegal and would interfere with Fire or Emergency Vehicles access to the community. The Board approved two “No Parking in Circle” signs that will be placed at the circles at either end of the complex.

(3). Any car or truck parked in Guest Parking over 5 days per month will be charged an additional $125 per month on their Common Charge invoice; unless prior arrangements are reached with the Board.

Arrears report:

Unit # 6: This Unit remains $35,744.65 in arrears. Wells Fargo Bank holds the mortgage on this property has just begun a foreclosure action.

The Board resolved all other outstanding arrears.

Members are, again, reminded that if Common charges are in arrears they will lose their pool and tennis court privileges as well as snow removal and roof repairs. In addition, late fees will accrue and a lien will be placed on their unit. If unresolved arrears are referred for collection and addition legal expenses are incurred.

The Board also discussed:

(1). Our pool-opening occurred officially on May 28th. Volunteers are working with Paul and Monica to help with the pool. The Board has received multiple complaints regarding the behavior of unsupervised children in the pool and on the deck. Parents please be respectful of the rights of others at the pool. Remember we have no Lifeguard on duty and poor behavior can cause safety issues and become liability issues for all Homeowners

(2). The Board received and signed the NY State Board of Directors Conflict of Interest Form for 2019. There are no conflicts of interest that any Board members have.

(3). Landscaping report- New planters were received for the gate and pool area. Additional plantings will be done near tennis courts and around the complex.

New Business:

The Board voted to ask all members, at the annual meeting, whether we should develop a greater on-line presence for the community including Facebook site and site on Our Neighborhood website.

There being no further business before the Board, upon motion made and duly seconded the meeting was

adjourned at 8:46 PM.

The next Board meeting is scheduled for 2019 Annual Meeting Tuesday June 25 @ Westchester JCC 7:30PM
