MINUTES OF A REGULAR MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.

A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Monday, April 8, 2013 at 7:30 p.m. at the home of Paul Spindel.

There were present at the meeting: Carole Princer Levy, Carolyn Levy, Don Perl, Paul Spindel and Ted Waksman, constituting all of the directors of the HOA and, therefore, a quorum. Also present was Tom Pallman of Stillman Management, Inc.

Carole Princer Levy acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.

Mr. Perl gave a financial report. The March results were slightly off budget due to the failure of certain homeowners to timely pay their monthly maintenance fees. As of March 29, 2013 the balances of the Operating Account and Capital Account are approximately $40,000 and $267,000, respectively. A copy of the March expenditures report is attached to the minutes.

The Board then discussed the status of certain homeowners who are in arrears in paying their monthly maintenance charges and certain actions that might be taken by the HOA with respect to such arrears.

Homeowners are advised that the painting project is scheduled to resume in mid-April, commencing in the lower circle. Homeowners will be notified one week before the commencement of painting of their units.

Tom Pallman reported that JP McHale has been retained to do the tree and shrub spraying.

The Annual Meeting of Homeowners will be held on Tuesday, June 11, 2013 at 7:30 at Bonnie Briar Country Club.

The Board discussed the current provision of the HOA’s Declaration which provides for the HOA to pay for ordinary maintenance repairs of roofs. Since the original roofs are past their ordinary life expectancy and many Homeowners have replaced their roofs, the Board unanimously decided to recommend to the Homeowners that the HOA’s Declaration be amended at the Annual Meeting to eliminate this provision. Roof repairs would then be treated as an individual Homeowner expense. The affirmative vote of at least two-thirds of the Homeowners will be required for this amendment to be adopted.

The Board then discussed resurfacing the tennis court. Based on the current balance of the HOA’s capital account and the cost of the painting project, it was agreed to defer consideration of the tennis court project until next spring.

Homeowners are advised that they can apply for an adjustment of their real estate taxes. Those who are interested in pursuing this may contact Pat Ciulla at 914-774-2010. She has successfully arranged for tax reductions for several Homeowners. She has agreed to charge 45% of the first year’s tax savings.

The pool is scheduled to open by Memorial Day weekend.

If anyone would like to volunteer to coordinate a community party for this summer, they should contact Tom Pallman.

Homeowners are advised to cover their recyclable containers when they are left at the curb and to clean-up, and to have their guests clean-up, after their dogs.

The next two Board meetings are scheduled for May 14, 2013 at 7:30 at the home of Carolyn Levy and June 11, 2013 at 7:00 at Bonnie Briar Country Club immediately prior to the Annual Meeting.

There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
