MINUTES OF A MEETING

OF THE BOARD OF DIRECTORS

BROOKRIDGE HOA, INC

A meeting of the Board of Directors of Brookridge Homeowners Association, Inc. (the “HOA”) was held on March 17, 2015 at the home of Carole Princer Levy. Present at the meeting were: Paul Spindel, Carole Princer Levy, Barbara Schiff, Monica Teuscher, and Jeff Adler, all of whom are Directors, constituting a quorum. Also present was Tom Pallman of Stillman Management, Inc.

Carole Princer Levy acted as Chair of the meeting; Jeff Adler acted as Secretary.

Call to order at 7:45 p.m.

Minutes of the prior meeting have been approved and posted.

Bloom and Streit, LLP, CPA’s for the HOA, has sent copies of the 2014 Brookridge Homeowners Association Financial Report to the Board. Their fee for 2015 will be $3,200; Paul and Tom will try to negotiate a lower fee.

Paul Spindel, Treasurer, reported on the financial highlights of the Budget. Paul expects finances to be about the same as last year, except we are running higher on snow removal this year. The financial situation has improved due to the fact that legal costs have stopped on the Brim matter. However, Brim still owes $53,474.60 in total arrears. The Board also discussed another Homeowner who is in arrears. In addition, Paul reported that the projected overrun for year end is approximately a $2000.

Balances are as follows:

Operating account - $11,378.00 as of 2-28-15.

Capital account - $234,916.00 as of 2-28-15.

Paul reported on the Sheriff’s Sale of Unit #16 where Stillman Management was outbid by Mr.Louis Zazzarino, who obtained the house for $3000. Tom Pallman reported that he was in contact with Mr. Zazzarino many times between February 5 and March 3. Mr. Zazzarino stated that he was unable to negotiate a settlement of the existing mortgage with Citibank and he has decided to do nothing with the unit. Paul and Tom expect the unit to be uninhabited until Citibank forecloses.

Tom Pallman reported that Eastco Manufacturing Corp. inspected the gate and has reported that the gate is not repairable. Eastco recommends replacing the gate and submitted a proposal for replacement After discussion, the Board agreed to replace the gate and asked Tom to obtain a quote from another company for comparison.

Barbara and Monica reported on the 2015 Seasonal Renewal Spray Program by J.P. McHale, which will begin in April.

The Board discussed the plans to landscape the upper and lower islands. Barbara and Monica will be meeting with Ron Vitti during the next two weeks and walking the complex with him to determine the landscaping needs of the HOA.

The Board discussed the issue of roof repair which, as outlined in the Community Declaration, is due for renewal at the end of this year. Since the original roofs in the community are now 30 years old and more than half the Homeowners have replaced their roofs, the Board feels it unreasonable to continue repairing old roofs and recommends that roof repair become an individual Homeowner responsibility.

The Board reminds Homeowners that CertaPro will be coming back to do its annual touch­up later this spring. Homeowners should send lists of areas that need work to Tom Pallman at Spillman.

There being no further business before the Board, upon motion made and duly seconded, the meeting was adjourned at 8:33 pm.
