MINUTES OF A REGULAR MEETING
OF
THE BOARD OF DIRECTORS
OF
BROOK RIDGE HOMEOWNERS ASSOCIATION, INC.
A Regular Meeting of the Board of Directors of Brook Ridge Homeowners Association, Inc. (the “HOA”) was held on Thursday, February 9, 2012 at 7:30 p.m. at the home of Carolyn Levy.
There were present at the meeting: Carole Princer Levy, Carolyn Levy, Paul Spindel, Enrique Teuscher and Ted Waksman, constituting all of the directors of the HOA and, therefore, a quorum. Also present was Grace DiMaira of Stillman Management, Inc.
Carole Princer Levy acted as Chair of the meeting and Ted Waksman acted as Secretary thereof.
Derek Meade (Unit No. 50) joined the meeting to discuss certain issues concerning work done on his house and his pending litigation with certain contractors. He then left the meeting.
Mr. Spindel gave a financial report and update on the 2012 results and projected 2012 budget. January results were on budget. Barring any unexpected charges the Operating Account and Capital Account balances are on budget. As of January 31, 2012 the balances of the Operating Account and Capital Account are $16,214 and $192,183, respectively.
The Board then discussed the continuing costs for maintenance of roofs for homeowners that have not yet replaced their roofs. The following resolution was then unanimously adopted:
RESOLVED, that the Homeowners Association will continue to pay for ordinary maintenance of roofs (except for repairs related to skylights) for up to three times in any twelve month period for a homeowner, unless otherwise approved by the Board.
The Board then discussed the issues relating to painting and/or re-siding of the development and the need to obtain additional estimates for such work. The Board also discussed the hiring of a new attorney for the HOA and the recommendations that have been received.
The next Board meeting is scheduled for March 13, 2012 at 7:30 p.m. at the home of Carole Levy.
There being no further business to come before the meeting, upon motion duly made, seconded and unanimously carried, the meeting was adjourned.
