MINUTES OF A MEETING

OF

THE BOARD OF DIRECTORS

OF

BROOKRIDGE HOMEOWNERS ASSOCIATION, INC.

A meeting of the Board of Directors of Brookridge Homeowners Association, Inc. (the “HOA”) was held on August 13, 2014, at the home of Paul Spindel . Present at the meeting were: Carole Princer Levy, Ted Waksman, Paul Spindel, Barbara Schiff and Monica Teuscher, all of whom are Directors, constituting a quorum. Also present was Tom Pallman of Stillman Management, Inc.

Ted Waksman acted as Chair of the meeting; Carole Princer Levy acted as Secretary.

Call to order at 7:00 p.m.

Minutes of the prior meeting have been approved and posted.

Paul Spindel, Treasurer, reported that we are about $15,000 over budget, due to ongoing legal costs with respect to Unit 16, roof repairs, and costs for heating the pool. Nevertheless, our capital account keeps growing. The Board discussed reallocating the common charges to increase the operating funds and decrease the contribution to the reserve account. There would be no change to the monthly maintenance amount. He reported that our balances are as follows:

Operating Account- $ 12,398 as of July 31, 2014

Reserve Account - $ 177,663 as of July 31, 2014

The Board discussed the homeowner in Unit 16, who continues to be in arrears on her maintenance payments, and the status of our efforts to resolve the arrears. We continue our efforts to collect, including a potential judicial sale of her unit.

The Board approved a homeowner installation of an on-grade patio behind her house.

The painting/siding project is finishing a few more touch-ups.

The Board discussed the current planting of shrubs by Ron Vitti and homeowner plantings. It also discussed projected plantings in the two circles.

McHale will spray for wasps found in the pool area.

Con Edison has finished the electrical repairs near the pool. The Board discussed resealing the whole road, but agreed not to do it at this time.

The pool will remain open until the propane is used up, which is anticipated to be mid-September. Homeowners are reminded to lock the gate when leaving if you are the last person to leave the pool.

The Board discussed the provision in the Declaration which provides for HOA payment of roof repairs. The provision expires December 31, 2015, but will be reinstated automatically unless the provision is amended by 2/3 vote of the homeowners. The Board is considering proposing that the Declaration be amended at the next Annual Meeting to eliminate the provision of HOA responsibility for roof repairs, effective January 1, 2016 due to the cost of repairs on those original 30 year old roofs that have not been replaced by the homeowner.

There being no further business before the Board, upon motion made and duly seconded, the meeting was adjourned at 8:00 pm.

The next meeting of the Board of Directors will be on Wednesday, September 10, 2014 at the home of Barbara Schiff at 7:00 pm.
