Articles of Association

ARTICLE I

The Association

1. The Association shall have the name “Frankfurt International School e.V.” and the Association shall be registered in Oberursel (Taunus). The Association shall be organized and operated exclusively and directly for non-profit purposes within the meaning of the section 'Tax-Privileged Purposes' of the German Tax Code.

2. The purpose of the Association shall be the education and development of children and adolescents. It shall offer education with English as the language of instruction for the purpose of promoting learning, culture and international understanding, without any political or religious aims and shall, thereby, serve the international community of the Frankfurt area and the Rhein-Main area. No substantial part of the Association’s activities shall be carrying on propaganda, or otherwise attempting to influence legislation; nor shall it participate in, or intervene in, any political campaign on behalf of any candidate for public office. This prohibition shall include the publication and distribution of statements. The purpose of the Association shall include procurement of funding for other tax-privileged corporations for the achievement of their tax-privileged purposes (§58 Nr. 1 AO, German Tax Code).

3. The purpose pursuant to the Articles of Association shall be realized in particular through the operation of an international school and, when required, one or more international kindergarten(s). Students shall be accepted subject to policies established by the Board of Trustees and according to educational criteria established by the Head of School and without regard to race, creed, color, sex or nationality. 25 % of the students shall be admitted without regard to their parents’ financial circumstances, in accordance with article 7, paragraph 4, sentence 3 GG and the school laws of the State of Hesse.

4. The Association shall act altruistically; it shall not primarily pursue its own economic interests. The Association shall devote any net proceeds to the improvement of the school’s educational and building program. Funds of the Association may be used solely for purposes consistent with these Articles. Members of the Association may not receive any share of the profits in their capacity as members, or any payments from the funds of the Association. The Association may not favor any person by expenditures which are foreign to the purposes of the Association or by disproportionately high remuneration. The Association shall not employ persons for purposes not connected with the work of the school.

Vereinssatzung

ARTIKEL I

Der Verein

1. Der Verein führt den Namen “Frankfurt International School e.V.” und hat seinen Sitz in Oberursel (Taunus). Der Verein verfolgt ausschließlich und unmittelbar gemeinnützige Zwecke im Sinne des Abschnitts 'Steuerbegünstigter Zwecke' der Abgabenordnung.

2. Zweck des Vereins ist die Erziehung und Bildung von Kindern und Jugendlichen. Er bietet Bildungsmöglichkeiten in englischer Unterrichtssprache zum Zweck der Förderung von Wissen, Kultur und internationaler Verständigung, ohne politische oder religiöse Ziele, und dient damit der internationalen Bevölkerung im Raume Frankfurt und im Rhein-Main-Gebiet. Er wird sich in seiner wesentlichen Tätigkeit weder propagandistisch betätigen noch anderweitig um eine Einflußnahme auf die Gesetzgebung bemühen noch wird er sich an einer politischen Kampagne eines sich um ein öffentliches Amt bewerbenden Kandidaten beteiligen oder darauf Einfluß nehmen. Dieses Verbot gilt auch für eine Veröffentlichung und Verbreitung von Erklärungen. Zweck des Vereins ist auch die Mittelbeschaffung für andere steuerbegünstigte Körperschaften zur Verwirklichung von deren steuerbegünstigten Zwecken (§58 Nr. 1 AO).

3. Der Satzungszweck wird verwirklicht insbesondere durch den Betrieb einer internationalen Schule und, nach Bedarf, durch den Betrieb eines oder mehrerer internationalen Kindergärten. Die Schüler werden aufgenommen nach Richtlinien, die der Beirat festsetzt, sowie nach pädagogischen Kriterien, die der Schuldirektor festsetzt, ohne Rücksicht auf Rasse, Religion, Hautfarbe, Geschlecht oder Nationalität. Bei 25 % der Schüler darf keine Sonderung nach den Besitzverhältnissen der Eltern i.S.d. Art. 7 Abs. 4 Satz 3 GG und des Hessischen Schulgesetzes vorgenommen werden.

4. Der Verein ist selbstlos tätig; er verfolgt nicht in erster Linie eigenwirtschaftliche Zwecke. Reinertrag des Vereins ist zur Förderung des Erziehungs- und Bauprogramms der Schule zu verwenden. Mittel des Vereins dürfen nur für die satzungsmässigen Zwecke verwendet werden. Mitglieder des Vereins dürfen in ihrer Eigenschaft als Vereinsmitglieder keinerlei Gewinnanteile oder irgendwelche sonstigen Zuwendungen aus dem Vereinsvermögen erhalten. Der Verein darf keine Person mit Zahlungen begünstigen, die dem Zweck des Vereins fremd sind, und darf keine unverhältnismäßig hohen Zuwendungen zahlen. Der Verein darf keine Personen für Zwecke, die nicht im Zusammenhang mit den Aufgaben der Schule stehen, beschäftigen.

ARTICLE II

Membership

Mitgliedschaft

1. The parent(s), legal guardian(s) and/or de facto guardian(s) of children enrolled in the school are automatically regular members of the Association, except as set forth in paragraph 4 of this article. At no time may more than two people derive their right to membership in the Association from the same child. In case of doubt, the Board of Trustees shall determine who derives the right to membership in the Association from a particular child.

2. Parents or guardians whose children leave the school shall no longer be members of the Association.

3. Honorary members may be appointed by unanimous resolution of the Board of Trustees. Such members may neither vote nor hold office in the Association.

4. When one or both parents or guardians of any student attending the school are either an employee or employees of the school, or parents or guardians of a student or students receiving a tuition rebate, both parents or guardians shall automatically be special members.

5. The Board of Trustees shall ensure that an official membership list containing the current address of each member of the Association, the category of membership (whether regular, special or honorary), etc. is established and maintained.

6. A member may be expelled by resolution of the Board. Notice of such an expulsion shall be communicated to the member concerned by registered letter stating the Board’s reasons for that decision. This decision may be appealed at the next general membership meeting and may be overruled by a two-thirds vote.

Elternteile, Vormund(e) und/oder de facto Vormund(e) von Kindern, die die Schule besuchen, werden ohne weiteres ordentliche Mitglieder, vorbehaltlich der Bestimmung in Abs. 4 dieses Artikels. Von ein und demselben Kind dürfen höchstens zwei Personen ihre Mitgliedschaftsrechte ableiten. In Zweifelsfällen entscheidet der Beirat, welche Personen berechtigt sind, von einem bestimmten Kind Mitgliedschaftsrechte abzuleiten.

2. Eltern oder Vormunde, deren Kinder die Schule verlassen, verlieren dadurch automatisch ihre Mitgliedschaft.

3. Ehrenmitglieder können durch einstimmigen Beiratsbeschluss ernannt werden. Sie haben jedoch kein Stimmrecht und sind auch nicht befugt, ein Amt innerhalb des Vereins innezuhaben.

4. Steht ein Elternteil/Vormund oder stehen beide Elternteile/Vormunde eines Kindes, welches die Schule besucht, in einem Arbeitsverhältnis zur Schule oder handelt es sich bei dem Kind um den Empfänger einer Schulgeldermäßigung, werden die Eltern/Vormunde automatisch außerordentliche Mitglieder.

5. Der Beirat trägt Sorge dafür, dass eine offizielle Mitgliederliste, aus der die laufenden Anschriften sämtlicher Vereinsmitglieder sowie die Art der Mitgliedschaft (ordentliche oder außerordentliche Mitglieder bzw. Ehrenmitglieder), usw. hervorgehen, aufgestellt und fortgeführt wird.

6. Mitglieder können durch Beschluß des Beirats ausgeschlossen werden. Der Beschluß ist dem betreffenden Mitglied mittels Einschreiben unter Angabe der für die Entscheidung des Beirates maßgeblichen Gründe mitzuteilen. Gegen diese Entscheidung kann anläßlich der nächsten ordentlichen Mitgliederversammlung Einspruch erhoben werden, wo sie durch Zweidrittelmehrheit der Stimmen wieder aufgehoben werden kann.

ARTICLE III

Membership Meeting

1. The membership meeting has ultimate responsibility and authority exercised in accordance with these Articles of Association for the affairs of the Association. The Board of Trustees is responsible to the membership for the conduct of the affairs of the Association.

2. Each general membership meeting shall be asked to ratify by resolution; the actions taken by the Board of Trustees on behalf of the Association during the preceding period.

3. At least one general membership meeting shall be held during each school year, usually in March, during which the proposed budget for the following school year will be presented. Meetings shall be convened by the Board in the sense of § 26 German Civil Code (Article IV.4.) and announced in writing to the general membership, with an agenda, so as to give 21 days’ notice.

4. An extraordinary meeting of the members of the Association shall be convened by the chair of the Board of Trustees if a written application signed by at least 10 % of the then regular members of the Association is submitted to the chair. Such application must state the reason and purpose for seeking the extraordinary meeting. Such an extraordinary meeting must be held within 30 days of the receipt of the application. It shall be convened by the Board in the sense of § 26 German Civil Code (Article IV.4.) and announced in writing to the general membership so as to give 21 days’ notice.

5. Each regular or special member shall be entitled to one vote.

6. Members of the FIS community who are not special members, and others as recognized by the chair, may attend general membership meetings as observers without voting rights. They may be allowed to speak if recognized by the chair.

7. Minutes shall be taken of each membership meeting, signed by the chair of the Board, made available to the membership as soon as possible after the meeting, and approved at the next membership meeting.

ARTIKEL III

Mitgliederversammlung

1. Oberster Träger der Verantwortung und Befugnisse nach dieser Satzung für die Angelegenheiten des Vereins ist die Mitgliederversammlung. Der Beirat ist den Mitgliedern gegenüber für die Führung der Angelegenheiten des Vereins verantwortlich.

2. Jede ordentliche Mitgliederversammlung beschließt über die Entlastung des Beirats für Tätigkeiten im Auftrag des Vereins für den vorangegangenen Zeitraum.

3. Während eines Schuljahres findet mindestens eine ordentliche Mitgliederversammlung statt, gewöhnlich im März, in der der Haushaltsplan für das darauffolgende Schuljahr vorgelegt wird. Schriftliche Ankündigung und Einladung der Mitglieder erfolgen durch den Vorstand im Sinne von § 26 BGB (Artikel IV.4.) mit einer Frist von 21 Tagen unter Angabe der Tagesordnung.

4. Vom Vorsitzenden ist eine außerordentliche Mitgliederversammlung einzuberufen, wenn ein entsprechender schriftlicher Antrag, der von mindestens 10 Prozent der jeweiligen ordentlichen Mitglieder unterzeichnet ist, beim Vorsitzenden gestellt wurde. Im Antrag sind die Gründe und der Zweck für die außerordentliche Mitgliederversammlung anzugeben. Eine solche außerordentliche Mitgliederversammlung muß innerhalb von 30 Tagen nach Zugang eines entsprechenden Antrages abgehalten werden. Schriftliche Ankündigung und Ladung erfolgen durch den Vorstand im Sinne von § 26 BGB (Artikel IV.4.) an sämtliche Mitglieder unter Einhaltung einer Frist von 21 Tagen.

5. Jedes ordentliche und außerordentliche Mitglied hat eine Stimme.

6. Mitglieder der FIS-Gemeinschaft, die nicht außerordentliche Mitglieder sind, sowie andere, vom Vorsitzenden zugelassene Personen dürfen ordentlichen Mitgliederversammlungen als Beobachter beiwohnen, haben jedoch kein Stimmrecht. Es darf ihnen gestattet werden zu sprechen, wenn sie vom Vorsitzenden zugelassen werden.

7. Über alle Mitgliederversammlungen wird ein Protokoll geführt, welches vom Vorsitzenden unterzeichnet, unverzüglich nach der Versammlungden Mitgliedern verfügbar gemacht, und anläßlich der nächsten Mitgliederversammlung genehmigt wird.

ARTICLE IV

Board of Trustees

1. The Board of Trustees shall be composed of twelve voting members:
a. six elected by the members of the association;
b. five appointed by the Board of Trustees; and
c. one elected by the faculty and staff.
A member of the Board of Trustees shall be appointed or elected for a two-year term.

2. The Board shall annually elect four officers from their midst a chair, vice chair, treasurer and secretary. This shall be done at a Board meeting no more than 21 days after the election of the Board of Trustees.

3. The duties of each member of the Board of Trustees shall be determined by the chair. The Board of Trustees may adopt by-laws or policies inter alia stipulating the responsibilities and the conduct of the Board of Trustees.

4. The chair, vice chair, treasurer and secretary are the "Vorstand" according to paragraph 26 of the “Bürgerliches Gesetzbuch”, the civil code of the Federal Republic of Germany. Chair and vice chair shall have the right to represent the Association alone, treasurer and secretary shall represent the Association jointly.

5. The school shall defend, indemnify and hold harmless members of the Board of Trustees, individually and as a Board, for any demands, claims or actions brought against them while acting in good faith in their capacity as Trustees on behalf of the school.

6. Tuition and school fees shall be established by the Board of Trustees.

7. The Board of Trustees shall be entitled on behalf of the Association to establish in accordance with §§80 et seq. of the German Civil Code an independent foundation having legal capacity, and to endow it with assets. The Foundation shall pursue the following non-profit purposes within the meaning of §§51 et seq. of the Tax Code: the promotion of the education and development of children and adolescents by procuring funding within the meaning of §58 Nr. 1 of the Tax Code for the realization of the charitable purpose of this Association, as well as the direct promotion of the education and development of children and adolescents. The Foundation shall bear the name 'FIS Foundation'. The Foundation may also be established in such a way that it may disburse all or parts of its assets for the Foundation's purpose. In other respects, the Board of Trustees is hereby entrusted with structuring the Foundation's charter using appropriate discretion. The Board of Trustees is also entitled to make donations to the Foundation subsequent to the Foundation's establishment.

ARTIKEL IV

Beirat

1. Der Beirat setzt sich aus zwölf stimmberechtigten Mitgliedern zusammen:
a. sechs von den Mitgliedern des Vereines gewählt,
b. fünf vom Beirat ernannt und
c. eines von der Lehrerschaft und den Angestellten gewählt.
Ein Beiratsmitglied wird für eine Amtszeit von zwei Jahren ernannt bzw. gewählt.

2. Der Beirat wählt jährlich vier Repräsentanten aus seiner Mitte, je einen Vorsitzenden, stellvertretenden Vorsitzenden, Schatzmeister und Schriftführer. Die Wahl hat anläßlich einer Beiratssitzung innerhalb von 21 Tagen nach der Beiratswahl zu erfolgen.

3. Die Aufgaben der einzelnen Beiratsmitglieder werden durch den Vorsitzenden bestimmt. Der Beirat kann sich eine Geschäftsordnung oder Richtlinien geben, die unter anderem die Aufgaben und die Leitung des Beirats regelt.

4. Der Vorsitzende, der stellvertretende Vorsitzende, der Schatzmeister und der Schriftführer sind der Vorstand im Sinne des § 26 BGB. Der Vorsitzende und der stellvertretende Vorsitzende vertreten den Verein jeweils allein, der Schatzmeister und der Schriftführer vertreten den Verein jeweils gemeinsam mit einem anderen Vorstandsmitglied im Sinne von § 26 BGB.

5. Die Schule hält die einzelnen Beiratsmitglieder sowie den Beirat als Organ gegenüber eventuellen Forderungen und Klagen, die gegen sie erhoben werden, schadlos, wenn sie in ihrer Eigenschaft als Beiratsmitglieder im Interesse der Schule handeln.

6. Der Beirat bestimmt die Höhe des Schulgeldes und sonstiger Gebühren.

7. Der Beirat ist berechtigt, im Namen des Vereins eine selbständige, rechtsfähige Stiftung gemäß den §§ 80 ff. BGB zu errichten und mit Vermögen auszustatten. Die Stiftung soll folgende gemeinnützige Zwecke i.S.d. §§ 51 ff. AO verfolgen: die Förderung der Erziehung und Bildung von Kindern und Jugendlichen durch die Beschaffung von Mitteln i. S. d. § 58 Nr. 1 AO für die Verwirklichung des steuerbegünstigten Zwecks dieses Vereins sowie die unmittelbare Förderung der Erziehung und Bildung von Kindern und Jugendlichen. Die Stiftung soll den Namen „FIS Foundation“ tragen. Die Stiftung kann auch als (Teil-)Verbrauchstiftung errichtet werden. Im Übrigen wird die Ausgestaltung der Stiftungssatzung dem Beirat hiermit nach dessen sachgerechtem Ermessen übertragen. Der Beirat ist auch berechtigt, der Stiftung nach ihrer Gründung Zustiftungen zuzuwenden.

ARTICLE V

Nomination, Election and Appointment to the Board of Trustees

1. No special member shall be eligible to serve on the Board of Trustees, with the exception of the faculty/staff board member.

2. The regular and special members of the Association shall elect three members to the Board of Trustees each year. The Board of Trustees shall appoint five members to the Board who need not be members of the association; two members in one year and three in the following year in rotation.

3. The election and appointments to the Board of Trustees shall take place annually. Election day shall be the last Friday in May.

4. A member of the Board of Trustees shall be designated by the chair of the Board of Trustees to select and chair the Trustees’ Committee.

5. A nominating committee for the Board of Trustees’ election shall consist of at least five regular members of the Association in addition to the chair of the committee.

6. A nominating committee shall select from among the regular members of the Association the candidates to stand for election to the Board, other than the Board member elected by the faculty and staff (see Article V, paragraph 17 below). The slate recommended by a nominating committee should consist of at least two more candidates than the number of positions becoming vacant.

7. The members of the Association shall be informed by the Trustees’ Committee of the recommended slate at least 45 days prior to election day.

8. Candidates may also be nominated by regular members of the Association without the participation of the Trustees’ Committee. In order to implement the provision of this paragraph, such nomination must be supported by the signatures of 25 regular members, and must be handed to the chair of the Trustees' Committee no later than 35 days prior to the election day. Only regular members of the Association may be so nominated.

9. For the purpose of voting for the members of the Board of Trustees other than the faculty/ staff board member, each regular or special member of the Association shall have one vote.

10. Ballots shall be sent to the members by the appointed auditors at least 2l days before election day. To be counted, ballots must be received by the auditors by noon on election day in written or in electronic form. In the event that both a written and an electronic ballot are received, only the electronic ballot shall be counted.

11. The auditors shall register and count the votes on election day, and notify, in writing, both the chair of the Board of Trustees and the chair of the Trustees’ Committee, of the result. The membership shall be informed of the result of the election by the Board at the earliest possible date.

12. The required number of candidates receiving the largest number of votes shall be elected.

13. Ballots shall be held by the auditors for 30 days after the election day, after which the ballots shall be destroyed or deleted.

14. The Board shall appoint members (see Article V, paragraph 2 above) at a regularly convened Board meeting, on the basis of a slate of candidates recommended by the Trustees' Committee in session.

15. Should a member of the Board of Trustees other than the faculty/staff Board member resign or become unable to serve during his term of office, the Board of Trustees shall have the discretionary right to co-opt a replacement. If the Board member to be replaced is an elected (see article IV.1a) or co-opted member, the slate of candidates shall be limited to regular Association members. If the Board member to be replaced is an appointed member (see article IV.1b), the slate may include non-Association members. A replacement Board member shall complete the remaining term of the Board member having resigned or become unable to serve.

16. To foster the interests of the Association, honorary Board members may be appointed subsequent to approval by members of the Association. They need not be members of the Association. They have no voting rights. The Board will determine the term of their office.

17. The faculty and staff shall elect a Board member every two years during May, by secret ballot, from among their combined number. In the event the faculty/staff Board member should, during his/her term, resign or become unable to serve, the faculty and staff shall, in accordance with the procedures set forth in this paragraph, elect as promptly as possible another person to complete the remaining term of the Board member having so resigned or become unable to serve. The faculty/staff Board member shall not be eligible to serve as officer (chair, vice-chair, treasurer, secretary). The election procedure stipulated in No. 10 of this Article shall apply.

18. The term of office of newly elected and appointed Board members shall commence as of the time of the first Board meeting after the election or appointment. The term of office of the current Board shall expire as of that time.

ARTIKEL V

Nominierung, Wahl und Bestellung des Beirats

1. Die Wahl von außerordentlichen Mitgliedern in den Beirat, ausgenommen das von der Lehrerschaft und den Angestellten gewählte Beiratsmitglied, ist unzulässig.

2. Die ordentlichen und außerordentlichen Mitglieder des Vereins wählen jedes Jahr drei Beiratsmitglieder. Der Beirat ernennt fünf Personen zum Beirat, die nicht Mitglieder des Vereins zu sein brauchen, und zwar in abwechselnder Reihenfolge in einem Jahr zwei Personen und im darauffolgenden Jahr drei Personen.

3. Beiratswahlen und ‑ernennungen finden jährlich am letzten Freitag im Mai statt.

4. Ein Beiratsmitglied wird vom Vorsitzenden zur Bildung des Beiratsausschusses und zu dessen Vorsitzendem bestimmt.

5. Ein Wahlausschuß für die Beiratswahl besteht aus mindestens fünf ordentlichen Vereinsmitgliedern zusätzlich zum Ausschußvorsitzenden.

6. Ein Wahlausschuß wählt aus den ordentlichen Vereinsmitgliedern die Kandidaten für das Beiratsamt aus, ausgenommen für das von der Lehrerschaft und den Angestellten zu wählende Beiratsmitglied (vgl. Artikel V Abs. 17). Die von einem Wahlausschuß aufzustellende Kandidatenliste sollte mindestens zwei Kandidaten mehr als die Anzahl der neu zu besetzenden Positionen enthalten.

7. Die Mitglieder des Vereins sind vom Beiratsausschuß mindestens 45 Tage vor dem Wahltermin über die aufgestellte Kandidatenliste zu unterrichten.

8. Die Nominierung von Kandidaten durch ordentliche Mitglieder kann auch ohne Mitwirkung des Beiratsausschusses erfolgen. Eine solche Nominierung bedarf der Unterstützung mittels Unterschriften von 25 ordentlichen Mitgliedern und ist dem Vorsitzenden des Beiratsausschusses spätestens 35 Tage vor dem Wahltermin zu übergeben. Eine Nominierung von anderen als ordentlichen Mitgliedern ist unzulässig.

9. Bei der Wahl der Beiratsmitglieder, ausgenommen des von der Lehrerschaft zu wählenden Beiratsmitgliedes, hat jedes ordentliche oder außerordentliche Mitglied des Vereins eine Stimme.

10. Die bestellten Buchprüfer des Vereins werden den Mitgliedern mindestens 21 Tage vor dem Wahltag Wahlzettel zusenden. Berücksichtigungsfähige Stimmabgaben müssen den Buchprüfern spätestens um 12.00 Uhr mittags am Wahltage vorliegen, und zwar in schriftlicher oder in elektronischer Form. Empfangen die Buchprüfer sowohl eine schriftliche als auch eine elektronische Stimmabgabe, wird nur die elektronische Stimmabgabe gewertet.

11. Die abgegebenen Stimmen werden durch die Buchprüfer am Wahltage registriert und ausgezählt. Die Buchprüfer teilen das Ergebnis dem Vorsitzenden sowie dem Vorsitzenden des Beiratsausschusses schriftlich mit. Über das Ergebnis der Beiratswahl werden die Mitglieder vom Beirat so bald wie möglich unterrichtet.

12. Die vorgeschriebene Anzahl von Kandidaten, die die meisten Stimmen auf sich vereinigen, gilt als gewählt.

13. Die abgegebenen Stimmen sind von den Buchprüfern für einen Zeitraum von 30 Tagen, gerechnet ab dem Wahltag, aufzubewahren. Danach werden sie vernichtet beziehungsweise gelöscht.

14. Der Beirat ernennt Mitglieder (vgl. Artikel V Abs. 2) während einer ordentlichen Beiratssitzung auf Grund einer vom Beiratsausschuss in nicht öffentlicher Sitzung empfohlenen Kandidatenliste.

15. Falls ein Mitglied des Beirats – ausgenommen das von der Lehrerschaft und den Angestellten gewählte Mitglied – während seiner Amtszeit sein Amt niederlegt oder nicht mehr in der Lage ist, sein Amt auszuüben, kann der Beirat nach eigenem Ermessen ein Ersatzmitglied bestellen. Falls es sich bei dem zu ersetzenden Beiratsmitglied um ein gewähltes (vgl. Artikel IV Abs. 1 a) oder bestelltes Mitglied handelt, soll die Kandidatenliste nur aus ordentlichen Mitgliedern des Vereins bestehen. Falls das zu ersetzende Beiratsmitglied ein ernanntes Mitglied (vgl. Artikel IV Abs. 1 b) ist, darf die Kandidatenliste Nichtmitglieder des Vereins enthalten. Ein Ersatzbeiratsratsmitglied beendet die verbleibende Amtszeit desjenigen Beiratsmitgliedes, das sein Amt niedergelegt hat bzw. nicht mehr in der Lage ist, es auszuüben.

16. Zwecks Förderung der Belange des Vereins kann der Beirat mit vorheriger Zustimmung der Mitglieder des Vereins Ehrenmitglieder ernennen. Die Betreffenden brauchen nicht Mitglieder des Vereins zu sein. Sie haben kein Stimmrecht. Die Dauer ihres Amtes bestimmt der Beirat.

17. Die Lehrerschaft und Angestellten wählen alle zwei Jahre im Mai in geheimer Wahl aus ihren gemeinsamen Reihen ein Beiratsmitglied. Falls das von der Lehrerschaft und den Angestellten gewählte Beiratsmitglied während seiner Amtszeit das Amt niederlegt oder nicht mehr in der Lage ist, sein Amt auszuüben, wählen die Lehrerschaft und Angestellten, wie in diesem Absatz beschrieben, so schnell wie möglich eine andere Person, die die verbleibende Amtszeit desjenigen Beiratsmitglieds beendet, das sein Amt niedergelegt hat bzw. nicht mehr in der Lage ist, es auszuüben. Das von der Lehrerschaft und den Angestellten gewählte Beiratsmitglied kann nicht zum Vorstandsmitglied (Vorsitzender, stellvertretender Vorsitzender, Schatzmeister, Schriftführer) gewählt werden. Für die Durchführung der Wahl gilt Nr. 10 dieses Artikel entsprechend.

18. Die Amtszeit der neugewählten bzw. neu ernannten Beiratsmitglieder beginnt mit der ersten Beiratssitzung nach der Wahl oder Ernennung. Die Amtszeit des gegenwärtigen Beirats läuft mit diesem Datum ab.

ARTICLE VI

Meetings of the Board of Trustees

Beiratssitzungen

1. The Board of Trustees shall meet at least six times a year.

1. Der Beirat tritt mindestens sechs Mal im Jahr zu einer Sitzung zusammen.

2. A simple majority of the voting members of the Board shall constitute a quorum.

2. Zur Beschlußfähigkeit genügt eine einfache Mehrheit der Mitglieder des Beirats.

3. The chair shall preside at meetings, and the vice-chair shall perform his/her duties in absence. If both are absent, the treasurer shall preside or in his/her absence the secretary.

3. Der Vorsitzende führt bei den Beiratssitzungen den Vorsitz; in seiner Abwesenheit hat der stellvertretende Vorsitzende den Vorsitz inne. Falls beide Vorgenannten nicht anwesend sind, führt der Schatzmeister den Vorsitz oder in seiner Abwesenheit der Schriftführer.

4. Minutes of all meetings of the Board of Trustees shall be kept, and shall be approved at each subsequent Board meeting.

4. Über alle Beiratssitzungen ist ein Protokoll zu führen, welches anläßlich der jeweils nachfolgenden Beiratssitzung zu genehmigen ist.

5. Any Board member who has been absent from each of three consecutive regular meetings of the Board or from three meetings within any six-month period may be removed from his position by majority vote of all other voting members of the Board. The same applies for a serious breach of responsibility of a Board member or his/her inability to carry out executive responsibilities.

5. Beiratsmitglieder, die an drei aufeinanderfolgenden ordentlichen Beiratssitzungen oder an drei Sitzungen innerhalb eines 6-Monats-Zeitraums nicht teilgenommen haben, können mit einfacher Mehrheit der abgegebenen Stimmen der übrigen Beiratsmitglieder ihres Amtes enthoben werden. Dasselbe gilt bei einer ernsten Pflichtverletzung eines Beiratsmitglieds oder seinem/ihrem Unvermögen seiner/ihrer leitenden Verantwortung nachzukommen.

6. The chair shall have the discretionary right to exclude Board members from any parts of meetings where the topic under consideration constitutes a potential conflict of interest.

6. Der Vorsitzende hat das ausschließliche Recht, Beiratsmitglieder von Beiratssitzungen ganz oder teilweise auszuschließen, falls zur Entscheidung anstehende Tagesordnungspunkte einen potentiellen Interessenkonflikt darstellen.

7. Board meetings may be opened by the chair to the public. The chair shall have the discretionary right to exclude non-Board members from all or parts of Board meetings.

7. Der Vorsitzende kann der Öffentlichkeit die Teilnahme an Beiratssitzungen gestatten. Es steht im Ermessen des Vorsitzenden, Personen, die dem Beirat nicht angehören, von den Beiratssitzungen ganz oder teilweise auszuschließen.

ARTICLE VII

The Head of School

ARTIKEL VII

Direktor der Schule

1. The Head of School shall be the chief executive officer of the school, responsible to the Board. The appointment of the Head of School shall be determined by the Board of Trustees. The terms of appointment and compensation of the Head of School shall be determined by the Board officers (Article IV.2.).

1. Der Schuldirektor ist der Leiter der Schule und ist als solcher dem Beirat gegenüber verantwortlich. Der Beirat beschließt über die Bestellung des Schuldirektors. Die Anstellungsbedingungen und die Höhe des Gehaltes des Schuldirektors werden von den Repräsentanten (Artikel IV.2.) bestimmt.

2. Subject to policies set down by the Board, the Head of School shall be responsible for the development of the school. The Head of School shall be responsible for the pedagogical programs as well as the services offered by the school. The Head of School shall appoint and dismiss personnel, administer funds, and execute contractual and financial instruments. To fulfill such duties the Head of School shall be authorized by the Board accordingly.

2. Dem Schuldirektor obliegt nach Maßgabe der vom Beirat beschlossenen Richtlinien die Entwicklung der Schule. Der Schuldirektor ist verantwortlich für das pädagogische Programm sowie die von der Schule angebotenen Leistungen. Es obliegen dem Schuldirektor die Einstellung und Entlassung von Personal, die Verwaltung von Geldern sowie die Ausfertigung von Urkunden vertraglicher und finanzieller Art. Zur Erfüllung dieser Aufgaben erhält der Schuldirektor vom Beirat die hierfür erforderliche Vollmacht.

3. Except when the appointment terms or evaluation of the Head of School are under consideration, the Head of School shall attend meetings of the Board of Trustees, but shall not be entitled to vote. The presence of the Head of School shall not be counted to determine a quorum.

3. Ausgenommen bei Sitzungen betreffend das Vertragsverhältnis des Schuldirektors nimmt der Schuldirektor an Beiratssitzungen teil, hat jedoch kein Stimmrecht. Auf die für die Beschlußfähigkeit des Beirats erforderliche Anzahl der Beiratsmitglieder ist die Teilnahme des Schuldirektors nicht anzurechnen.

ARTICLE VIII

Accounts and Auditing

1. The Board of Trustees shall ensure that proper books of accounts are kept with respect to the assets and liabilities of the Association, the funds received and spent by the Association and the purposes for which this was done.

2. The books of accounts shall be stored at the school or at such other place as the Board of Trustees shall determine. They shall always be open to inspection by members of the Board of Trustees.

3. The fiscal year of the Association shall begin on July 1 and end on June 30. At least once each fiscal year, the accounts of the Association shall be examined by the appointed auditors to ascertain the correctness of the income and expenditure accounts and balance sheet.

4. At least once a year, the Board of Trustees shall present to the general membership meeting an income and expenditure account, together with a balance sheet for the previous school year. This balance sheet shall be accompanied by a report from the Board of Trustees and a report from the auditors. The auditors’ report shall be available to the members of the Association upon certification.

ARTIKEL VIII

Buchführung und Rechnungsprüfung

1. Der Beirat trägt Sorge dafür, daß über Aktiva und Passiva des Vereins, Einnahmen und Ausgaben sowie deren Verwendung ordnungsgemäße Bücher geführt werden.

2. Die Bücher sind in der Schule oder an einem vom Beirat bestimmten Ort aufzubewahren. Sie stehen den Mitgliedern des Beirats jederzeit zur Einsichtnahme zur Verfügung.

3. Das Geschäftsjahr des Vereins beginnt am 1. Juli und endet am 30. Juni. Die Bücher des Vereins sind mindestens einmal in jedem Geschäftsjahr durch die bestellten Buchprüfer zu prüfen, um die Richtigkeit der Buchführung über Einnahmen und Ausgaben sowie der Bilanz festzustellen.

4. Mindestens einmal jährlich hat der Beirat der ordentlichen Mitgliederversammlung einen Kassenbericht sowie eine Bilanz für das vorangegangene Schuljahr vorzulegen. Der Bilanz ist ein Bericht des Beirats sowie der Buchprüfer beizufügen. Der Buchprüfungsbericht steht den Mitgliedern nach Fertigstellung zur Verfügung.

ARTICLE IX

Amendments to the Articles of Association

1. The Articles of Association may be amended at general membership meetings of the Association or at any extraordinary meeting called for that purpose. Fifty members attending such a meeting shall constitute a quorum.

2. Article I may not be amended in such a manner as to impair or alter the non-profit-making nature of the Association. Resolutions in contravention of the foregoing statement shall be invalid.

3. Members shall be notified of proposed amendments to the Articles of Association no later than 2l days prior to the meeting at which the amendments shall be submitted to a vote.

4. At least three-fourths of the members present at the meeting must vote for the amendment in order for it to be adopted.

ARTIKEL IX

Satzungsänderungen

1. Satzungsänderungen können anläßlich der ordentlichen Mitgliederversammlung oder anläßlich jeder zu diesem Zweck einberufenen außerordentlichen Mitgliederversammlung beschlossen werden. Zur Beschlußfähigkeit ist die Anwesenheit von 50 Mitgliedern erforderlich.

2. Artikel I darf nicht dahingehend abgeändert werden, daß der gemeinnützige Charakter des Vereins beeinträchtigt oder geändert wird. Dem zuwiderlaufende Beschlüsse sind nichtig.

3. Vorschläge für Satzungsänderungen werden den Mitgliedern spätestens 21 Tage vor der Versammlung mitgeteilt, an der über die Satzungsänderung abgestimmt werden soll.

4. Der Beschluß über eine Satzungsänderung erfordert eine Mehrheit von mindestens dreiviertel der in der Versammlung anwesenden Mitglieder.

ARTICLE X

Dissolution of the Association

1. The Board of Trustees may recommend the dissolution of the Association to a general or extraordinary meeting at which a quorum of one-third of the members of the Association is present. Three-fourths of the members present must approve the dissolution .

2. Upon dissolution of the Association or upon the discontinuance of tax-privileged purposes, the assets of the Association shall pass to a non-profit organization, that will use the assets solely for educational purposes and the promotion of youth welfare.

ARTIKEL X

Auflösung des Vereins

1. Der Beirat kann die Auflösung des Vereins einer ordentlichen oder außerordentlichen Mitgliederversammlung empfehlen, bei der, um beschlußfähig zu sein, mindestens ein Drittel sämtlicher Mitglieder des Vereins anwesend sind. Die Auflösung kann nur mit einer Mehrheit von dreiviertel der anwesenden Mitglieder beschlossen werden.

2. Bei Auflösung des Vereins oder bei Wegfall steuerbegünstigter Zwecke fällt das Vermögen des Vereins an eine juristische Person des öffentlichen Rechts oder eine andere steuerbegünstigte Köperschaft zwecks Verwendung für die Erziehung von Kindern und die Förderung der Jugendhilfe.
