METHOD OF EVALUATION

The principle method of evaluation will be an open-book take-home final exam worth up to 100% of the student’s grade.   The take-home final will involve fact patterns requiring the students to apply the principles learned during the course.  The take-home final exam will be released to students on the day designated by the program for the course final exam and will be due through online submission 24 hours after release.  As an alternative to having the take-home final exam worth 100% of their grade, students will also be given the opportunity to write an optional research paper on a securities law topic that they select in consultation with the instructor.  If a student writes the optional research paper, it will be worth 50% of the student’s grade (with the remaining 50% determined by the take-home final exam). 



COURSE DESCRIPTION

The objectives of the course are to provide students with a basic general understanding of securities law as well as the public policy concerns underlying securities regulation in Alberta and Canada. The course discusses such topics as the foundational concepts of securities law, the prospectus process, exempt market transactions, continuous disclosure requirements, insider trading rules, take-over bid rules, civil liability, and enforcement.
