COURSE DESCRIPTION

This course is designed to provide students with the substantive knowledge to address the legal and quasi-legal issues that generally confront technology and non-technology startups, early-stage and emerging businesses, charities, and non-profit organizations. The course will be taught in three modules. In module 1 (forming and funding an enterprise), students would learn how to support startups, and early-stage and emerging businesses in choosing the form of their business enterprise, structuring the enterprise, and funding the enterprise. In this module, students will learn the legal issues surrounding the formation and maintenance of charities and non-profit organisations in Canada. In module 2 (operationalising a business enterprise), students would learn how to support startups, and early-stage and emerging businesses in legally classifying and hiring their workers, including how to draft various work contracts; and how to manage their relations with customers, clients, and other users of their services, including the protection of the privacy and personal information of customers, clients, and users. Module 3 (building and protecting intangible assets) covers key intellectual property issues that are relevant to startups and emerging businesses and how intellectual property law can be used by businesses to build and protect their intangible assets.
