100 percent open-book final examination (3 hours).



COURSE DESCRIPTION

This course is an introductory survey of the law of modern business organizations -- including sole proprietorships, partnerships, corporations and other forms of limited liability entities --  in Canada, with a particular focus on the laws of Alberta. Topics include principles of agency, business planning, corporate governance, fiduciary duties, and shareholder rights and remedies. The course also provides introductory exposure to corporate finance, mergers and acquisitions, and securities regulation. The course will also offer an introduction to First Nations/Indigenous business structures and issues, and to social enterprise/CSR/ESG. No prior exposure to accounting, economics, or finance is necessary or presumed. 


The lectures, discussions, guest visits and materials will aim to give a theoretical and practical foundation for the ethical practice of business law, and to prompt reflection about the challenges faced by lawyers advising business clients.
