The FIS Foundation (the “Foundation”) is a legally recognized foundation (Stiftung) under German Civil Law (Bürgerliches Gesetzbuch, BGB). The purpose of the Foundation is the promotion of the education and development of children and adolescents by procuring funds for the realization of the school’s purpose. The Foundation assets are to be preserved undiminished, subject only to certain exceptions and subject to the consent of the supervisory authority for foundations (Stiftungsaufsichtsbehӧrde).
Income generated by the Foundation’s assets may be applied in accordance with the Foundation’s purpose, which includes financing special curriculum offerings and school events, procuring and maintaining teaching and learning resources, and directly supporting the education and development of children and adolescents by awarding scholarships.
The Foundation is governed by the Supervisory Board and the Executive Board. The Supervisory Board consists of the respective members of the Board of Trustees and is responsible for, inter alia, the election of the members of the Executive Board, providing advice to the Executive Board for the administration of Foundation assets, and passing resolutions regarding funding priorities.
The Executive Board consists of between five and nine members elected by the Supervisory Board for three-year terms. The Head of School serves as chair of the Executive Board. The Executive Board is responsible for administering the Foundation assets faithfully and economically, including the appointment and supervision of suitable asset managers.
A Foundation Workgroup may be established as a sub-group of the Supervisory Board to assist in coordination and communication between the Supervisory Board and the Foundation’s Executive Board. The Foundation Workgroup shall consist of at least three Board members and shall include the Chair of the Finance Committee. Foundation Workgroup members shall be chosen by the Board Chair, in consultation with the Chair of the Finance Committee.
