The Board of Trustees is required to meet a minimum of six times annually. Board of Trustees meetings consist of executive sessions, attended only by Board Members, the Head of School, and any specific invitees, and regular sessions, attended by the Board of Trustees and other members of the FIS community. The Head of School shall participate in all Board of Trustees meetings, except during consideration of the Head of School’s performance or terms of employment. A majority of the Board Members then serving is required for the transaction of business. A motion passed by a simple majority of Board Members present is the will of the Board, except for certain circumstances that require approval by either an absolute majority or a super majority of all then-serving Board Members.
At least one general membership meeting is required to be held each school year during which the proposed budget for the following school year is presented and the general membership is asked to: (i) ratify the actions taken by the Board of Trustees on behalf of the Association during the preceding period and (ii) release the executive officers from liability during the preceding year. This general membership meeting typically occurs in March.
Minutes of all Board of Trustees meetings are distributed to Board Members, and minutes of the public sessions of Board of Trustees meetings are posted on the FIS website.
The Board of Trustees encourages members of the FIS community to attend Board meetings to express, at the time designated by the Board Chair, any matters of interest or concern that are appropriate to convey to the Board of Trustees.
