BYLAWS OF THE GREATER ORANGE COUNTY COIN CLUB
This Bylaws of the Greater Orange County Coin Club (GOCCC) (‘Bylaws”) is adopted as of
__________, 2013 by the Board of Directors of the Greater Orange County Coin Club under
direction of the Membership by passage of a majority vote.
BACKGROUND
The purpose of this organization shall be to:
• Encourage and promote interest and education in numismatics
• Cultivate friendly relations among collectors, students, and dealers
• Especially encourage and assist amateur collectors
• Use available resources to engage, reach out to, and support young numismatists
• Provide a time and place to buy, sell, or trade coins
ARTICLE I
DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings set forth
below:
“Board of Directors” shall be the governing body of the GOCCC, and shall consist of
the Immediate Past President, all Officers, and four Members in Good Standing to be elected by
a vote of a Quorum of Members in Good Standing.
“Dues” means the payment of monies to the club by Members in Good Standing.
“Immediate Past President” means the president who served the prior term in office.
This designation appoints said person to the Board of Directors for a term of one year.
“Members in Good Standing" means any person whose membership is current and who
has paid dues for the current year.
“Nominations Committee” means a group of three (3) Members in Good Standing
appointed by the Board of Directors.
“Officers” means those Members in Good Standing elected to the offices of President,
Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, and the members of
the Board of Directors.
“Quorum of the Board of Directors” means five (5) members of the Board of Directors.
“Quorum of Members in Good Standing” means all Members in Good Standing at any
meeting of the GOCCC.
ARTICLE II
NOMINATIONS, ELECTIONS AND OFFICES
2.1 Elections. Elections are to be held on an annual basis at the November meeting of
the GOCCC.
2.2 Election Process. Officers and members of the Board of Directors shall be
elected to office by a majority vote of a Quorum of Members in Good Standing present at the
time of the vote.
2.3 Nominations Committee Process. The Board of Directors shall appoint a
Nominations Committee no later than the June meeting of the GOCCC. The Nominations
Committee shall submit to the Members in Good Standing a report consisting of one candidate for
each office to be filled for the following year. The report shall be submitted for consideration no
later than the October meeting of the GOCCC.
2.4 Nominations From The Floor. Following the submission of the report from the
Nominations Committee, any Member in Good Standing may nominate any other Member in
Good Standing.
2.5 Assumption of Office. All elected members of the Board of Directors of the
GOCCC shall assume the role of their respective office at the January meeting immediately
following the previous November Elections.
2.6 Terms of Service. The Term of Service for each office shall be one (1) calendar
year.
2.7 President. The President serves at the pleasure of the Board of Directors. The
President shall (i) call the Board of Directors to meeting not less than twice annually (ii) preside
at all meetings of the Board of Directors and meetings of the GOCCC (iii) exercise general
supervision of the GOCCC (iv) enforce these Bylaws of the GOCCC (v) keep the Board of
Directors aware of all club policy matters (vi) consult the Board of Directors regarding club
policy matters.
2.8 Vice President. The Vice President serves at the pleasure of the Board of
Directors. The Vice President shall (i) assume all duties of the President in the event that the
President is unable to perform the duties of their office (ii) have other powers granted to them at
the discretion of the Board of Directors (iii) make arrangements for the Regular meeting
program, including such presentations, lectures, or other material as may be suitable to the club's
benefit.
2.9 Secretary and Assistant Secretary. The Secretary or Assistant Secretary shall (i)
keep the minutes of all meetings (ii) maintain the membership roster (iii) send meeting notices to
all Members in Good Standing and other interested parties (iv) .
2.9 Treasurer and Assistant Treasurer. The Treasurer and Assistant Treasurer shall
(i) receive and disperse the funds of the club (ii) keep and preserve proper records and books of
accounts (iii) make the records and books of accounts available to Members in Good Standing
(iv) assist with any audit of the records and books of accounts at the request of the Board of
Directors (v) present a monthly financial report at meetings of the GOCCC.
2.9 Board of Directors. The Board of Directors is the governing body of the GOCCC
and shall (i) direct and delegate duties and responsibilities to any Officer or member of the Board
of Directors by a vote of a Quorum of the Board of Directors (ii) appoint Members in Good
Standing to fill temporary positions (iii) fill vacancies of Officers or the Board of Directors by a
vote of a Quorum of the Board of Directors. In the case that the active Members of the Board of
Directors number less than a Quorum of the Board of Directors, a majority vote of the Board of
Directors shall preside. If no majority vote of the Board of Directors can be reached, the ranking
officer shall cast the deciding vote. The rank is as follows: 1.President 2.Vice President
3.Treasurer 4.Secretary 5.Assistant Treasurer 6.Asistant Secretary.
ARTICLE III
MEETINGS
3.1 Regular Meetings. Regular meetings shall be held monthly
throughout the year,
at a time and place designated by the Board, appropriate notification to be sent to
the membership by the Secretary.
3.2 Special Meetings. Special meetings may be held at any time upon
authorization of the Board of Directors, or upon written request of twenty percent of the
membership, notice of which shall be sent to the members of the club at least ten days in advance
of the meeting.
3.3 Annual Business Meeting. An Annual Business Meeting for the election of
Officers and the transaction of other business relative to the affairs of the club shall be held at the
regular meeting in November of each year.
3.3.1. Notification of Annual Business Meeting shall be sent to Members in Good
Standing at least three days in advance of the meeting.
3.4 Parliamentary Authority. The parliamentary authority in conducting all
meetings of the club shall be Robert's Rules of Order. Any rule of order may be suspended
temporarily by a majority vote of those present at any meeting.
ARTICLE IV
MEMBERSHIP
4.1 Classes of Membership.
(i) Individual Membership covers a single individual, and is renewed
annually by the payment of the appropriate dues. Each Individual Member is assigned a
membership number as recorded in the club roster..
(ii) Family Membership may be conferred on all members of a family
residing or receiving mail at the same address, and is renewed annually by the payment of the
appropriate dues. A single membership fee covers as many members of the family as may wish
to apply for membership. Each applicable family member is assigned a membership number as
recorded in the club roster
(iii) Life Membership covers a single individual and extends for the
duration of their life. Each Life Member is assigned a permanent unique membership number as
recorded in the club roster.
(iii) Honorary Life Membership. Upon nomination and approval by a
majority of the Quorum of Members in Good Standing present at any regular meeting of the
GOCCC, an individual may be designated as an Honorary Life Member, such distinction
extending for the duration of his or her life. Each Honorary Life Member is assigned a
membership number as recorded in the club roster. Honorary Life Memberships are conferred
without the payment of any dues.
4.2 Membership Eligibility. Membership shall be open to all persons interested in
the field of numismatics, provided that such applicants for membership shall meet any
requirements as may be established by the Board of Directors. Each Member in Good Standing
shall be entitled to one vote at any meeting of the club at which they are present, and shall be
entitled to all other privileges of membership.
4.3 Membership Application Procedure. Application for membership shall be made
by paying the initial dues for the membership class desired. Members who have previously had
their membership revoked may not apply or be granted a new membership without specific
authorization of the Board of Directors.
4.4 Revocation or Suspension of Membership. Any member whose conduct is
deemed detrimental to the best interests of the club, or who shall willfully violate its bylaws or
other rules or regulations, may be expelled or suspended by a unanimous vote of the Board. A
suspended member is one who is not eligible for the benefits of membership (i.e. voting, selling
at meetings, newsletter, etc.) for a temporary period. An expelled member is one whose
membership is entirely and permanently revoked. When such action is contemplated in the case
of any member, they shall be afforded the opportunity to a hearing before the Board of Directors.
4.5 Membership Dues. The Board of Directors shall annually set the Dues schedule
for the various classes of membership; with the exception of Honorary Life Membership (such
classification is free from any payment of dues). Dues are collected and managed by the
Treasurer, and are payable by each member at the first regular meeting of each calendar year.
(i) Proration of Membership Dues. There is no proration of membership
dues, except that new members paying their initial membership dues in the final
quarter of the calendar year will be credited with full dues for the following year.
(ii) Delinquency. Members who have not paid the required dues within
ninety days of the date due, e.g. by the March regular meeting, shall no longer be
Members in Good Standing, provided they have been notified of their
delinquency at least once. Such loss of status shall automatically be lifted upon
payment of the current year's dues in full.
(iii) Resignation. Any member may resign at any time, but such
resignation shall not become effective until proper notification is made to the
Secretary. A member resigning from the club shall not be entitled to any refund of
dues paid.
(iv) Suspension and Revocation. Any member suspended or expelled
shall not be entitled to any refund of any dues paid.
Article V
Revisions to the Bylaws of the Greater Orange County Coin Club
5.1 Board Revisions. These bylaws may be revised at any meeting of the Board of
Directors by a vote of a Quorum of the Board of Directors. If so revised, such revision shall be
reported to the membership at the next regular meeting and shall become effective only upon
being ratified by the majority vote of a Quorum of Members in Good Standing.
5.2 Member in Good Standing-Proposed Revisions. Revisions to the bylaws may
be proposed at any regular meeting in writing by any five members who shall sign such proposed
revision in the form of a petition to the Board of Directors. The Board shall consider such
proposed revision at the next meeting of the Board of Directors and may approve the same and
report the revision at the next regular meeting for ratification, or the Board may disapprove the
proposed revision in which case the proposed revision shall nevertheless be reported at the next
regular meeting with the recommendation that the proposed revision not be adopted. The
membership shall vote upon the proposed revision and if approved by a Quorum of Members in
Good Standing such revision shall be adopted.
ARTICLE VI
CONDUCT OF MEMBERS IN GOOD STANDING AND BOARD OF DIRECTORS
6.1 Conduct of Memebers. Members in Good Standing (a) are guided by and
observe the following general principles of conduct: integrity, openness, diligence, honesty,
accountability and respect for GOCCC’s reputation, (b) act solely in the interest of the GOCCC
in matters related to club business and in the exercise of the benefits of membership in the
GOCCC.
6.2 Conduct of Members of the Board of Directors. Just like Members in Good
Standing members of the Board of Directors (a) are guided by and observe the following general
principles of conduct: integrity, openness, diligence, honesty, accountability and respect for
GOCCC’s reputation, (b) act solely in the interest of the GOCCC in matters related to club
business and in the exercise of the benefits of membership in the GOCCC. In addition to these
rules of conduct members of the Board of Directors shall (i) seek the benefit of the GOCC above
their own in the exercise of their office (ii) seek the growth in numismatics and well-being of
Members in Good Standing above their own in the exercise of their office.
6.3 Additional Guidelines for Conduct. The following specific guidelines apply to
particular Officers.
(i) The Treasurer shall have the right and obligation to disperse funds in the
interest of the GOCCC. Such activity shall not be made with any deference to the benefit of the
Treasurer personally either immediate or deferred. The Treasurer is authorized under these
bylaws to spend up to $250.00 USD twice a month in the exercise of their office. In the case that
the Treasurer must exceed these limits, they shall seek the approval of at least one other Officer.
Such exceptions shall not exceed $1500.00 USD in any one calendar month and shall be reported
to the Secretary and noted in the minutes of the next regular meeting of the GOCCC.
(ii) Major Expenses. From time-to-time the GOCCC may wish to expend a larger
sum of monies. With the approval of a Quorum of Members in Good Standing, the club may
distribute funds in excess of $1500.00 USD

ARTICLE XI
GENERAL PROVISIONS
11.1 Entire BYLAW. This Document, including the Exhibits attached hereto, all of
which are hereby incorporated by reference, constitutes the complete and exclusive statement of
ByLaws of the GOCCC and supersedes all prior agreements, understandings and communication
of any kind, whether written or oral, with respect to the subject matter hereof.

Newsletter and Website
The newsletter and the website are the responsibility of the Secretary who may delegate these
responsibilities to a Newsletter and/or a Website Editor. The Newsletter and/or Website Editor
are appointed positions held by any volunteer(s) accepted by the officers. These positions
currently work as a delegate of the Secretary in that regular meeting notices are distributed via
the newsletter and the membership roster (database) are maintained either by the Secretary or
this individual. The Website Editor manages the club website <www.occoinclub.com>, and may
be assisted by other individuals as required.
