Bylaws

The first annual meeting of LXA at ASU Alumni Inc., Iota Theta Zeta’s new alumni corporation, was held Thursday, May 28, at 6 p.m. via teleconferencing. The meeting was originally planned for Founders Day on April 25, but the pandemic forced cancelation of that weekend’s activities.

LXA at ASU Alumni Inc. was established at the beginning of this year as part of a reorganization that split the previous corporation, Lambda Chi Alpha at Arkansas State University Inc. The latter remains as a modified corporation whose sole purpose is to operate the fraternity house. The missions of the alumni organization include sponsoring activities such as Founders Day for members and alumni of Iota Theta and raising funds for those activities, the chapter and the house.

The change in structure was urged by legal counsel for the National Fraternity as a means of limiting liability. A framework was approved by alumni during the 2019 annual meeting and implemented by the Board of Directors.

The previous board was split into a 9-member board for each corporation, but chapter officers were excluded, as recommended by LXA counsel.

New bylaws were developed for each corporation, following models provided by the counsel with the help of local counsel, and they have been approved by the respective boards. The bylaws were confirmed at the May 28 meeting. Copies can be downloaded by clicking on the lines below this message.

Members of the House Corp. board (LXA at ASU Inc.) elected were Brent Davis, Mike Densmore, Barry Forrest, Bill Garrison, Mike Mallory, Pete Murphy, Roy Ockert, Jeff Simmons, Wayne Wiggins and Justin Miles.

Members of the Alumni Board (LXA at ASU Alumni Inc.) elected were Davis, Forrest, Delane Hogan, Mallory, Murphy, Ockert, Simmons, David Webb and Rob Roedel.

Yours in ZAX,
