Appendix A: Definitions
APA - American Planning Association - The name of the Corporation is The American Planning Association.
APA Utah Board (Board) - As defined in Utah State Code Ann. §16-6a-102, means the body authorized to manage the affairs of the Utah Chapter, American Planning Association, a nonprofit corporation.
APA Utah Board of Directors Handbook - The handbook of policies that guides the operation and organization of the Utah Chapter, American Planning Association.
AICP Code of Ethics – The current Code of Ethics adopted by AICP.
AICP Ethics Officer – The current AICP Ethics Officer.
Annual Member Business Meeting– The Annual Member Business Meeting is a meeting of the APA Utah Chapter membership held once per year, typically during the Fall Conference. The purpose of the meeting is to provide members with critical organizational updates, including reports on chapter finances, board activities, elections, and strategic priorities. It serves as a platform for transparency, accountability, and engagement, allowing members to ask questions, provide feedback, and stay informed about the direction and operations of the Chapter.
APA Utah Board (Board) – The governing body of APA Utah, composed of elected Officers and Directors responsible for strategic direction oversight and implementation.
Board Retreat– The APA Utah Board Retreat is an annual gathering of the Chapter’s Board, typically held in November or early December. This retreat provides an opportunity for strategic planning, team building, goal setting, and reflection on the year’s accomplishments. The retreat is designed to foster collaboration, align priorities for the upcoming year, and ensure that the Chapter Directors and Officers are equipped to fulfill their roles effectively. It may also include training, committee coordination, and preliminary planning for upcoming conferences and initiatives.
Bylaws - As defined in Utah State Code Ann. §16-6a-102, means the codes of rules, other than the articles of incorporation, adopted for the regulation or management of the affairs of the Utah Chapter, American Planning Association. "Bylaws" includes: (i) amended bylaws; and (ii) restated bylaws.
Chapter - Means Utah Chapter, American Planning Association.
Chapter Director - An elected Board member that is not an Officer, as outlined in the Bylaws.
Chapter Officers (Officers) - The elected President, Vice President, and Appointed Student Representative are the Officers of the Chapter, as outlined in the Bylaws.
Chapter Only Members - Means members of the Utah Chapter, American Planning Association who only pay chapter dues and are not members of the American Planning Association or pay American Planning Association dues.
Chapter Work Plan - Board adopted plan that contains a list of goals and objectives, as well as actions and programs that the Chapter can accomplish with available resources.
Charter – A governing document for each committee outlining its authority, purpose, membership, responsibilities, and procedures.
Committee - Means a group of Members appointed by the Board for a specific function.
Committee Chair – A Director or Officer appointed to lead a Standing Committee, responsible for guiding committee activities in line with its charter.
Control or a "controlling interest" - As defined in Utah State Code Ann. §16-6a-102, means the direct or indirect possession of the power to direct or cause the direction of the management and policies of the Utah Chapter, American Planning Association: (a) the ownership of voting shares; (b) contract; or (c) a means other than those specified in voting shares or a contract.
Corporate records - means the records described in Utah State Code Ann. §16-6a-1601. Corporate records do not include correspondence, communications, notes, or other similar information, regardless of format or method of storage, that are not an official decision, published document, or record of the corporation.
Electronic transmission or electronically transmitted - As defined in Utah State Code Ann. §16-6a-102, means a process of communication not directly involving the physical transfer of paper that is suitable for the receipt, retention, retrieval, and reproduction of information by the recipient, whether by email, texting, facsimile, or otherwise.
Engagement Groups – A member-driven group that provides connection and shared resources around specific topics or identity groups; coordinated by the Membership Committee.
Ex-Offico Board Member – Member of the Board that is appointed temporarily to serve in an advisory capacity, but does not have voting rights. This would include the immediate Past President.
Executive Manager (EM) – An independent contractor responsible for the administration and day-to-day operations of APA Utah.
Mail, mailed, or mailing - As defined in Utah State Code Ann. §16-6a-102, means deposit, deposited, or depositing in the United States mail, properly addressed, first-class postage prepaid and includes registered or certified mail for which the proper fee is paid.
Majority - An amount greater than 50%.
Member - As defined in Utah State Code Ann. §16-6a-102, means one or more persons identified or otherwise appointed as a member of the Utah Chapter, American Planning Association, as provided: (i) in the articles of incorporation; (ii) in the bylaws; (iii) by a resolution of the Board; or (iv) by a resolution of the members of the Utah Chapter of the American Planning Association. "Member" includes "voting member".
Notice or notification - As defined in Utah State Code Ann. §16-6a-102, means the same as that term is defined in Utah State Code Ann. §16-6a-103.
President - The individual that is elected (or possibly appointed in the case of a vacancy) as the President of APA Utah. This is an Officer of the Chapter.
Quorum – The minimum number of Directors and Officers required to be present for official business to occur. For Board meetings, a majority of elected Directors and Officers is needed for a Quorum.
Registered Agent - As defined in Utah State Code Ann. §16-6a-102, means the registered agent of: (a) the Utah Chapter of the American Planning Association.
Strategic Plan – A guiding document outlining APA Utah’s vision, goals, and priorities over a four (4) year period.
Student Member - Means a member of the Utah Chapter, American Planning Association who is a full-time student enrolled in an accredited planning program at a college in the United States.
Student Representative – A full-time student enrolled in a university located in Utah who the Board appoints to serve on the Board as a representative for all students in Utah.
Task Force – A temporary working group formed to address specific initiatives or goals, reporting to the Board or a Committee.
Utah Chapter, American Planning Association (APA Utah) - The Utah Chapter is a subordinate of the American Planning Association (APA), a national organization. It is a non-profit organization created and operating under Utah State Code Ann—chapter 16.
Vice Chair - A supporting role to the Chair.
Vice-President - The individual who is elected (or potentially appointed in the case of a vacancy) as the Vice-President of APA Utah. This is an Officer of the Chapter.
Voting member - Means all members in good standing of the Utah Chapter of the American Planning Association.
