Board – Executive Manager Relationship
5.1 Overview
The Executive Manager (EM), an independent contractor, manages APA Utah’s daily operations and strategic programs. This section outlines the collaborative relationship with the Board, emphasizing clear roles, mutual support, and shared accountability.
5.2 Collaboration and Communication
Effective governance depends on strong communication between the Executive Manager, Board leadership, and committee chairs. This section highlights the EM’s role in coordinating logistics, member engagement, and support, while Board Members lead initiatives to advance APA Utah’s mission.
The EM works in partnership with the President, Vice President, and Board Members.
Board Members who are designated as Chairs are responsible for leading and executing initiatives as outlined in their charters.
The EM supports execution through scheduling, logistics, member communication, vendor coordination, and technical support.
The EM is expected to attend Committee and Board meetings as needed.
5.3 Oversight and Access
This section outlines the Executive Manager’s access to systems and responsibilities for managing records and finances, with support and oversight to ensure transparency and continuity.
The Executive Manager manages the organization's operations, accounts, and records, and shall have access to all systems necessary for oversight, continuity, and operational efficiency.
A bookkeeper will support financial operations through reconciliations and daily bookkeeping.
The Admin & Finance Committee Chair, with support from the President, is responsible for preparing and updating the budget and financial reports for Board meetings.
5.4 Performance Review
This section requires the Board to conduct a formal performance review of the Executive Manager every two years to ensure high standards and support professional growth.
A formal performance evaluation will be conducted by the Board every two years.
5.5 Duties and Responsibilities
This section summarizes the Executive Manager’s contract scope, including authority to execute contracts and grants with Board oversight on significant commitments.
The specific duties and responsibilities of the EM shall be outlined in the current contract for the EM.
5.6 Committee Support Structure
This section clarifies that while committee chairs lead, the Executive Manager supports operations by coordinating meetings and handling administrative tasks, with leadership duties remaining with the chairs.
Committee Charters will outline expectations regarding meeting frequency, operations, and responsibilities.
The EM supports committees but is not responsible for leading or executing committees or deliverables unless otherwise assigned.
