Be it ordained by the Township Council of the Township of Gloucester, in the County of Camden and State of New Jersey as follows:

§ 21-1. Reorganization of Sewerage Authority into Municipal Utilities

Authority.

Pursuant to the provisions of the Municipal Utilities Authorities Law (P.L. 1957, c. 183) of New Jersey, particularly Section 6 thereof, the Gloucester Township Sewerage Authority is hereby reorganized as a municipal authority and as a public body corporate and politic under the name and style of the "Gloucester Township Municipal Utilities Authority." The Gloucester Township Municipal Utilities Authority shall have all of the rights and powers granted by said law and shall be subject to all of the duties and obligations imposed by said law and, subject to the rights of the holders of any bonds or other obligations of the Gloucester Township Sewerage Authority heretofore issued, shall be the successor in all respects to said Sewerage Authority and shall forthwith succeed to all of the rights, property, assets and franchises of said Sewerage Authority, and said bonds or other obligations of said Sewerage Authority shall be assumed by and become the obligations of the Gloucester Township Municipal Utilities Authority, and the property of said Sewerage Authority shall be vested in the Gloucester Township Municipal Utilities Authority.

§ 21-2. Powers and duties of Municipal Utilities Authority.

The Gloucester Township Municipal Utilities Authority hereby created is a municipal authority contemplated and provided for by said Municipal Utilities Authorities Law and shall have and exercise all of the powers and perform all of the duties provided for by said Munici­pal Utilities Authorities Law and any other statutes heretofore enacted and applicable thereto.

§ 21-3. Membership.

The Municipal Utilities Authority shall consist of five (5) regular members and two (2) alternate members designated as Alternate No. 1 and Alternate No. 2 to be appointed by the governing body. The regular members first appointed shall by resolution be designated to serve for the terms respectively expiring on the first day of the first, second, third, fourth, and fifth February next and ensuing after the date of their appointment. On or after January 1 in each year after such appointments, one (1) person shall be appointed as a member of the Municipal Utilities Authority to serve for a term commencing on February 1 in such year and expiring on February 1 in the fifth year after such year. In the event of a vacancy in the membership of the Municipal Utilities Authority occurring during an unexpired term of office, a person shall be appointed as a member of the Municipal Authority to serve for such unexpired term. Alternate No. 1 and Alternate No. 2 shall serve during the absence or disquali­fication of any regular member or members. The alternate members shall serve in rotation if possible. The term of each alternate members shall be five (5) years, commencing on February 1 of the year of appointment; provided, however, that in the event that two (2) alternate members are appointed, their initial terms shall be four (4) and five (5) years, respectively. The terms of the first alter­nate members appointed shall commence on the day of their appointment and shall expire on the fourth or fifth January 31 next ensuing after the date of their appointments, as the case may be.

§ 21-3.1 Compensation of members.

The regular and Alternate members of the Gloucester Township Municipal Utilities Authority shall receive compensation for their services as members of the Authority and shall receive an annual compensation for such services in an amount not to exceed Four Thousand Three hundred and fifty dollars ($4,350.00) per annum.

§ 21-4. Filing of copies of ordinance.

A copy of this ordinance duly certified by the Township Clerk shall forthwith be filed by said Township Clerk in the office of the Secretary of State of New Jersey.

§ 21-5. When effective.

This ordinance shall take effect as provided by law, but not sooner than ten (10)days after its publication after passage.
