a. 3000 word paper – 50%
b. negotiation exercise - 30%

COURSE DESCRIPTION
Corporate reorganization and restructuring law defines a process through which an insolvent corporation attempts to reach an arrangement or proposal with its creditors. Some of Canada’s largest corporations have used this process as an alternative to bankruptcy.
Students will acquire an understanding of the fundamental rules and principles of corporate reorganization and insolvency law within the context of a legal skills-training simulation that will develop their ability to represent the interests of their clients in negotiations with other lawyers. The negotiation occurs in the last two weeks of the course and culminates in a meeting of creditors, chaired by a Monitor, in which the plan will be voted on and either passed or rejected by the creditors.
Participants will also be responsible for delivering a 20 minute presentation and leading a seminar discussion on an assigned topic.
SPECIAL COMMENTS
The paper that is prepared in this course will be suitable for submission in terms of its topic and length to the Insolvency Institute of Canada legal writing award. This is a very prestigious award that offers money for the top three papers (first place, $7500; second place $5,000; third place: $2,500) and pays expenses for the winner to attend the annual conference of the IIC.
