COURSE DESCRIPTION
Startup businesses in Canada face unique pressures, challenges, and opportunities. They are focused on, or enabled by, new technologies or business models, and often intend to scale their business rapidly with funding from angel investors, venture capital firms, and other sources. This course is designed to provide students with the practical knowledge required to address the legal and quasi-legal issues that generally confront startup businesses. Topics that will be covered include entity formation, capital raising, corporate governance, shareholder and founder relations, ownership and management of intellectual property, and managing the startup’s contractual relationships with its employees, customers, service providers and other stakeholders.
