COURSE DESCRIPTION
This course explores commercial dealings between business entities, focusing on the legal frameworks and principles that regulate four key types of commercial transactions:
Law of Guarantees – Examines contractual commitments to answer to another person’s default.
Sale of Goods Law – Covers key issues such as implied terms, passage of property, and other contractual aspects related to the sale of goods.
Negotiable Instruments Law – Explores the legal principles governing cheques, bills of exchange, and promissory notes.
Securities Transfer Law – Discusses direct and indirect holding systems for the holding and transfer of shares, bonds, and other forms of investment properties.
By the end of the course, students will develop a strong understanding of these core areas of commercial law and apply their knowledge to contract analysis and drafting.
