IMPORTANT: Effective 1/1/2016; ADAM LLC is Changing Banking Services

The below letter was recently received from ADAM LLC in regards to it changing its Banking Services effective January 1, 2016. All homeowners will need to ensure that all payments are scheduled through the new financial institution at the first of the year; however, this is all the information we have at this time. Further information will be provided as it is received.

RE: Homeowners Association Banking Services

Dear Board Member:

I am writing to inform you that, effective January 1, 2016, ADAM LLC is changing its banking services from Alliance Association' Bank to Mutual of Omaha Bank- CAB.

Over the · last several months, we have studied several banks that provide specific services to the homeowner association industry. Many of the financial institutions we interviewed have developed bankingproducts specifically geared to the unique requirements of management companies and homeowners associations. We measured the depth of their services, their knowledge of the homeownerassociation industry, the costs for their service and the added benefits our clients would receive by creating a relationship with each candidate.

Having talked with existing clients of these banks, we believe the bank best suited to partner with us on behalf of our clients is Mutual of Omaha Bank - Community Association Banking (noted as CABgoing forward). CAB has been providing specialized services to management companies and homeowners associations for well over a decade. CAB serves thousands of associations in all 50 states.

We believe that Mutual of Omaha Bank - CAB will respond to the needs of our clients in a comprehensive fashion. Among the benefits of this banking relationship:

Security- All accounts are FDIC insured up to $250,000 per tax ID number

Strong Bank - Mutual of Omaha Bank - CAB is well capitalized and fully committed to its community banking strategy built on strength, service and conservative lending practices.

Minimal Cost to Our Customers -Because Mutual of Omaha Bank - CAB considers the value of the total banking relationship of ADAM, LLC and all our clients, they are able to offer all bankingservices with minimal cost 'to your Association. These minimal fees are related to overdrafts to the account and charge back fees. This means we will continue to be able to eliminate unnecessary bankassessment fees as a budgetary line item for your Association. At a time when Associations are struggling with issues associated with foreclosures and empty units, it is essential and important thatwe partner with a strong bank that is willing and able to control costs and at the same time protect your Association's financial assets. Currently there is a cost of $29.00 per overdraft transaction and

$10.00 per charge back. Please note that these fees are subject to change.

ACH Service - Mutual of Omaha Bank - CAB software can easily interface with our existing accounting software. All clients are eligible to send and receive payments by ACH, and our accountingteam would remain in control of this process. Those homeowners already enrolled in ACH will automatically be switched to the CAB system.

Homeowners that have a desire to sign up for this service can complete a form instructing our accounting team to add this service. Please note the current fee for charge backs is $10.00 pertransaction. This fee is subject to change.

ICS (or Insured Cash Sweep)- Mutual of Omaha Bank- CAB offers a separate program for their customers that covers deposits in money market savings accounts that exceed the general FDIC coverage,up to $2,000,000 per association tax ID number.

Competitive Business CD Rates -

CDARS® - CDARS® program allows associations to obtain up to $50 million FDIC insurance coverage for Certificate of Deposit (CDs). You can purchase either a single CD or combinations ofCDs from one source in virtually any denomination, simplifying investments and eliminating the hassles of dealing with multiple banks. You will receive one statement for all accounts, regardless ofhow many banks the funds are deposited in. In addition, you have a choice as to which member banks you want to invest in or chose to exclude when using this Promontory program.

Association Loans -CAB can provide financing for all types of community associations for common area repair and replacement, should the need arise. Unlike personal loans, these loans are available to theAssociation and are structured so that there are no liens on the individual homeowner's properties. The loans are to the Association and CAB does not require personal guarantees by Board Members orhomeowners.

Assessment Payment Options - CAB allows homeowners to make online payments which can be set up as a one time or scheduled as needed. There is no charge for an e-check. However,homeowners that choose to pay by credit card will be charged a processing fee. With this service, homeowners will be able to pay through a secure link on our www.adamllc.com web site or directly to Mutual ofOmaha - CAB at www.mutualofomahabank.com/community-associations/make-a­-payment.

In addition to the benefits listed above, CAB provides a dedicated Relationship Manager who is available to answer any questions about the bank or its, services. Our Manager is Manny San Miguel whois an experienced commercial banker for community associations.
