METHOD OF EVALUATION
The primary method of evaluation in this course is an examination worth 100% of the Grade.
Examination will be open book.
COURSE DESCRIPTION
The main objectives of this course are to:
introduce students to foundational corporate law concepts; and
explore some of the main topics encountered in a corporate law practice.
We will also briefly consider the law of partnership in order to provide an illuminating counter-point to the corporate law concept of limited liability.
The course emphasizes frequently encountered corporate law concepts such as:
the nature and effects of corporate personality
disregard of the corporate personality
the process of incorporation
pre-incorporation expenses and contracts
the doctrine of ultra vires
the tortious, criminal, regulatory and contractual liability of the corporation
corporate social responsibility
corporate capitalization
the roles and duties of corporate directors and officers
shareholders' rights and remedies
liability of directors and officers
the role of the corporate lawyer
