Employment Terms & Conditions
1. Introduction
These Terms and Conditions (“Agreement”) outline the expectations, practices, policies, and obligations between the employee and BloomchemAG Pvt. Ltd. This document should be read alongside your Summary of Key Terms and any applicable Schedules.
By signing this Agreement, you confirm your understanding and acceptance of these terms. Employees are expected to uphold the Company’s core values: Respect, Integrity, Service, Excellence, and Stewardship.
2. Pre-Employment and Ongoing Conditions
2.1 Probation Period
All employees will be on probation for six (6) months from the date of joining, unless extended by the Company.
Confirmation of employment will be communicated in writing. Absence of such communication may imply extension of probation.
2.2 Pre-employment Requirements
Employment is conditional upon:
Verification of legal right to work in India
Background/reference checks
Educational and professional qualification verification
Medical fitness (if required)
Criminal record check (if applicable)
Unsatisfactory results may lead to termination with 7 days’ notice.
2.3 Post-Joining Validation
If checks are pending after joining and results are unsatisfactory, the Company may terminate employment within 30 days of receiving the final report.
2.4 Qualification Maintenance
Employees must hold and maintain any required qualifications, licenses, or registrations applicable to their role.
2.5 Contact Information
Employees are responsible for keeping their contact and address details updated. Failure to do so may be treated as negligence.
2.6 Conflict of Interest
All conflicts between personal and Company interests must be disclosed immediately to your reporting manager and compliance officer.
2.7 Mandatory Training Programs
Employees must attend and complete mandatory training. Absence without valid reason for more than 2 days may result in realignment or termination. Any changes in process or compensation post-realignment will be communicated in writing.
3. Place of Work and Mobility
The primary place of work is specified in your Summary of Key Terms.
Travel to other locations within or outside India may be required.
Permanent relocation will be communicated in writing with reasonable notice.
4. Duties and Conduct
Employees agree to:
Adhere to Company values and ethics
Devote full time and attention to duties
Follow lawful directions
Avoid outside employment unless approved in writing
Report potential misconduct or illegal activity
Uphold professional behavior and confidentiality
5. Working Hours and Leave
Standard working hours: 9:30 AM – 6:30 PM, Monday to Saturday (9 hours/day)
2nd and 4th Saturdays off
Leave entitlements are governed by the Company’s leave policy under the Shops and Establishment Act
6. Salary and Compensation
6.1 Structure
Salary comprises fixed and variable (performance-linked) components.
6.2 Payment Schedule
Salary is credited around the 7th working day each month, after statutory deductions (PF, ESIC, Income Tax, etc.).
6.3 Review
Annual salary review does not guarantee increment.
6.4 Statutory Benefits
Provident Fund (PF), Employee State Insurance (ESIC), Gratuity, Bonus, Maternity/Paternity Benefits as per applicable Acts.
7. Termination and Notice Period
7.1 Notice Requirements
Post-confirmation: 30-day written notice by either party or salary in lieu.
During probation: Immediate termination or 1-day notice possible.
7.2 Grounds for Immediate Termination
Misconduct, insubordination, breach of confidentiality, fraud, dishonesty, criminal conviction, repeated underperformance (documented via PIP).
7.3 Full & Final Settlement
All dues will be settled per statutory timelines.
8. Confidentiality and Intellectual Property
Confidential business information must not be disclosed during or post-employment.
Intellectual property developed during employment belongs to the Company.
9. Prevention of Sexual Harassment (POSH)
Zero-tolerance policy; an Internal Complaints Committee (ICC) is constituted per POSH Act, 2013.
10. Dispute Resolution
Disputes will be resolved amicably; otherwise, courts of Delhi NCR jurisdiction apply.
11. Discretionary Incentive Award
Eligibility and amount are at the Company’s discretion.
Awards may be deferred, paid in non-cash form, or reduced/withheld based on performance, investigation outcomes, or errors in financial reporting.
Awards are subject to applicable taxes.
12. Post-Employment Restrictions (Non-Solicitation & Garden Leave)
12.1 Non-Solicitation
Employees shall not solicit clients, employees, or business partners for:
6 months post-termination if MD, Director, VP
3 months if AVP or below
12.2 Garden Leave
During notice period, employees may be placed on garden leave with full salary and benefits, and must remain available for handover/project work.
13. Compliance Policies
Employees must adhere to:

Anti-Bribery & Corruption Policy
Data Privacy & Confidentiality Policy
Whistleblower Policy
Leave & Attendance Policy
Internet and Email Usage Guidelines
Equal Opportunity and Anti-Discrimination Policy
Non-compliance may result in disciplinary action.
14. Performance Improvement Plan (PIP)
Employees failing performance expectations may be placed under PIP (30–60 days).
Continued non-performance may lead to separation.
15. Asset Return & Exit Compliance
All company assets must be returned upon separation.
Submit No Dues Certificate (NDC).
Failure to comply may delay Full & Final settlement.
16. Monitoring and Use of Resources
Company may monitor system and communication usage for compliance and security purposes.
Obligations under this document remain valid even post-termination.
17. Amendments and Updates
The Company reserves the right to revise or amend this Agreement.
Employees will be notified via written communication or intranet.
18. Final Acknowledgment
By signing, employees acknowledge reading, understanding, and agreeing to abide by these Terms & Conditions throughout their employment.
