Complex Matters
(Tony Coscia / Charles Liebling) Secaucus Junction Station - Represented an international development company in its negotiations with NJ Transit regarding additional development around and above the Secaucus Junction station. The project involved:
complex ownership issues,
overlapping governmental jurisdictions,
significant environmental constraints, and
changing railroad infrastructure requirements.
(Tony Coscia / Charles Liebling / Karl Piirimae) Morristown Transit Village - Represented the developer of New Jersey’s first Transit Village in Morristown, which was constructed on a NJ Transit-owned surface lot. The project included residential and retail uses, as well as structured parking for commuters and building occupants. The NJ Transit-related portion of the representation included extensive negotiations with the railroad with respect to:
site control,
garage requirements,
parking operations,
temporary parking during construction, and
financial relationships.
(Tony Coscia / Charles Liebling) Newark Infill Project - Represented the developer of an infill project in Newark, NJ requiring the acquisition of two surplus parcels owned by NJ Transit, one of which had been funded with Federal Transit Administration dollars. The negotiations required extensive interaction with both NJ Transit and the City of Newark, which was required by law to accept title on an intervening basis from the railroad.
(Tony Coscia /Karl Piirimae/ Charles Liebling/Edward Shea/Timothy O’Neill/ Sam Mizrahi) Meadowlands NJ Transit Rail Link - Represented the New Jersey Sports and Exposition Authority in connection with the construction of the new NJ Transit rail link to the Meadowlands. The project involved extensive coordination with NJ Transit’s engineering and real estate departments, substantial land acquisition, and significant environmental issues.
(Tony Coscia /Karl Piirimae/ Charles Liebling) New Brunswick Parking Authority - Represented a non-profit developer in New Brunswick on multiple urban redevelopment projects done in partnership with the New Brunswick Parking Authority involving:
parking construction,
financing, and
operations.
(Tony Coscia /Karl Piirimae/ Charles Liebling) Xanadu/American Dream - Represented the New Jersey Sports and Exposition Authority in connection with the negotiations for construction and operation of the Xanadu/American Dream project which, among other things, included extensive parking construction and coordination issues for the major uses at the Meadowlands facility.
Financing, Leases and Investments in Parking
(Frank Quinn – Wells Fargo / Wachovia and Nexus Properties) Counsel to a globally recognized financial institution in its lending and letter of credit activities to one of the preeminent public-private parking facilities managers. This work has provided us with a unique perspective on the underlying business and credit structures which accommodate the same.
(Karl Piirimae) Represented lenders in the financing of numerous parking facilities
(Patrick Calella) Represented numerous institutional and private real property developers in connection with the drafting and negotiation of parking garage leases in many U.S. cities including New York, Washington D.C. and Los Angeles.
(Sam Destito / Jay Samuels – Republic Parking, client lost bid, representation is approx. 10 years old as of 2011) Represented one of the largest privately held providers of parking management services in the U.S. in its bid for the construction and management of the parking facilities at a major regional airport, including preparation of the bid, negotiation of the parking management agreement, and negotiation of the parking facilities lease with the airport authority.
(Rick Bier) Served as counsel on the structuring of investor deals for the ownership and operation of a parking garage, including developing agreements that attract investors through the use of several interconnected limited liability companies.
(Mitch Gilbert / Ed Shea – FedEx, Long Island City) Serving as counsel to a preeminent, international logistics company on a land lease for a proposed parking lot in a New York City borough.
General Corporate Matters
(Rick Bier – Central Parking) Represented the family that owned Central Parking in general corporate matters.
(Bruce Bronster – Garage Management Company (GMC) Represented a leading parking facility throughout Manhattan, in various matters.
(Ed Shea – auto servicing company purchases seized / foreclosed cars from banks, insurance companies) Served as counsel to an auto servicing company on a storm water permit for a parking lot in upstate New York.
