ARTICLE I. Title:
By Laws of the Liberty Band Boosters
ARTICLE II. Name of Organization:
The name of this organization shall be "Liberty Band Boosters," which is a non-profit organization.
ARTICLE III. Purpose:
Section 1. The purpose of this organization shall be to assist the bands of the Liberty Schools and their Directors with any of their projects and to lend financial assistance to the bands for co-curricular and extracurricular needs and activities, and for the purpose of promoting social and recreational gatherings for its members, their families and friends, toward the end of cementing a good fellowship and a social cooperative spirit in this activity.
Section 2. It is understood that the Liberty Band Boosters, cannot commit the band, their Directors, or the Liberty Schools in any way; nor can the Band Directors or the School Administration commit the Liberty Band Boosters in any way.
ARTICLE IV. Membership:
Section 1. Any interested person or organization may become a member of the Liberty Band Boosters. Members may have the floor to discuss any questions before the meeting.
Section 2. Voting membership shall be limited to members who have been active participants in Liberty Band Boosters. “Active participation” shall be defined as participation in at least six activities of Liberty Band Boosters during the preceding year, including (without limitation) attendance at meetings, chaperoning band events, chaperoning band camp , working in concession stands or other fund raising activity, chairing or participating in the work of the committees of this organization, and assisting with uniforms, refreshments and the like. Each day or partial day of participation shall be considered a separate activity.
ARTICLE V. Officers:
Section 1. The officers of the Liberty Band Boosters shall be a President, a Vice President, Recording Secretary, Corresponding Secretary, Treasurer and Vice-Treasurer.
Section 2. The Officer Board shall be comprised of the officers, the Band Directors of the bands of the Liberty Schools (or their designates).
Section 3. The Officer Board shall have the authority to transact any necessary business between meetings of the organization.
Section 4. The Officer Board shall recommend to the membership projects for the Liberty Band Boosters and shall have supervision over the carrying out of these projects.
Section 5. Terms for officers and committees shall be for one year.
Section 6. No officer can serve more than two consecutive years in the same position.
Section 7. Officer vacancies occurring during the year shall be filled by election at the next regular monthly meeting of the membership, with the Executive Committee acting as a nominating committee.
Section 8. The Officer Board shall meet monthly during the fiscal year. The executive board will determine these dates for the upcoming year at the June meeting.
Section 9. Officers shall be elected at the March meeting of the membership.
Section 10. Terms for Officers commence with the May Annual Meeting following their election, with the exception of Treasurer and Vice Treasurer, whose terms shall commence as set forth in Article X of these By Laws.
Section 11. No two related people, either biologically or through marriage, will be on the Liberty Band Booster checking account.
ARTICLE VI. Executive Committee:
Section 1. The Executive Committee shall consist of the officers of the Band Boosters and chairmen of standing committees. The Band Directors of the Liberty School bands (or their designates) shall be ex-officio members of the Executive Committee.
Section 2. Standing Committees shall include Concert Program, Concessions, Chaperone, Fund Raising, Social, Telephone, and Uniforms.
Section 3 Committee Chairmen shall be appointed by the President with approval of a majority of the elected officers.
ARTICLE VII. Powers and Duties of Officers
Section 1. The powers and duties of officers except as herein stated shall be in accordance with the normal duties of officers.
Section 2. The President shall preside at all regular and special meetings. The President shall conduct the meetings, and appoint the membership of all committees, serve as chairman of the nominating committee and is ex-officio a member of all committees. The President shall see that the constitution, theses By-Laws, and amendments thereto, are adhered to.
Section 3. The Vice President shall act as aide to the President and shall perform the duties of the President in the absence or inability of that officer to act. The Vice President, in the absence of the President, shall appoint members of appointed committees.
Section 4. The Recording Secretary shall record the minutes of all meetings of the organization. The minutes to be read at the following regular meeting and shall make them available to the officers upon request.
Section 5. The Corresponding Secretary shall be responsible for all general correspondence and shall reply to all correspondence as per instructions from the Officer Board, Executive Committee or membership.
Section 6. The Treasurer shall be the custodian of all funds of the organization and shall keep a full and accurate account of receipt and expenditures. The Treasurer shall present a financial statement at all meetings of the organization and at other times when requested by either the Officer Board or Executive Board and shall make a full report at the annual meeting. The Treasurer shall receive all monies and shall place such funds in a depository to be approved by the Executive Board. Disbursements there from shall be wholly by check over the signatures of two of the following three officers: Treasurer, President, and Vice President. The Treasurer shall provide for an annual review or audit, of the financial records by a CPA firm or an analysis of the financial records by an internal audit committee before July 1st as requested by the Executive Committee.
Section 7.The Vice-Treasurer shall assist the Treasurer in the carrying out of his duties and shall assume the duties of Treasurer in the absence or inability of the Treasurer.
Section 8. The Board may appoint assistant Treasurers as needed for special projects. The Assistant Treasurer(s) shall assist the Treasurer and Vice-Treasurer, at all times, with receiving and disbursing monies. They shall be knowledgeable of all Treasury responsibility.
Section 9. Officers-Elect shall attend all Officer Board and Executive Committee meetings to provide program continuity from one school year to the next. They shall work side by side with official officers.
ARTICLE VIII Dues and Finances:
Section 1. The fiscal year shall be from June 1st to May 31st.
Section 2. A member shall not make an unbudgeted purchase without the approval of the executive committee.
Section 3. The membership cannot commit this organization's funds without review and recommendation by the appropriate committee and the Officer Board . Should the Band Boosters be dissolved, any monies remaining in the treasury shall be transferred to the Liberty High School (Band Trip Account) to be used solely for the Liberty School Bands as requested by the Band Director, not necessarily for travel expenses.
ARTICLE IX. Meetings:
Section 1. The Liberty Schools Band Boosters will have regular monthly meetings. The time, place and date of said meetings will be as set by the Officer Board.
Section 2. These meetings are to be held to conduct regular business of the Liberty Band Boosters, pay bills, promote ways and means and hear committee reports.
Section 3. The President, the majority of the Executive Board, or 10% of the voting membership, may call special meetings.
Section 4 . The annual meeting shall be held in May at a time and place designated by the Officer Board.
Section 5. The Band Directors (or their designate) shall be notified of all regular meetings, Executive Board meetings and special meetings.
Section 6. Attendance of Executive Board Members at regularly scheduled meeting is critical to the proper functioning of the association. Three officers and three members shall constitute a quorum for the transaction of business at a meeting of members
ARTICLE X. Election:
Section 1. The President shall appoint a Nominating Committee to bring forth a slate of officers. This committee is to consist of President, as chairman, plus four (4) regular members. It shall be the duty of this committee to nominate candidates for the offices to be filled at the March meeting.
Section 2. The Nominating Committee shall report the slate they have chosen to the membership at least one month before the general membership meeting at which officers are elected.
Section 3. Nominations from the floor shall be permitted before the election at the March meeting.
Section 4. Only those persons who have consented to serve shall be nominated for or elected to such office.
Section 5. Officers shall be elected by ballot, however, if there is but one nominee for any office, election for that office may be by a show of hands or a voice vote.
Section 6. Members may cast their vote by written proxy delivered to one of the Directors or the President prior to the commencement of the meeting at which the election is held. The proxy shall specify the candidate(s) for whom the vote is to be cast and shall not be subject to the discretion of the holder of the proxy.
Section 7. The Treasurer and Vice-Treasurer shall assume their duties after the accounting for the prior year has been completed and finance statements are presented to the executive board, no later than July 15th.
ARTICLE XI. Parliamentary Authority:
Section 1. Roberts Rules of Order shall govern all proceedings unless otherwise stated herein.
ARTICLE XII. Amendment procedure:
The Constitution and the by-laws when written may be amended or modified by 2/3 vote of the membership present at any regular meeting of the organization, provided that notice of the proposed change has been mailed to each voting member at least 10 days prior to the date of the meeting or has been presented at the previous membership meeting.
