Definition
A Governing Body (GB) is a group of people that has the authority to exercise governance over an organization through given power and authority to form the policy and steer the overall direction of an organization.
Objectives
The objectives of GB are to represent, plan strategic direction, set the organization’s goals, lead the organization, make the policies, oversee financial direction and accountability, supervise and evaluate management and inspire as a role model for staff.
Structure
The GB of KRIC is formulated by the Co-owners who have the prerogative to set duration of service tenure of members as well as authority to terminate the appointment of member(s). KRIC’s GB has the following structure:

Roles & Responsibilities
The GB is concerned with the ‘big picture’ aspects of its roles and not the day-to-day management of the organization. It works more effectively when all its members have a clear commitment to and shared understanding of these roles and responsibilities and how they are implemented within the organization. Following are the governing roles and responsibilities of GB:
1. Lead:
Represent all members and make sure they can participate and be heard; create vision; advocate, negotiate and maximize self-determination.
2. Plan:
Set overall direction, purpose, future strategies, goals, ethics and values.
3. Organize
Develop polices and governance arrangements; interact with management; steer relationships, alliances and collaborations with the public and other stakeholders.
4. Control
Ensure the organization is accountable, legally and financially stable; hire, support and oversee the performance of the top manager(s); monitor overall outcomes.
5. Serve
Whenever needed, GB Members become the volunteer staff and do whatever needs to be done to accomplish the organization's goals.
Functions
1. To set and monitor the organization’s mission, purpose, priorities and the strategies within the legal boundaries of the organization.
2. To involve the key stakeholders to set and monitor the organization’s mission.
3. Identify stakeholders’ interests, establish and maintain appropriate relationships, along with moral
responsibility to consult stakeholders about their expectations and requirements.
4. To develop policies that will ensure the organization functions in accordance with stakeholders’ directives.
5. To specify the key outcomes and ensure availability of adequate resources to achieve them.
6. To appoint and support the chief executive(s) and evaluate the performance and rewarding.
7. Most importantly, foresee and carry out risk management.
8. To monitor the organization’s programs and services.
9. To influence the decisions and finance utilization.
10. To report progress and performance, at least annually, to all the stakeholders.
11. To set the standards to evaluate its own governance/ performance.
Meetings
Meetings shall be generally held as per the schedule decided by the Patron-in-Chief or the Patron or as special case; when required for a specific task.
Quorum
The quorum for a meeting of the GB is a majority of members.

The present GB is comprised of distinguished current members who shall serve from July 2021 to June 2022:
