This Agreement constitutes a legally binding contract between you ("User," "you") and the Company, governing your access to and use of the Application.

• Agreement: This is a legally binding agreement between you and the Company. If you do not agree to these Terms, you must not access or use the Service.

• Age Requirements: You must be at least 18 years old to create an account and agree to these Terms on your own behalf. If you are between 16 and 18 years of age, you may only use the Service with the consent and under the supervision of your parent or legal guardian, who agrees to be bound by these Terms. The Service is not intended for children under 16.

• Description: oioScan is an application that allows you to use your mobile device to scan documents, images, and other physical items and convert them into digital files, primarily in PDF format.

• Changes to the Service: We reserve the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

• Company's Ownership: The Service and all materials therein, including, without limitation, software, source code, user interface, design, logos, trademarks, and other intellectual property (the "Company IP"), are owned or licensed by the Company and are protected by copyright, trademark, and other intellectual property laws.

• License Grant to You: Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the oioScan application on a device that you own or control, solely for your personal, non-commercial purposes.

• Definition: "User Content" means any and all files, documents, images, text, data, or other information that you scan, upload, create, store, or share through our Service.

• You Retain Ownership of Your Content: You retain full ownership and intellectual property rights to your User Content. Nothing in these Terms shall be construed as transferring any ownership of your User Content to us.

• Limited License to Us: To enable us to operate and provide the Service, you grant us a limited, worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, and display your User Content, but only to the extent necessary to provide the Service's features to you (e.g., converting your document to PDF, storing it on our cloud servers at your request, or displaying thumbnails in the app interface). This license terminates when you delete your User Content or your account.

• Your Responsibility for Your Content: You represent and warrant that you have all necessary rights to your User Content and that your User Content does not violate any applicable laws or infringe upon the rights of any third party (including privacy and intellectual property rights).

Prohibited Technical Conduct: You agree not to:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the application.

• Modify, copy, or create derivative works from the Service.

• Use any automated means (bots, scrapers) to access the Service.

• Interfere with or disrupt the servers or networks connected to the Service.

• Transmit any viruses, malware, or other malicious code.

Prohibited Content: You agree not to use the Service to scan, store, or share any content that:

• Is unlawful, defamatory, libelous, obscene, pornographic, or hateful.

• Violates the laws of the Socialist Republic of Vietnam, including but not limited to content that opposes the State, incites violence, contains false information causing public alarm, or undermines national traditions and customs.

• Infringes on the copyright, trademark, privacy, or other rights of any third party.

• Constitutes state secrets, business secrets, or personal secrets without proper authorization.

• Subscriptions: Certain features of the Service may require you to purchase a subscription ("Premium Services"). Subscription fees, terms, and features will be disclosed to you within the application at the time of purchase.

• Free Trials: We may offer a free trial period for Premium Services. If you do not cancel at least 24 hours before the end of the free trial, you will be automatically charged the subscription fee for the subsequent period.

• Auto-Renewal: All subscriptions are automatically renewable. Your subscription will automatically renew for successive periods of the same duration unless you turn off auto-renewal at least 24 hours before the end of the current subscription period. Deleting the app does not cancel your subscription.

• Managing Subscriptions: You are responsible for managing your subscriptions. You can cancel auto-renewal through your account settings in the Apple App Store or Google Play Store.

Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal data. The Privacy Policy is an integral part of these Terms. By using the Service, you consent to the data practices described in our Privacy Policy. 

• "As Is" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• Disclaimer on Legal Validity of Scans: The Service is a tool for creating digital copies for convenience and storage. You acknowledge that files created by oioScan do not have the legal validity to replace original documents or certified/notarized copies as required by Vietnamese law. You are solely responsible for the use of your scanned documents in any legal, administrative, or commercial proceedings.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO THE COMPANY IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

• Termination by You: You may stop using the Service at any time by canceling your subscriptions and uninstalling the application.

• Termination by Us: We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for any violation of these Terms.

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

• Dispute Resolution: Any dispute arising from or in connection with these Terms shall first be resolved through amicable negotiation. If negotiation fails, the dispute shall be submitted to the competent People's Court in [Hanoi, Vietnam] for resolution.

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and the Company regarding the Service.

• Changes to Terms: We may modify these Terms from time to time. We will notify you of material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
