2018 ANNUAL MEETING MINUTES

Board Members present
Dennis Brennan, President; Elisa Price, Treasurer; Ken Ramsauer, Secretary; Jose Pietri, Asst. Secretary/Asst. Treasurer. Dale Lyon, Vice President, not in attendance due to unforeseen conflict.

Of 45 lots, 9 lot owners signed in. 3 proxies were received.
Meeting was CALLED to ORDER by President, Dennis Brennan, @ 10:00 AM.
QUORUM was established from the Homeowners present.

Motion made to approve MEETING AGENDA/ 2nd/ Approved
The minutes of last December’s 2017 Annual Meeting were reviewed by all in attendance.

Mr. Brennan presented the President’s Report, highlighting 2017 community activity
- Relatively quiet year. Several new houses completed on Edinshire Street and two more under construction on Westerfield Road. 3 lots remain after those are completed. All owned by BRG Builders.
- Our HOA changed management companies in October
- Some maintenance completed on the entrance fence and several dead trees removed.
- Additional LED landscape lighting was installed along Old Weaver Trail and New Light Road.
- Household Pet Resolution adopted
- Upcoming projects for 2018: Start the process of NCDOT takeover of Edinshire Street stub (small section beyond Kalworth Road intersection.) Housing density has now been reached on Edinshire so this takeover can now be pursued.
- Reminder for those undertaking exterior painting projects – any change in color requires architectural approval. Repainting same color does not require approval.

Mrs. Price presented the Treasurer’s Report for year-to-date 2017 expenditures and year-end projections vs. 2017 budget.
- Two major budget items were re-negotiated in 2017 – Landscaping and management company, which, combined, represent ~2/3 of the annual HOA budget.
§ Landscaping: Requested bids from 4 companies. Labor costs significantly increased since last bidding so. Renewed with Huntscapes for 2 year contract.
§ Management Company: Requested bids from 9 companies. Signed with RPM for 2 year contract.
- $17,800 dues collected for 2017. Budget over-runs in Landscaping and Management Company fees partially offset by under-runs in utility costs. All other budgeted items in line with expectations.
- Operating reserves in place to cover any over-runs, as needed.
- $3 contributed to Capital Reserves for 2017. Capital Reserve account balance is $38K.
2018 Annual Budget was presented, reviewed, and discussed.
- Despite year-to-year increases in Landscaping and Management Company fees, dues are remaining flat for 2018.
§ For lots with houses that have certificates of occupancy, dues are $425/year.
§ For lots with no certificate of occupancy, dues are $212.50/year.
§ Budget includes reduced contribution to Capital Reserves of $1K for 2018.
- Motion made to ratify fiscal-year 2018 budget as presented/ 2nd/ Approved
Management Company Update
- Mr. Brennan led a discussion the change in the HOA’s management company, from Kohn-Ell to Resource Property Management (RPM) effective October 1, 2017.
- Devonshire’s RPM association manager is Jessica Creathorne. She can be reached by email at jcreathorne@rpmpropertypros.com, by phone at 919-240-4045 x106, or by fax at 919-651-1387. Mr. Brennan and Mrs. Price met with Ms. Creathorne and the turnover has been very smooth so far.
- Concern was raised from the floor that HOA members received packet from RPM asking for personal information but was unaware of the management company change. The change in management company happened quickly, however, more care will be given in the future to advance notification whenever possible.
- Mr. Brennan walked through a demonstration of the new Devonshire Owner’s Web Portal, maintained by RPM. https://caliber.cloud/CaliberWeb2_RPM/ First time users will need to create login & password. Need your account number to set up your access. Please contact RPM if you have misplaced your account number.
· Mrs. Price gave a brief summary of the Household Pet Resolution.
- Covenants state ‘2 household pets in house’ but gave Board option to pass resolution to define number, size & type. Inquiry received from potential buyer regarding number of indoor pets.
- Resolution passed to clarify that any number of indoor household pets is fine, so long as they don’t create nuisance or unsanitary condition. Noise violations handled through standard CC&R processes.

Opened up to the floor for General Discussion
- Parking Reminder – CC&Rs require homeowner parking in driveway or garage. Parking for certain types of Trailers is allowed if Trailer Parking approval is obtained.
- Question received from the floor regarding Natural Gas and whether or not it will be coming to Devonshire. PSNC sent out an interest survey earlier in the year but has not sent out any other updates indicating whether or not natural gas will be coming.
Nominations opened to fill two open seats for 3-year term to HOA Board of Directors. The current terms for Mrs. Price & Mr. Ramsauer end 12/31/17. Both are running for re-election. No other nominations were received by the Board secretary. No nominations were received from the floor.
- Motion made to accept Mrs. Price & Mr. Ramsauer by acclimation/ 2nd/ Approved unanimously by the body present
- Mrs. Price & Mr. Ramsauer were re-elected to the Board. Their new term ends 12/31/20.
