The purpose of the Cabot Historical Society is to foster in whatever way practical a respect and love for the history of Cabot, Vermont, and to aid in its discovery, preservation, and study. We therefore intend, insofar as our means permit, to do the following:
1. Maintain and operate a museum of items and articles of scholarly and/or aesthetic interest related to Cabot's past: the so-called Cabot Historical Rooms.
2. Study the genealogy of early settlers and prominent citizens.
3. Study and protect from harm local cemetaries, monuments, historic sites, and areas of archeological significance.
4. Recover, record, and preserve documents and written and oral materials related to Cabot's past.
5. Promote the restoration and preservation of significant Cabot buildings, by research of their past, assistance to their owners, or purchase and restoration by the Society.
6. To record, by interview, the recollections of Cabot's older residents, so they may be preserved for the future.

CABOT HISTORICAL SOCIETY, INC. ARTICLES OF ASSOCIATION
The Cabot Historical Society, Inc. is organized for the purpose of giving non-profit corporate existence to its members in their efforts to foster, in whatever way practical, a love and respect for the history of Cabot, Vermont, and to aid in its discovery, preservation, and study.
The Cabot Historical Society, Inc. therefore intends, insofar as our means permit, to do the following:
1. Maintain and operate a museum of items and articles of scholarly and/or aesthetic interest related to Cabot’s past.
2. Study and preserve the genealogy of early settlers and prominent citizens.
3. Study and protect from harm local cemeteries, monuments, historic sites, and areas of archeological significance.
4. Promote the restoration and preservation of significant Cabot buildings, by research of their past, assistance to their owners, or purchase and restoration by the Society.
5. Recover, record, and preserve documents and written and oral materials related to Cabot’s past.
6. Exercise property rights, engage in contracts, and carry on activities which are educational and constructive for members and the general public for the purpose of meeting the corporation’s historical objectives.
7. Receive gifts, grants, or aid from federal, state, or municipal government, school districts or private sources, and to purchase or otherwise acquire or hold, lease, rent, sell or mortgage, real and personal property for the purpose of carrying on the corporation business.
8. Receive gifts, grants, or aid from federal, state, or municipal government, school districts or private sources, and to participate when permitted in any project of these bodies promoting historical purposes.
9. Any other lawful purpose not inconsistent with the corporate purposes set forth above.
DISSOLUTION:
Upon the dissolution of this corporation, the Executive Board shall, after paying or making provision for payment of all liabilities of the corporation, dispose of all the assets of the corporation exclusively for charitable, educational, or religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501 (c)(3) of the Internal Revenue code of 1954 (or the corresponding provisions of any future United States Revenue Law), as the Executive board shall determine. Any such assets not so disposed of, shall be disposed of by a Court of Vermont or of the United States in the County of which Cabot is a part for such purposes and to such organizations as the Court shall determine organized and operated for similar and appropriate purposes.

MEMBERSHIP
Membership in this non-profit corporation shall be composed of such persons who:
1. Show an active and constructive interest in the activities of the corporation and an appreciation for its goals.
2. Pay such membership fees and dues as may from time to time be determined by the by-laws of the corporation, or amendments thereto.
GOVERNING BODY:
The corporation shall be governed by an Executive Board consisting of a President, Vice-President, Secretary, and Treasurer, all to be elected for one year terms at each annual meeting by the general membership, as provided for in the by-laws.
AMENDMENTS TO THE ARTICLES OF ASSOCIATION:
1. These articles of the corporation may be amended at any annual meeting or special meeting of the corporation membership, duly warned to act upon a stated amendment. The quorum for this purpose shall consist of not fewer than 51 % of the total membership.
2. A vote of the majority of those present at any duly called meeting shall be sufficient for the adoption of an amendment to these articles.
3. Proxy voting shall be permitted, in writing, at any meeting where distance or illness prevents personal attendance.
