ARTICLE V: Board of Directors

SECTION 1 Board

The Board of Directors shall be the governing body of this Association. The Board shall be composed of the elected officers, the immediate past president, and the chairpersons of Standing Committees. The immediate past president may serve as an ex-officio member of the Board of Directors and shall have voting rights.

SECTION 2 Duties of the Board of Directors

A. Require an annual review of financial records and transactions by a qualified individual approved by the Board of Directors. The reviewer shall submit a written confirmation to the Board of Directors for presentation to the membership at the first meeting after the conclusion of the fiscal year (August 31). B. Fill interim vacancies on the LEA-Retired Board.

C. Establish and approve financial policies of this Association.

D. Approve programs, functions, and projects and assist in their implementation.

E. Promote and encourage membership within LEA-Retired.
