Bylaws

ARTICLE I. MEMBERSHIP

Members of LL-PSU are encouraged to attend Board meetings and aid in the planning and execution of all LL-PSU events. Membership in LL-PSU shall be open to all adults who are interested in its programs. All members are eligible to attend all programs, social gatherings, and periodic newsletters.

ARTICLE II. DUES

The Board shall determine dues which are to be paid yearly after August 1.

ARTICLE III. MEETINGS

Section 1.0. Frequency of Meetings. Regular membership meetings of LL-PSU shall normally be held the first two Thursdays of October, November and February through May, and the second and third Thursdays in January. There will be a social gathering twice a year, in December and at the end of the year.

Section 1.2. Location of Meetings. Regular membership meetings will be held at PSU or at a centrally located area accessible to members.

Section 1.3. A schedule of LL-PSU regular membership meetings will be printed in the newsletter and on the website. Meetings will include announcements and a program.

ARTICLE IV. QUORUM

A minimum of 15 members present at a membership meeting shall constitute a quorum. Proposed changes to the Constitution shall require a majority vote with a quorum present at a regular membership meeting. In case of a tie vote, the President shall cast the deciding vote.

ARTICLE V. PARLIAMENTARY AUTHORITY

The rules of parliamentary procedure, as set forth in "Robert's Rules of Order Revised," shall govern the proceedings of LL-PSU, subject to any special rules, which may have been, or will be, adopted by a majority vote of the members at a meeting.

ARTICLE VI. FISCAL YEAR

The fiscal year of RAPSU shall run from August 1 through the following July 31.

ARTICLE VII. ADVISOR AND OFFICERS

Section 1.0. Advisor. The Program Director of the Senior Adult Learning Center (SALC) shall act in an advisory capacity to LL-PSU.

Section 1.2. Executive Committee. The Executive Committee shall be elected by the membership. The officers shall be the President, President-Elect, Secretary, Treasurer, and Immediate Past President.

A. President: The President shall be the presiding officer at all regular membership and board meetings unless this duty is delegated to the President-elect or, in absence, to another officer. The President shall appoint ad hoc committees as needed.

B. President-Elect: The President-elect shall automatically become President when the President has served a full term. The President-elect shall assist in other duties as the President may delegate.

C. Secretary: The Secretary shall take minutes at Board and regular membership meetings. The Secretary shall assist in other duties as the President may delegate.

D. Treasurer:

1. Before the beginning of each fiscal year the Treasurer, President, and the President-elect shall sign bank signature cards allowing them to sign LL-PSU checks. The Treasurer shall have the responsibility of monitoring and reconciling the bank account during the fiscal year.

2. The Treasurer shall receive all payments to LL-PSU including dues, donations, and miscellaneous income. The Treasurer shall deposit all income into the LL-PSU checking account.

3. The Treasurer shall receive all invoices and other requests for payment and promptly pay these operating expenses from the checking account. In the event the Treasurer is unable to perform these duties the President shall be responsible.

4. The Treasurer shall maintain a monthly record of all membership remittances to include, at a minimum, names, amount, date of payment, and check number/cash payment.

5. The Treasurer shall make monthly reports to the Board of LL-PSU’s finances. The Treasurer shall prepare a yearly budget projecting income and expenditures for the year to present to the Board for approval at the first Board meeting of each fiscal year.

6. At the discretion of the Board the Treasurer shall direct yearly audits LL-PSU’s accounts and records by a person with a qualified financial background approved by the Board.

7. The Treasurer shall assist in other duties as the President may delegate.

E. Immediate Past President: The Immediate Past President shall be a consultant to other officers and shall assist in other duties as the President may delegate.

ARTICLE VIII. SUCCESSION TO ACT AS OFFICERS

In the event of a vacancy or temporary absence of the President, the incumbents holding the Executive Committee positions designated below, in the order indicated, shall act for and exercise the powers of the President as Acting President:

Immediate Past-President

Secretary

Treasurer

ARTICLE IX. ELECTIONS, APPOINTMENTS, AND TERM OF OFFICE

Section 1.0. Election of Executive Committee. The slate of officers will be published before the election of officers at the first Thursday membership meeting in May (or as otherwise decided by the Board). Elections shall be decided by a majority vote of members present at a regular membership meeting. In case there is no nominee for a position, the Executive Committee will appoint a person to fill that position until such a person becomes available.

Section 1.2. Appointment of Chairpersons. The Executive Committee shall appoint the Standing Committee Chairpersons.

Section 1.3. Term of Office. Executive Committee members shall be elected for a term of one year.

ARTICLE X. BOARD

The Board shall consist of the Executive Committee and the appointed Standing Committee Chairpersons of Membership, Newsletter, Webmaster, Programs, Hospitality, Social, and Member Outreach.

Standing Committee Responsibilities:

A. Membership Chairperson shall:

1. Recruit new members, maintain current membership database, and appoint a committee to assist in these duties.

2. Make every effort to engender an atmosphere of welcome at all meetings.

3. Send an e-mail welcoming new members. If a new member does not have an e-mail address, advise the Member Outreach Chairperson so a note can be mailed.

4. Assist in other duties as the President may delegate.

B. Newsletter Editor shall:

1. Prepare, print, and distribute a periodic newsletter by electronic and/or postal mail.

2. Assist in other duties as the President may delegate.

C. Webmaster shall:

1. Maintain the RAPSU website with current information.

2. Maintain e-mail correspondence addressed to LL-PSU.

3. Assist in other duties as the President may delegate.

D. Programs Chairperson shall:

1. Plans and carries out the programs and appoints a committee, if deemed necessary, to assist in these duties.

2. Actively seeks program speaker recommendations, especially from other LL-PSU members.

3. Responsible for the details of the meetings, including reservation of meeting rooms, guest parking, visual aids, introduction of speakers, and announcements of future meetings.

4. Obtain information from speakers, e.g., biographical, program topic, Internet links, in order to forward that information to the Newsletter Editor.

5. Maintains active communications with the Newsletter Editor regarding future programs.

6. Assist in other duties as the President may delegate.

E. Hospitality Chairperson shall:

1. Maintains the refreshment table and appoints a committee to assist in these duties.

2. Assist in other duties as the President may delegate.

F. Social Chairperson shall:

1. Plan social activities, such as luncheons and parties, and appoint a committee to assist in these duties.

2. Assist in other duties as the President may delegate.

G. Member Outreach shall:

1. Write and send "Thank You" notes to speakers, donors, and those providing extra service.

2. Send "Get Well," "Sympathy," "Thinking of You," "Congratulations" and other cards to members.

3. Upon referral from Membership Chair, by phone welcome new members who do not have e-mail. Prior to LL-PSU Board meeting, submit monthly Member Outreach Report to President and Secretary by e-mail.

4. Assist in other duties as the President may delegate.

ARTICLE XII. AMENDMENTS

The Bylaws will be amended by the Board.
