TERMS AND CONDITIONS

The terms and conditions in this agreement govern any and all use of the sites.google.com/givingcircle.org/gsgc-mentors resource website and any of its related products and services (the "Agreement") by any person.  Accessing or using the website or its  services, products or content  constitutes acknowledgment that the person doing so has read, understood and agrees to be bound by the terms of this Agreement.  In consideration of such access or use, this Agreement is legally binding between any user and Global Sojourns Giving Circle ("GSGC").

SECTION 1. ACCOUNTS AND MEMBERSHIP

You must be at least 18 years old to use the website and services.

SECTION 2. USER CONTENT

GSGC owns the contents of the Mentors Resource Centre (“MRC”) and its knowledge base, although Mentors are valuable and voluntary contributors of content. GSGC does not pay for receiving content.

GSGC may access, copy, distribute, store, transmit, reformat, display and perform the contents but shall work with Mentors to ensure the accuracy, quality, reliability and appropriateness of the contents.

SECTION 3. ACCESS

Access to the MRC is subject to this Agreement. Such access to the MRC shall only be granted while a user is a member of the GSGC Mentor Network. This access shall terminate once the partnership between GSGC and the user ends.

Access shall be gained by logging into the site using using the gmail login provided by GSGC. Login details must not be shared with anyone, including family members, friends, other Mentors or club members without GSGC’s express written consent. 

SECTION 4. PROHIBITED USES

No one may use the website and services or content: (a) for any unlawful purpose; (b) to ask others to perform or participate in illegal acts; (c) to violate any rules, regulations, laws or ordinances; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin or disability; (e) to submit false or misleading information; (f) to upload or transmit viruses or malicious software that could affect the functionality or operation of the website, services or the Internet, or to spam, phish, pharm, pretext, spider, crawl, or scrape; or (g) for any obscene or immoral purpose. Use of the website and services may be terminated for violating any prohibited use.

SECTION 5. INTELLECTUAL PROPERTY RIGHTS

"Intellectual Property Rights" means all present and future rights are given to GSGC in relation to the creation of the MRC and its copyright and trademarks, designs, patents, inventions and goodwill, whether registered or unregistered. 

Pursuant to this Agreement any intellectual property owned by GSGC and all rights, titles and interests related thereto shall remain only with GSGC. All trademarks, service marks, graphics and logos used in connection with the website and services are trademarks or registered trademarks of GSGC. Other intellectual property used in connection with the website may belong to third parties, but use of the website and services does not grant any right to reproduce any of the GSGC or third-party trademarks.

Mentors are prohibited from copying and distributing MRC content without GSGC’s express written consent. Any Mentors violating this prohibition will be precluded from any further access to or use of the MRC or material obtained therefrom, and will be subject to paying damages to GSGC for value of the use of the material, or for damage to the reputation of GSGC or its materials. Any Party other than GSGC and Mentors is  prohibited from making any use of the MRC or any part of the contents of the MRC

SECTION 6. LIMITATION OF LIABILITY

To the fullest extent of the law, in no event will GSGC, its directors, officers, employees or agents be liable for any damages arising from the creation or use of the Mentors Resource Center, the materials therein, or this agreement however caused, under any theory of liability, even if the liable party could have foreseen such damages.

SECTION 7. INDEMNIFICATION

Any person who access or uses the website or its services, products or content agrees to hold GSGC and its directors, officers, employees and agents harmless from any liabilities, losses, damages or costs or demands asserted against any of them as a result of or relating to the use of the website, or its services, products or content, including any willful misconduct by a Mentor or other user.

SECTION 8. DISPUTE RESOLUTION

Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in State of Washington, State of Washington before a single arbitrator. If the parties’ are unable to agree upon the arbitrator, the arbitrator shall be selected by JAMS. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The arbitration shall be governed by the laws of the State of Washington.

SECTION 9. CHANGES AND AMENDMENTS

GSGC reserves the right to modify this Agreement or its terms relating to the website and services, effective upon notifying Users and posting an updated version on the website. Continued use of the website after any changes will mean you agree to the changes.

SECTION 10. ACCEPTANCE OF THESE TERMS 

You, as a User, acknowledge that you have read this agreement and agree to all its terms and conditions. By accessing and using the MRC website and services, you agree to be bound by this agreement.
