DUTIES OF TNPV COUNCIL AND ITS MEMBERS
Powers and Duties of The North Pacific Vision Council
1 - The Council shall be the governing body of TNPV and shall have the management and control of the affairs of the TNPV Competition.
2 - The Council as a whole shall ensure that the duties and tasks of the Council are achieved by delegating them across the Council, where appropriate, rather than relying upon a single member to execute such duties and tasks.
3 - The Council shall be responsible to TNPV for carrying out the functions of a Council as set out below and implementing the decisions made by the Council in General Meeting.
3.1 - The primary unit of TNPV shall be the Council which shall, be responsible to TNPV for:
(a) Furthering and attaining the objects of TNPV.
(b) Giving effect to all decisions of the Council
(c) The due observance of TNPV Rules, Bye-Laws and Council Regulations.
4 - The Council shall also be responsible for:
(a) Dealing with any application for membership of the Council; and
(b) Taking proceedings to suspend or expel members of the Council if appropriate.
(c) Taking proceedings to suspend or expel participants of the TNPV Competition if appropriate.
Responsibilities
5 - The Chairman, as facilitator, shall be responsible to, delegating as appropriate within, the Council for (but not limited to):
(a) Ensuring that all members of the Council are aware of their roles, what is expected of them and that they are carrying out the duties allocated to them. They should also ensure that a succession plan is in place for not only their own position but for the other Officers of the Council;
(b) Chairing Council meetings and ensuring that the decisions of the Council, providing such decisions are lawful and within the terms of the TNPV Rules, Bye-laws and Regulations, are implemented;
(c) Chairing the Council's Extraordinary General Meeting using the same criteria as for Council Ordinary meetings. However, they may delegate this role to another member of the Council for all or part of the meeting where a conflict of interest might be perceived, such as in elections;
(d) Identifying, with other members of the Council and TNPV, those members of the Council and TNPV who do outstanding work for the Council and TNPV and who may be deserving of recognition for their efforts and nominate them accordingly;
(e) Ensuring that any issues that may affect the future or reputation of the Council or TNPV are notified promptly to the Council;
(f) Liaising and coordinating the Councils representation with the regional government and other regions and their governments if appropriate.
(g) Ensuring that Council members and TNPVers are kept informed regarding Council and TNPvers activities, and that, within the resources available, their needs, are met;
(h) Encouraging and leading Council/TNPVers membership recruitment and other activities.
6 - The Vice-Chairman is immediately subordinate to a chairman and serves as such in the latter's absence.
(a) Acts for and assists the Chairman.
(b) In the Chairman's absence, fulfils the duties of Chairman in accordance with the responsibilities detailed in item 5.
7 - The Secretary shall be responsible to the Council for (but not limited to):
(a) At the first meeting of the fully constituted Council following the Extraordinary General Meeting, drawing the attention of the Members of the Council to their responsibilities In accordance with TNPV rules and any guidance issued by Council;
(b) Dealing with correspondence addressed to the Council
(c) Maintaining the records of the Council;
(d) Taking Minutes of General Meetings and meetings of the Council and ensuring that such minutes are promptly displayed for viewing by all members;
(e) Coordinating the implementation of actions arising from General Meetings of the Council;
(f) Informing TNPVers of the names and categories of the Members of the Council; and
(g) Dealing with the upkeep of all TNPV and Council documents.
8 - The Facilitator shall be responsible to the Council and will be providing assistance to the hosting nation, they will be the direct contact between the Council and the host.
(a) A Facilitator will be chosen ahead of every edition.
(b) They are to collect all votes sent to the host as a backup in case of the loss, for any reason, of votes sent to the hosting nation
(c) The Facilitator and Host must always vote first by sharing their votes with each other to prevent tactical voting.
(d) The facilitator will be in contact with the host, gathering voting information and ensuring that song choices are in accordance with our current rule set.
(e) A nation may serve as facilitator multiple editions in a row.
Note: All the above tasks may be delegated to other Council members.
Voting
1 - The Chairman will seek consensus to a vote taking place by voting on discord with either AYE, NAY or ABSTAIN. Abstentions do not count in tallying the vote negatively or positively; when Councillors abstain, they are in effect attending only to contribute to a quorum. If the Council members do not agree unanimously to the vote being taken it should then be decided by a quorum/majority vote.
The Chairman has a casting vote which means if there is a tie in the number of votes the Chairman has a second or casting vote.
2 - There are other majorities that can be achieved through voting:
(a) A simple majority, a motion has to obtain the most votes.
(b) An absolute majority, a motion must obtain over a half of the votes cast, or 50% plus 1 votes.
3 - Supermajority voting results will hopefully be the most common results achieving quorum. All Council voting must achieve quorum to pass a motion. Anything less, then the motion will not pass. This will result in either abandoning or more discussion on the motion. It is always best to discuss the motion before voting so a clear understanding of the motion is achieved, especially of what the passing or failing of the motion will result in the overall future of TNPV.
