Cooperative Membership Agreement


Welcome to the CITVN COOP family!

CITVN COOP is an association of media communications professionals and students who organized in the State of Ohio a nonprofit multi-stakeholder Journalism Cooperative business. The business was incorporated in 2005, is 501(c)3 tax-exempt and is presently managed by uncompensated voluntary members of the Catholic Worker Movement.

CITVN COOP is faith-based and ecumenical. The Journalism Cooperative exists to collaboratively produce and distribute photojournalism, documentary and live stream productions that promote social communications and peace. CITVN COOP productions educate, further a social cause, promote peaceful dialogue and provide a public benefit. CITVN COOP productions benefit universities, museums, nonprofits and give voice to the poor. We invite underwriters and the public participate in our mission. We abide by the Catholic Press Association code of ethics. We donate 80% of net operating income to fund indigent beds in sober houses for homeless people in recovery from addictions.

We weigh well our responsibility as media communications professionals to put forward with fullest objectivity the rights, problems and mentalities of two or more sides, so as to promote understanding and dialogue between groups, countries and civilizations. We strive to produce communications that promote peace through: (1) a correct, just and constructive use of information, free from oppression, abuses and discriminations based on political, economic or ideological power; and (2) content that educates constructively and promotes in the spirit of peace a legitimate pluralism inclined towards the principles of respectful dialog, responsible dissent and nonviolent conflict resolution; thereby shunning communications techniques designed to foment partisan fears, division and the use of force.

We are inspired by the Hebrew and Greek Scriptures and the annual World Communications Day messages of the Catholic Church.

CITVN COOP members participate onsite and/or remotely in a CITVN production to help support the homeless. Once project participation is complete, members may apply to CITVN for Pre-approved Grant Relationship Fiscal Sponsorship. Services include collaborative members assistance in pre-production, production, post-production and distribution tasks, grant writing assistance, accounting and grants management, Sony cinema grade production equipment loans, access to CITVN COOP Adobe Creative Cloud Frame IO collaboration platform, Wirecast - NDI 5 live stream virtual production platform, underwriter development, advertising, press release, distribution services, group product and service purchasing discounts, tax preparation, and business planning services. All CITVN COOP services are provided to sponsored members at-cost. Collaborative peer support is designed to help mentor young people on a shoe string budget who want to learn, launch and grow their own media production business.

The CITVN social co-operative is legally defined as follows:

The objective is the general benefit of the community, that exists to produce, distribute, and monetize documentary and live stream productions to generate net operating income sufficient to cover operational costs, pay a patronage refund to project collaborators and fund indigent beds in level-1 peer-supported sober house communities for homeless people in recovery from addictions. 80% of sober house residents achieve sustainable faith – measured as one year of continuous abstinence from drugs and alcohol.

  • CITVN membership is faith-based, ecumenical, and open to media professionals and students. We do not discriminate on the basis of race, color, religion, sex (including pregnancy and gender identity), national origin, political affiliation, sexual orientation, marital status, disability, genetic information, age, membership in an employee organization, retaliation, parental status, military service, ex-felon record, or other non-merit factor.

  • Members produce and distribute nonprofit educational documentary and live stream productions that benefit public television stations, universities, K12 schools, religious institutions, nonprofit associations, and general public audiences.


  • CITVN is a nonprofit business that has been granted tax-exempt status by the Internal Revenue Service (IRS) because it furthers social causes and provides a benefit to a Section 501(c)(3) organization and/or a public benefit.

  • Productions may not provide a benefit to political parties described in IRS section 527 (such as a candidate committee, political party committee or political action committee (PAC)) or to a for-profit business organization.

  • Stakeholders may become members, including paid employees, independent contractors, beneficiaries, volunteers (up to 50% of members), underwriters, financial investors and public institutions.

  • The co-operative has legal personality and limited liability.

  • Voting is one person, one vote.


  • Taxation.


Nonprofit cooperatives are eligible for a different type of federal tax exemption. “Operating on a cooperative basis” means that the business operates to deliver Services to Members at cost rather than to produce a return to investors. Surplus earnings are used for charitable purposes or retained. Therefore the IRS exempts from corporate taxation all cooperative Services that are distributed to members or patrons on the basis of use.


  • Employee Compensation.


Presently, CITVN COOP is all volunteer and has no employees in an effort to keep overhead low for sponsored projects.


The IRS states that “no part of a section 501(c)(3) organization’s net earnings may inure to the benefit of any private shareholder or individual.”


Employees receive fair compensation for work that is done

  • Compensation levels are determined by the Board of Directors.


  • Compensation is taxable.

  • No more than 80% of CITVN COOP annual net operating income shall be allocated to pay for indigent beds in level-1 peer-supported sober houses made available to assist homeless people in recovery from addictions.

  • No more than 20% of CITVN COOP annual net operating income shall be designated as retained earnings, interest is limited to the bond rate and dissolution is altruistic (assets may not be distributed).


  • In the event of dissolution, the net assets of CITVN shall be distributed to a nonprofit selected by the Board.

  • CITVN was founded and is presently managed by members of the Catholic Worker Movement. Catholic Workers are voluntarily poor, provide a house of hospitality for the homeless, practice the Works of Mercy, receive no compensation and may not live beyond the means of the least among us.

Pre-approved Grant Relationship Fiscal Sponsorship

Members who operate a for-profit business and have completed participation in a CITVN COOP production may apply for CITVN Pre-approved Grant Relationship Fiscal Sponsorship and utilize at-cost shared Services if they abide by the terms of association, Marketing Agreement (below) and agree to donate 10% of gross income of project sales to help support sober house communities.

A fiscally sponsored project does not become a program owned by CITVN COOP. You are responsible for your own tax and liability issues.

Sponsored projects have access to all Member Benefits and Member Services at-cost.

Membership

1. Non-exclusive License. CITVN shall offer each Coop Member a participation assignment in a CITVN or sponsored Producer documentary video or live stream production (Services). This participation assignment is not exclusive and is subject to redistricting by CITVN management.

2. All subscriptions, renewals, sales and information concerning subscribers, advertisers and video sales and travel services, become the property of CITVN COOP, who licenses to Coop Member under this Agreement non-exclusive rights to repurpose CITVN media at no direct cost under a Creative Commons License. Coop Member may sell CITVN products and services at prices determined by Management, it being understood that Products and Services will be directly provided to subscribers by CITVN.

3. Member Benefits. In addition to the sense of humility and peace that comes from contributing time and talents to collaboratively produce and sell media that benefits nonprofits, and serve the homeless in recovery from addictions, members have access to:

b. travel and lodging expenses are paid by CITVN COOP for participation in a CITVN production

c. training in technologies and production processes

e. Creative Commons license for free to repurpose CITVN COOP media assets

Term; Renewal; Termination

(a) CITVN Coop annual membership can be purchased for a donation of $1.00 or more and is active for one calendar year, receipt of which is acknowledged as an equity investment in the Association.

(b) It is understood and agreed that no property rights are acquired by Co-op Member to any CITVN COOP production or assets pertaining to this Agreement, nor by the heirs, executors, administrators or assigns of Co-op Member.

(c) Filing of bankruptcy proceedings by or against Co-op Member during the pendency of this Agreement, including any renewal hereof, shall act to automatically terminate this Agreement and all shareholder rights of Member.


Meetings of Members

Annual Meeting. The annual meeting of the members of this cooperative association shall be held in Zoom virtual videoconference, during the month of December at such time and on such date as the board of directors shall designate.

Notice of Meetings. Notice of every regular and special meetings of members shall be prepared and emailed to the last known address of each member not less than 30 days before such meeting. Such notice shall state the nature of the business expected to be conducted and the time and place of the meeting. No business shall be transacted other than that referred to in the notice.

Voting. Unless otherwise stated in the articles of incorporation, or these bylaws, or required by applicable law, all questions shall be decided by a vote of a majority of the members voting thereon. Each member shall be entitled to only one vote. Voting by mail shall not be permitted. Proxy voting shall not be allowed.

Quorum. Two Board members or ten percent of the membership, whichever is a larger number, shall constitute a quorum at any properly called membership meeting.


Directors and Officers

While the members own and control the cooperative, the responsibility for continuous supervision of the association is delegated to a small group of democratically elected leaders referred to as the board of directors, who in turn select officers to carry out specific leadership duties. Many cooperative experts consider the selection of directors as the most important governance decision made by the membership.

Board Members are responsible for selecting the Executive Producer, protecting member assets by providing for appropriate bonds and insurance, an accounting and auditing system, and board control of association funds. Board Members shall make all rules and regulations not inconsistent with law, the articles of incorporation, or bylaws for the management of the business and the guidance of the members, officers, employees, and agents of the association.

CITVN Coop may have five elected Directors: President, Vice President, Treasurer, Secretary and Executive Producer. If fewer than five members exist, the Board shall consist of all members who meet the experiential requirements. Each director must own or have owned their own media production company and have demonstrated knowledge of creative production processes and business practices. Directors must be members in good standing of CITVN COOP and have completed voluntary participation in a CITVN production, to include participation in pre-production planning, production, post-production and distribution tasks. Board members are nominated and elected by members for a term of three years on a staggered basis. There are no term limits. Board members are not compensated.

If a board member becomes unable to serve, the remaining directors select an interim director to fill a board vacancy until the next annual membership meeting. Whenever any director shall fail to attend three (3) consecutive board meetings, either regular or special, without just cause and provided that notice of such meetings has been given in accordance with these bylaws, then it shall be the duty of the board to remove said director by majority vote and to fill the vacancy. The ultimate authority in a cooperative is vested in the members, and they may remove a director at will.

The board of directors shall have power to employ, define duties, fix compensation, and dismiss an Executive Producer with or without cause at any time. At present, CITVN is managed by members of the Catholic Worker Movement (Executive Producer). Catholic Workers receive no compensation.

Special Board Meetings. A special meeting of the board of directors shall be held whenever called by the President, Executive Producer or by a majority of the directors. Only the business specified in the emailed notice shall be transacted at a special meeting.

Audit. If charitable expenses exceed $750,000 in a calendar year, the board of directors shall secure the services of a competent and disinterested public auditor or accountant, who shall make a careful audit of the books and accounts of the association and render a report in writing thereon, which report shall be submitted to the directors and the manager of the association and made available to the members of the association.

Depository. The board of directors shall select one or more banks to act as depositories of the funds of the association and determine the manner of receiving, depositing, and disbursing the funds of the association and the form of checks and the person or persons by whom they shall be signed, with the power to change such banks and the person or persons signing such checks and the form thereof at will.

Duties of President. The president shall (1) preside over all meetings of the association and of the board of directors: (2) call special meetings of the board of directors; (3) appoint such committees as the board of directors may deem advisable for the proper conduct of the cooperative: and (4) perform all acts and duties usually performed by a presiding officer.

Duties of Vice President. In the absence or disability of the president, the vice president shall perform the duties of the president, provided, however, that in case of death, resignation, or disability of the president, the board of directors may declare the office vacant and elect any eligible person president.

Duties of Secretary. The secretary shall keep a complete record of all meetings of the association and of the board of directors and shall have general charge and supervision of the books and records of the association. The secretary shall sign papers pertaining to the association as authorized or directed by the board of directors. The secretary shall serve all notices required by law and by these bylaws and shall make a full report of all matters and business pertaining to the office to the members at the annual meeting. The secretary shall keep the corporate seal and all books of blank certificates, complete and countersign all certificates issued, and affix the corporate seal to all papers requiring a seal: shall keep complete stock ownership records: shall make all reports required by law: and shall perform such other duties as may be required by the association or the board of directors. Upon the election of a successor, the secretary shall turn over all books and other property belonging to the association.

Duties of Treasurer. The treasurer shall be responsible for financial oversight and shall review the books of accounts of all transactions of the association. The Treasurer shall have viewer permission to access the QuickBooks accounting system. The treasurer shall perform such duties with respect to the finances of the association as may be prescribed by the board of directors. At the expiration of his term of office, the treasurer shall promptly turn over to his successor all monies, property, books, records, and documents pertaining to his office or belonging to the association.

The Executive Producer is elected by the Board. The Executive Producer is a member of the Board of Directors. The Executive Producer, not the board, runs the day-to-day business operations of the cooperative. This includes project selection, managing pre-production / production / post-production / advertising / distribution processes, hiring and firing of employees, vendors and contractors, member management and financial / management accounting functions. If the board is dissatisfied with the way the cooperative is conducting its affairs, it should exercise its authority to replace the Executive Producer, but it may not take on the Executive Producer’s responsibilities. The Executive Producer submits an accounting to the Board at year end and presents the next year’s annual budget for Board approval. Discretionary off-budget spending during a calendar year that exceeds 20% of retained earnings and loan authorizations must be pre-approval by a special meeting of the Board. The Executive Producer is not compensated.


Operation at Cost. The association shall at all times be operated on a cooperative service-at-cost basis for the mutual benefit of its member patrons. In order to induce patronage and to assure that this association will operate on a service-at-cost basis in all its transactions with its members, the association is obligated to account to all member patrons on an annual basis for all revenue, expenses and business profit or loss.


Fiscal Year. The fiscal year of this association shall commence on the first day of January and end on the last day of December.


Patronage and Nonpatronage Income

CITVN may accept both patronage and nonpatronage sourced income, such as grants, underwriter contributions, and fees for accounting and tax preparation services. Financial results on patronage and nonpatronage business income is separated: gains and losses within each category can be combined, or “netted,” for tax purposes; and losses under either category can be carried back or forward to offset earnings in other years under the applicable provisions of the tax code for businesses in general.

Patronage Losses. Members have limited liability, not to exceed the cumulative annual donations to their capital account. In the event the association suffers a loss during any year on business conducted with or for patrons, the Board shall have full authority to prescribe the basis on which capital furnished by patrons may be reduced or such loss otherwise equitably apportioned among the patrons. In the event of a patronage loss in one or more departments or divisions of the operation of this association, but not so much as to cause an overall loss for the fiscal year, such loss or losses may be prorated against each of the remaining profitable departments on the basis of their respective percentage of the net margins during such fiscal year. It is our goal to manage assets and liabilities prudently to assure sustainable operations.

Nonpatronage Losses. If in any fiscal year the association shall incur a loss other than on patronage operations, such loss may be charged against any reserve accumulated from nonpatronage earnings in prior years.

General Provisions. The board shall have no authority to make assessments against members. This section shall not be construed to deprive the association of the right to carry backward or forward losses from any source whatsoever in accordance with the Internal Revenue Code or state taxing statutes.


Dissolution. CITVN assets are altruistic (assets may not be distributed to members). In the event of dissolution, the net assets of CITVN shall be distributed to a nonprofit selected by the Board.

Indemnification.


Directors, officers and employees have limited liability.

The corporation shall, to the extent legally permissible, indemnify each person who may serve or who has served at any time as an officer, director, or employee of the corporation against all expenses and liabilities, including, without limitation, counsel fees, judgments, fines, excise taxes, penalties and settlement payments, reasonably incurred by or imposed upon such person in connection with any threatened, pending or completed action, suit or proceeding in which he or she may become involved by reason of his or her service in such capacity; provided that no indemnification shall be provided for any such person with respect to any matter as to which he or she shall have been finally adjudicated in any proceeding not to have acted in good faith in the reasonable belief that such action was in the best interests of the corporation; and further provided that any compromise or settlement payment shall be approved by a majority vote of a quorum of directors who are not at that time parties to the proceeding.

The indemnification provided hereunder shall inure to the benefit of the heirs, executors and administrators of persons entitled to indemnification hereunder. The right of indemnification under this Article shall be in addition to and not exclusive of all other rights to which any person may be entitled.

No amendment or repeal of the provisions of this Article which adversely affects the right of an indemnified person under this Article shall apply to such person with respect to those acts or omissions which occurred at any time prior to such amendment or repeal, unless such amendment or repeal was voted by or was made with the written consent of such indemnified person.

This Article constitutes a contract between the corporation and the indemnified officers, directors, and employees. No amendment or repeal of the provisions of this Article which adversely affects the right of an indemnified officer, director, or employee under this Article shall apply to such officer, director, or employee with respect to those acts or omissions which occurred at any time prior to such amendment or repeal.

Amendments.


These bylaws may be altered or amended at any regular or special meeting of the members by the affirmative vote of 67% the members.

Pre-approved Grant Relationship Fiscal Sponsorship

A fiscally sponsored project does not become a program owned by CITVN COOP. CITVN may assist in writing and managing grants, provide access to Services and assist with Marketing Distribution for the benefit of Members who have completed participation in a CITVN COOP production.

Marketing Agreement. CITVN will provide a separate contract for each sponsored member production establishing the terms upon which they will conduct their business transactions. This contract is commonly called a marketing agreement. If the members want an organization that will enhance the return they earn on their production, then a marketing agreement is an important marketing tool.

The marketing agreement is a unique contract in that, because the members own and control the cooperative, the members are entering into a contract with themselves. But it is more accurate to picture the agreement as a contract between each individual member and the membership as a whole. An important key to making the system work is for everyone to remember that the cooperative is democratically controlled by the members. No individual member has a right to unilaterally cancel or change the marketing agreement, and the leadership should not insist on arrangements that are contrary to the wishes of a majority of the membership.

The marketing agreement builds on the patronage commitment section of the organizational agreement. While the basic content of the articles and bylaws is standardized throughout the cooperative community, the substantive provisions of the marketing agreement are influenced by the custom and trade of the market for the commodity covered by the agreement. Thus, language may need substantial modification to meet member needs.

As with the articles and bylaws, the terms of the marketing agreement are binding until changed, but they are not etched in stone. The association, represented by its officers and directors, and the members are free to adopt an approach to any issue different than the approach set out in the organization agreement or in previously adopted marketing agreements.

These initial provisions identify the parties to the contract, the cooperative and the sponsored producer, and establish any other requirements that the producer must meet, including any initial equity investment obligation, to be a sponsored production. The general template is as follows:

MARKETING AGREMENT

THIS AGREEMENT, made as of this _ day of 202_, by and between , herein referred to as “Producer,” and CITVN COOP, a media producer’s cooperative having an office at 100 Huffman Avenue, Suite 305, Dayton Ohio 45403, herein referred to as “Association”.

CITVN is a media producer’s cooperative organized under the laws of the State of Ohio. Producer is a member of the Association who’s media project is sponsored by CITVN COOP, a nonprofit fiduciary agent. Producer has donated $1 dollar or more in a calendar year to CITVN COOP, as specified in Producer’s membership application, receipt of which is acknowledged as an equity investment in the Association. This entitles Producer to all the benefits of membership in the Association as long as Producer complies with the articles of incorporation and bylaws of the Association and the provisions of this Marketing agreement.

In consideration of the mutual covenants and obligations contained herein, the parties agree as follows:

Sales Terms. This provision outlines how the association will sell the sponsored media products exclusively for a period of ten years and pay the sponsored member-patrons. The first paragraph defines the obligation of the producer to deliver product to the association. The second paragraph specifies Services that CITVN will provide to the sponsored Producer. The third paragraph explains how the association will distribute the proceeds of resale to the sponsored member.

CITVN accounts for these proceeds by gross margin operation. The association agrees to pay the member the going market price for the product, less deductions for operating expenses, 20% retained earnings and 30% charitable donation. After the end of the fiscal year, any margin is returned to the sponsored producers as a patronage refund. Other terms of sale include: authorization for the association to pledge the product and sales proceeds as collateral for loans and otherwise exercise the rights of ownership: authorization for the association to withhold fees to cover operating expenses; and an explanation of how the parties to the contract will deal with liens against the product. CITVN will use its best efforts to advertise and distribute creative content. CITVN may commingle such media products and shall exercise all other rights of ownership without limitation.

The sponsored Producer shall notify the Association of any lien on any product covered by this agreement. Producer shall obtain permission from the lien holder for Association to market such product and to retain any deductions from the payments to Producer authorized hereunder and under the articles of incorporation and bylaws of the Association. After any such deductions, Producer authorizes the Association to apply the balance of the sale proceeds, or so much thereof as necessary, for payment of the lien.

No firm always has the best price in a competitive market. But a cooperative must view itself as a long-term undertaking. If some members are allowed to forsake the cooperative for personal short term gain, they do so at the expense of those members who honor their agreement. Because the marketing agreement is a contract between each individual member and the membership as a whole, the leadership has the responsibility to protect the interest of the group as a whole. That means taking steps, including legal action if necessary, to enforce the marketing agreement for liquidated damages, that will be the penalty for violating the contract. The level must be high enough to truly discourage breaches of the contract and to compensate the other members for their loss. Hence, the sponsored Producer will be liable for CITVN Services used at-cost plus 50 percent if it had been delivered under the contract.

The Marketing agreement will also authorize the association to go to court and seek a restraining order against either actual or anticipated breach of the contract. The agreement may also make the offending party liable for legal fees incurred by the association in defending the agreement. If the Association brings any action whatsoever by reason of a breach or threatened breach of this agreement, a sponsored Producer shall pay to the Association all court costs, costs for bonds, travel expenses and all other expenses arising out of or caused by the litigation, including reasonable attorney’s fees expended or incurred by Association in such proceedings, and all such costs and expenses shall be included in the judgment.

A provision providing that the contract automatically renews itself for another 10 years unless either the cooperative or the sponsored member provides notice 30 days prior to renewal that it wants to terminate the agreement gives adequate flexibility and stability to the relationship.

CITVN may enter into agreements with other sponsored members differing in terms from those contained herein, consistent with the bylaws of the Association, without invalidating this agreement.

The sponsored Producer warrants that Producer has not contracted to sell, market, consign, or deliver and will not contract to sell, market, consign, or deliver the assigned product during the term of this agreement to any person, firm or corporation, contrary to this agreement.

If a member is going to disregard the terms of the marketing agreement, the cooperative is usually better off without that person as a member. A provision giving the board authority to revoke the membership of a member who violates the agreement gives appropriate discretion to the directors in dealing with a breach of the contract.

Violation of this agreement in any material respect by Producer shall be grounds for the board of directors to terminate Producer’s membership in the Association. Members are required to abide by the articles and bylaws, as written at the time the agreement is signed or subsequently amended, which makes it clear that a member can’t abrogate the agreement if the membership approves a change in the cooperative organizational documents the individual member doesn’t like. That member must honor the agreement until the annual period for orderly termination arrives.

Because the association is the members as a whole, it can assign its rights at will. However, to protect against one member assigning rights to an unqualified person, a sponsored member must have board approval to assign contract rights.

It is agreed that the articles of incorporation, the bylaws of the Association, and the Marketing Agreement are now or hereafter in effect, and this Marketing agreement constitute the entire agreement between the Association and sponsored Producer, and that there are no oral or other conditions, promises, covenants, representations, or inducements in addition to, or at variance with, any terms of this agreement. This agreement shall be governed by the laws of the State of Ohio.

Membership Application

I hereby apply for membership in and agree to abide by the articles of incorporation and bylaws of the association, now and hereafter in effect, copies of which have been presented to me for inspection.
