Employees of Superior Industries have access to certain of the Company's confidential and proprietary information. The Company's confidential information constitutes a unique and valuable assets of Superior Industries and represents a substantial investment of time and expense by Superior Industries. This protection of the company's confidential and proprietary information is vital to the interests and the success of Superior Industries. Any disclosure or use of the Company's confidential information other than for the sole benefit of the Company would cause irreparable harm to the company.
For purposes of this policy, "Confidential Information" pertains to all non-public knowledge and information relating to Superior Industries' business that derives, and provides Superior Industries with, independent economic value from not being generally known or available to a competitor or others that would or could gain competitive advantage from its use or disclosure. Here are the categories of materials that consist of or could consist of Confidential Information: lists, names, and other information pertaining to customers and prospective customers (including information developed, stored, and maintained in Superior Industries' customer relationship management system); sales and marketing plans, methods, and strategies for growing Superior Industries' business to customers and prospective customers; methods and plans for how Superior Industries designs its deliverables to customers and prospective customers; processes and process development activities for customers; price lists and related pricing and profit information; the results of tests of products and specimens; development projects; graphic designs; product research and development; non-public financial statements, information and projections; management systems and procedures; supplier lists; sales techniques; computer programs, software, and software specifications and information; engineering research, drawing, and/or related information; code books; results of any research and development into potential or planned products or services, whether complete or in process; scientific methods, controls, processes, and procedures; any other information that Superior Industries identifies as providing or having the potential to provide independent economic value from not being generally known or available to a competitor or others that would or could obtain competitive value or advantage from its disclosure or use; a third party's or customer's confidential information and trade secrets that it entrusted to Superior Industries; and any and all originals and copies, pictures, facsimiles or other reproductions or recordings or any abstract or summaries of the foregoing. Failure to mark any of the Confidential Information as confidential or patent will not affect its status as Confidential Information. Please note, "Confidential Information" does not include any information pertaining to any employee's pay, hours, and other terms and conditions of employment.
Employees are prohibited from disclosing or using the Company's Confidential Information, during the term of employment or at any time thereafter, other than as required in the ordinary course of conducting their duties and responsibilities for the benefit of the Company unless they have obtained written authorization from the Company in advance. Unauthorized disclosure or use of the Company's Confidential Information is strictly prohibited and will result in disciplinary action, up to and including immediate termination. Employees must return to the Company all Confidential Information upon termination or earlier if requested by the Company.
You agree that you will not disclose to Superior or use, or induce Superior to use, any proprietary information, trade secret or confidential business information of any other person or entity, including any previous employer of yours. You also represent that you have returned all property, proprietary information, trade secret in confidential business information belonging to any prior employer. You represent that you have disclosed to Superior any agreement between you and any prior employer (including any agreement regarding treatment of such information, non-solicitation or non-competition) and you agree not to violate or induce Superior to violate any such agreement.
Please note that this policy does not prohibit employees from discussing and disclosing information regarding the terms and conditions of their employment or otherwise engaging in protected activity as permitted by the National Labor Relations Act.
