Welcome to Peony Digital. These Terms & Conditions ("Terms") govern your access to and use of our services, website, digital products, and communications.
By engaging Peony Digital, purchasing our service packages, or making a payment via our payment links, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our services.
1. About Peony Digital
Peony Digital is an unregistered sole proprietorship providing premier digital assets, creative production, and technical business solutions globally. Our specialized offerings include:
Creative & Design: Web design, UI/UX design, mobile app design and development, logo design, print design, landing pages, and comprehensive branding.
Copywriting & Advertising: Strategic copywriting, User-Generated Content (UGC) advertising production, CGI advertising production, and Meta advertising campaign management.
AI Automation: Custom AI automation development, AI concierge agents, and workflow implementation.
2. Acceptance of Terms & Eligibility
By requesting, purchasing, or using Peony Digital’s services, you confirm that you are at least 18 years of age, legally authorized to enter into binding financial agreements, and that all information you provide is accurate. These Terms apply to all users, clients, visitors, and global customers.
3. Scope of Services & Workflow Delivery
Peony Digital provides services based on structured subscription tiers, agreed project scopes, or written proposals.
Upon successful payment confirmation via our billing links, clients are onboarded and redirected into a private dedicated Telegram group for direct communication, project request queues, collaborative revisions, and asset delivery. Service timelines and execution are dependent on active communication within this dedicated group.
4. Client Responsibilities
Clients agree to provide accurate project details, supply required brand materials on time, maintain legal rights to all assets provided to us, and communicate promptly within the private Telegram group. Delays caused by missing client assets or missing feedback may directly impact delivery timelines.
5. Pricing, International Payments, & Billing
Currency & Rates: Pricing for our subscription packages and custom services is set primarily in US Dollars (USD). While our top expected settlement currencies are USD, GBP, and EUR, our checkout system supports global payments. Clients from any country can seamlessly check out using their local currency; the exact conversion to the USD equivalent will be handled automatically by the customer's card-issuing bank based on current international exchange rates.
Payment Authorization: By providing card details or checking out via our secure payment gateway (Flutterwave), you authorize Peony Digital to charge the specified amount for your service or monthly subscription tier.
Suspension of Service: All fees must be paid upfront before onboarding or service commencement. Late payments or payment failures will result in the immediate suspension of service and a pause on all active design or automation queues.
6. Revisions and Project Changes
Peony Digital delivers high-quality work and includes structured revision rounds depending on the active subscription package or proposal. Additional charges or scope adjustments will apply if a client exceeds package revision limits, introduces entirely new requirements after asset approval, or requests major structural redesigns.
7. Intellectual Property
Client Materials: Clients retain complete ownership of all materials they supply (logos, existing copy, brand images). Clients warrant that they possess full legal rights to these assets.
Peony Digital Deliverables: Full ownership and copyright of completed custom deliverables transfer to the client only upon full, verified receipt of payment.
Retained Rights: Peony Digital retains ownership of internal tools, proprietary automation frameworks, methodologies, code bases, and unused concepts. Unless explicitly restricted via a signed Non-Disclosure Agreement (NDA), Peony Digital reserves the right to display completed creative work within its professional portfolios and digital marketing channels.
8. Advertising Services and Performance Disclaimer
While Peony Digital manages Meta campaigns, CGI advertising, and UGC production to optimize client growth, advertising outcomes naturally vary. Sales, specific conversion rates, leads, or exact reach cannot be legally guaranteed due to shifting platform algorithms, market conditions, and external audience behavior. Clients remain fully responsible for their chosen advertising budgets.
9. AI Automation Systems Disclaimer
Peony Digital develops custom AI automations and workflow integrations based on client specifications. Clients acknowledge that AI-generated outputs require monitoring, system performance depends heavily on the data quality provided, and no automation is completely error-free. Peony Digital is not liable for operational disruptions resulting from third-party AI updates or inaccurate client data structures.
10. Acceptable Use Policy
Clients may not utilize assets or automations developed by Peony Digital to engage in unlawful activities, promote fraudulent or deceptive practices, infringe on international intellectual property rights, or distribute malicious digital content. We reserve the absolute right to terminate service for projects that conflict with international compliance or ethical legal standards.
11. Confidentiality & Data Protection
Peony Digital respects client privacy and securely handles all proprietary business details shared within our private Telegram groups. Client data management is handled in strict accordance with relevant frameworks, including the Nigeria Data Protection Regulation (NDPR) and international data safety norms. This obligation does not extend to information that is already in the public domain.
12. Contract Termination & Dispute Resolution
Termination: Either party may pause or terminate a service agreement under reasonable circumstances. Clients may cancel recurring subscription packages in accordance with the timelines established in our specific Refund & Cancellation Policy.
Chargebacks and Payment Disputes: Clients agree to contact Peony Digital directly via email or their dedicated Telegram group to resolve any billing issues or service dissatisfaction. Maliciously filing a payment dispute or card chargeback without attempting direct resolution violates these Terms and will result in immediate termination of all digital licenses and access to active workflows.
13. Limitation of Liability
To the fullest extent permitted by law, Peony Digital (including its owner and subcontractors) shall not be liable for any indirect, consequential, or incidental losses, lost profits, advertising fluctuations, business interruptions, or third-party platform downtime. Our maximum cumulative liability is strictly limited to the exact amount paid by the client for the specific service package under dispute.
14. Third-Party Platforms and Integrations
Our creative and automation services regularly interface with third-party tools (including Meta, Telegram, hosting providers, AI engines, and Flutterwave). Peony Digital bears no operational or financial responsibility for external system outages, sudden third-party policy changes, or cross-border network failures.
15. Modifications to Terms
We reserve the right to modify or update these Terms & Conditions at any time. Revised versions become effective immediately upon being published to our website. Continued use of our payment links or services following updates constitutes your formal acceptance of the modified Terms.
16. Governing Law
These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the applicable laws of the Federal Republic of Nigeria, aligned with international payment compliance regulations.
