1. The annual general meeting for the "Hong Kong Association of Dance Medicine and Science" shall be held by the members of the Executive Committee once a year. They have the highest power in decision-making. The consecutive annual general meetings must not be more than fifteen months.2. The annual general meeting shall have the following specifics: date, time and agenda. Notice of such shall be given at least two weeks before the decided date. The notice period may be shortened with the consent of every member of the Executive Committee. 3. Should a member fail to receive a notice of the meeting, given that he/she is not liable for such failure, the meeting may proceed as usual. 4. The annual general meeting shall deal with the following matters:i. President’s Report;ii. Financial Report;iii. The election of the members of the Executive Committee (every two years). 5. All matters shall be discussed only when the meeting reaches a quorum. A quorum means that the attendance reaches the minimum number of members. The minimum number of members is set to one fifth of the total members of the Hong Kong Association of Dance Medicine and Science. If the quorum is not met, the meeting may still proceed if authorized by members who are not present. An authorized representative may attend in the absence of the members provided that said representative secures an authorization letter signed by the member or members he or she is representing. . 6. The Vice-Chairperson shall preside in the absence of the President of the Executive Committee. 7. If the attendance does not reach a quorum thirty minutes after the scheduled time, the meeting will be canceled. Members will be notified of the rescheduled meeting details. Should the rescheduled meeting still not a reach a quorum, the meeting shall proceed as usual. 8. Decision-making shall be done by members present. Every member, including those authorized representative(s), represent one vote each. In cases of equal number of votes in favor and against a certain decision, the Chairman presiding over the meeting has a second decisive vote. 9. Authorized representatives are not required to be members of the "Hong Kong Association of Dance Medicine and Science". 1. The general meeting is a general assembly with the Executive Committee and other members of the organization as attendees. 2. The Executive Committee decides of the date and time of general meetings. This may as well be arranged upon request of no less than a quarter of the members. 3. Notice of the general meetings shall be given at least two weeks before the decided date. Authorized representatives are not required to be members of the "Hong Kong Association of Dance Medicine and Science".1. The Executive Committee has the highest authority in the "Hong Kong Association of Dance Medicine and Science". They are responsible for the management and execution of all day-to-day activities of the organization. The Executive Committee is composed of the following members: i. A President;ii. No more than two Vice Presidents;iii. An Honorary Treasurer 2. The President of the organization shall only serve at a maximum of two (2) consecutive terms. 3. The Executive Committee may appoint a medical adviser or any such relevant adviser of the "Hong Kong Association of Dance Medicine and Science". 4. Candidates of the Executive Committee shall be nominated and elected by all members of the organization during the annual general meeting. They are to take their place in the said committee if and only if votes reach more than half of the number of members present during the election. Their term starts once they are appointed and will only expire on the following election in the next annual general meeting. 5. If an Executive Committee member resigns before the expiry of his term of appointment, Executive Committee is responsible to appoint another member to fill the vacancy for his/her remaining term. 6. The Executive Committee shall meet at least once every three months. The attendance of such meeting shall be no less than half of the total number of the mentioned committee. 7. The Vice-Chairperson shall preside in the absence of the President of the Executive Committee. 8. Decision-making shall be done by members present. Every member, including those authorized representative(s), represent one vote each. In cases of equal number of votes in favor and against a certain decision, the Chairman presiding over the meeting has a second decisive vote. 9. All expenses should only be for promoting the objectives of "Hong Kong Association of Dance Medicine and Science". All the income and property of the organization shall not be distributed to any member. 10. Executive Committee members are not to be salaried or employed under the organization. 11. Finances of such organization shall have proper revenue and expenditure book keeping, including the donation receipts. Proper accounting of annual financial reports are required as well. 12. If an Executive Committee member fails to attend a meeting without reasonable grounds, the President shall have the right to release him/her of his position given that two-thirds of the said committee’s members agree to such act. He/she shall be informed as soon as the decision has been made final. 1. Any modification(s) of the existing constitution shall be valid only if majority of the members of the organization, including those authorized representatives, vote for such modification(s) during an annual general or general meeting. In cases of equal number of votes in favor and against a certain decision, the President presiding over the meeting has a second decisive vote.1. The “Hong Kong Association of Dance Medicine and Science" may only be dismissed if the number of votes to do such reaches two-thirds of the total members, including authorized representatives, present at an annual general meeting. The Executive Committee is automatically authorized to handle all debts, liabilities and residual payments. 2. When the “Hong Kong Association of Dance Medicine and Science" dissolves, the Executive Committee may donate all the surplus, given that all liabilities have been removed and exhausted, to charities similar to the purposes of their organization.
