METHOD OF EVALUATION

The primary method of evaluation in this course is an examination worth 100% of the Grade. The Exam will be “limited open book”, meaning that students may bring into the examination the casebook, legislation and notes in HARD COPY. Students will NOT be permitted to access these materials electronically during the exam or to bring any textbooks into the examination.


COURSE DESCRIPTION

This course will cover the laws governing private corporations, including such topics as:

- Selecting the form of business enterprise

- The nature and effects of corporate personality

- The corporation as a legal person

- The process of incorporation

- Corporate governance

- The tortious, criminal, contractual, and regulatory liability of corporations

- Directors' and officers’ duties

- Shareholders' rights and remedies

- Social responsibility of corporations
