a. Annual. The last meeting of each calendar year shall be the official annual meeting of the membership.
b. Special. A special meeting of the membership shall be called by the Board only for matters of dire importance that require immediate attention by the membership.
c. Quarterly. Official meetings of the memberhip may be held during the second month of each calendar quarter (February, May, August and November). The Board shall set the date, time and place.
d. Quorum. A quorum shall consist of a minimum of three elected officers plus an additional three property owners who can be elected officers or regular members (all that is needed is 10 percent of the overall neighborhood membership, including the board members in attendance).
e. Agenda. An agenda shall serve as a notice of intent to hold a meeting and shall be made public to the membership at least 10 days before any meeting. The agenda shall be accepted by the membership at the commencement of each meeting and changes/revisions shall be accpedted with a majority vote of those present.
f. Proxies. Members may designate, in writing, any other member to serve as a proxy for specified issues in a specified meeting. Proxies are only for the purpose of voting on matters of interest and shall not be carried forward to any subsequent meetings.
g. Location. Meetings will be held in a convenient location, with ease of access, and established at least 10 days prior to any meeting.
h. Open Meeting. All meetings of the membership shall be conducted under the guidelines of the Texas Home Owner's Association Law, and shall be open to the public.
i. Notification. The primary means of communicating importan information, especially quarterly, annual and special meetings shall be by internet e-mail and posting on the association website (http://sites.google.com/site/northshore6b/) If a property owners desires another means of notification it shall be his/her responsibility to keep the Secretary informed of that information.
j. Executive Board. Meetings of the Executive Board shall be held periodically to address HOA business, concerns of the neighborhood, confidential matters, ect. (Meetings of the Executive Board are executive in nature and are not required to be open meetings. Any property owner may request to meet with the Executive Board to discuss a specific issue.) Decisions, commitments, or large expenditures will be presented to the membership at the quarterly meetings.
