a. Board of Directors. The Board of Directors (hereafter known as "the Executive Board") shall service as the governing body for the association. Members of the Executive Board will serve one-year terms, with the exception of the Treasurer, who shall be elected for a two-year term. There will be no restrictions on the number of terms that can be served by any member of the Executive Board. The membership, during the annual meeting shall choose the following officers to serve as the Board:
i. President: Provide overall leadership and structure for the association; serve as spokesperson and contact with other entities, or delegate to other Executive Board members.
ii. First Vice President; The First Vice President shall assume duties of the President in any event where the President becomes incapacited, vacates the office, or is unavailable for official functions.
iii. Second Vice President: The Second Vice President is third in the line of succession. This office shall serve in the capacity of Parliamentarian.
iv. Secretary; The Secretary shall ensure that a record is maintained of all official actons taken by the membership and the Executive Board.
v. Treasurer: The Treasurer shall serve as the financial officer of the HOA. The Treasurer shall maintain the books, financial documentation, and checking account for the association, periodically keeping the membership informed of all transactions.
b. Line of Succession: First Vice President, Second Vice President, Secretary, Treasurer.
c. Executive Committee: The Executive Board shall serve as the Executive Committee of the association and shall have the following duties and restrictions.
i. Duties:
1. Meet financial responsibilities of the HOA to include lawn service, water and taxes for the park, any legal fees, and insurance.
2. Make decisions and carry on the functions of the association in day-to-day activities and operations.
3. Present any action taken to the membership at the next regularly scheduled meeting.
4. Each to serve as chair of standing committees, as agreed upon by the board.
5. Keep the membership informed through the use of strong, effective communication principles
6. Develop policies for compliance with the Restrictive Covenants, neighborhood standards, and the collection of annual dues and late fees. Once completed, they will become addendums to these bylaws.
7. Prepare Requests for Proposal (RFPs) and seek bids from at least two businesses for any agreement or contract for work or service. No verbal agreements will be accepted.
8. As state laws affecting Home Owner's Associations are enacted or revised, ensure these bylaws are revised to incorporate requirements.
ii. Restrictions:
1. Make no unauthorized obligation for the membership regarding fiduciary commitments.
2. Have no conflict of interest wtih any individual or entity with whom the Board contracts for services.
d. Removal and Vacancies. Any officer may be removed with or without cause by a majority vote of the members. In the event of death, resignation, removal or incapacitation of a member, duties will be appointed by the Board to fill any remaining term without need for vote until the next annual election.
e. Insurance. The Executive Board may ensure adequate insurance to protect the officers and association from legal liability.
