NOTICE OF THE 2025 ANNUAL MEETING OF VWOA MEMBERS
TO THE MEMBERS OF THE VERNON WOODS OWNERS ASSOCIATION:
Pursuant to Article III Section 1 of the By-laws of the Vernon Woods Owners Association, the Annual Meeting of Members will take place on May 14, 2025, at 7:00 PM at the Riverwoods Village Hall, 300 Portwine Rd.
At the meeting, the following matters will be considered:
1. Nominations for new board members.
2. The election of five (5) directors to serve for a term of one (1) year.
3. The general business of the Association.
The 2024 – 2025 VWOA directors/officers were:
- Thomas Burns – Treasurer & Director
- Nick Leckow – Vice President & Director
- Rick Jamerson – President & Director
- Esmina Perdiew – Secretary & Director
All of our current directors are interested in staying on the board. We are looking for one new person to be on the board for the 2025-2026 year. For those who will not attend, or who are uncertain about being able to attend the Annual Meeting, Proxy Forms will be sent shortly. Please return the Proxy as soon as possible but no later than 7 PM on May 14, 2025. You may designate someone to vote your proxy for any one or more of the following purposes:
1. To vote “present only” for purposes of establishing a quorum at the meeting.
2. To vote for the specific candidates indicated on the Proxy
3. To vote for other business that may come before the Association (a Discretionary Proxy)
We need at least 20% of the Association members to be present either in person or by proxy in order to convene a valid meeting. If you know that you cannot attend the meeting, you are urged to fill out and return the enclosed Proxy on or before May 14, 2025, so that we can insure a quorum. Every lot in the association is entitled to one vote. If you own multiple lots, please submit a proxy for each lot. You may choose any one or more of the above alternatives. You may give any individual your Discretionary Proxy, authorizing that individual to cast your vote at the meeting in any manner he or she deems appropriate, so long as that Discretionary Proxy is in writing, indicates your address and is signed by the legal or beneficial owner of your property. If you submit a Proxy and subsequently decide to attend the meeting, you will be able to revoke your Proxy and vote in person at the Annual Meeting. You may also revoke your Proxy at any time before the Annual Meeting by letter addressed to the Secretary.
We are always looking for association members willing to volunteer for specific projects or to be a Board member. Please give this serious thought. While the Board schedules meetings once a month, we typically meet 6 times a year or less. The Agenda, Annual Report, Proxy Form, and the 2025-2026 Budget will be sent shortly via email.
A Board meeting will immediately follow the annual meeting for the purpose of electing officers.

VWOA 2025 ANNUAL MEETING PROXY
The proxy must be received by the VWOA Secretary prior to start of the Annual Meeting, May 14, 2025.
We are requesting all proxies be returned by May 13, 2025 to insure a quorum.
Pursuant to Article III Section 5 of the Bylaws of the Vernon Woods Owners Association, I hereby represent to the Vernon Woods Homeowners Association that I am the legal or beneficial owner of the property named below, and that I have the authority to exercise all members’ voting rights with respect to said property. Unless listed below, I further do hereby designate Pam Anderson, Association Secretary, to act in my place and to cast my vote as follows, and in no other manner,to the same effect as though I had done so in person:

4. The general business of the Association.

As indicated in our Annual Report, we are in need of a new Director as well as a Treasurer. If you are interested in serving on the board, complete the attached Candidacy Form and return it to the Secretary, David Shimberg, by email or the address below, on or before May 28th, 2020. Nominations also will be taken from the floor at the Annual Meeting for write-in ballot votes.
