By-Laws for the ARIZONA TRADITIONS MEN'S PUTTING CLUB

March, 2015

Article I - Name

Section 1: The name of this organization shall be the Arizona Traditions Men’s Putting Club, herein after referred to as the Club.

Article II - Purpose

Section 1: The purpose of this organization is to enjoy the camaraderie of residents owners and renters) of Arizona Traditions while

developing and enhancing our putting skills.

Section 2: To establish policies for the safe and equitable use of any equipment or facilities owned or used by the Club.

Section 3: To promote and encourage participation by all residents of Arizona Traditions in the programs and activities of the Club.

Section 4: The Club shall be operated as a nonprofit organization in accordance with applicable statutes and the Association's documents.

Article llI - Membership

Section 1: All male residents (owners and renters) at Arizona Traditions are eligible for membership in the Club. Each member shall have one vote.

- Residents (owners and renters) of other senior communities in the surrounding area may join the Club upon approval of the Arizona Traditions resident Club members.

Section 2: Members should be interested in the objectives and purposes of the Club, and be willing to abide by the Club By-laws, rules and guidelines

and to actively participate and support Club activities.

Section 3: Membership in the Club may terminate by: 1) Voluntary withdrawal; 2) Non-payment of assessments adopted by the Club;

3) Violation of the provisions of these By-Laws, or violation of the published rules, guidelines and regulations of the Club.

Section 4: Guests - defined as follows:

- Prospective club members (as defined in Section 1) are considered guests and

following one (1) visit regular club membership is required to continue participating in Club activities.

- Female resident guests of club members (as defined in Section 1) who are accompanied by a resident member,

or otherwise sponsored by a resident member, may participate in special club events.

- All other individuals, including females and those under age 55, who are accompanied by a resident member or

otherwise sponsored by a resident member may participate in club putting as non-resident guests.

They will be required to pay the applicable fee to participate.

Article IV – Meetings

Section 1: 1A) At a minimum, there will be two (2) business meetings annually at places and times as determined by the Executive Board.

1B) Putting sessions will be held weekly from November through April.

Section 2: Special Meetings: Special meetings may be called by the President either on his own initiative or when required by written request of

at least one-third of the members of the Club.

Such special meetings shall have at least three days' notice given to members, providing the date, time and place of the meeting

as well as the subject or subjects to be considered

Section 3: Annual Meeting: A meeting shall be held in the month of March each year for the purpose of electing Club officers.

Section 4: A quorum shall consist of at least three officers and 50%+1 of the Club members currently residing in their local dwelling.

Article V - Dues, Assessments

Section 1: Annual Dues may be adopted by the Club at its annual meeting and shall cover the period November 1 through April 30.

In no event shall the dues be anything other than a nominal amount for the following:

1A) The minimum necessary to cover replacement, maintenance or operation of the equipment owned by the Club.

1B) The fee required for use of golf course facilities for putting sessions.

Section 2: No refunds on dues paid will be made unless request is made prior to first day of play.

Article VI - Officers and Their Duties

Section 1: The Club officers shall consist of a President, Vice-President, Secretary/Treasurer and two directors.

The Club officers comprise the Executive Board. The immediate Past President shall serve in an advisory role as a non-voting member of the Executive Board.

Section 2: The Executive Board must be elected by a majority of the Club's membership present and voting at the Club annual business meeting.

The Executive Board shall serve without compensation. Each newly elected or appointed officer, within 14 business days of taking office, shall attest in writing to the outgoing Executive Board that he has read and understands the Club By-Laws and regulations.

Section 3: The terms of all Executive Board officers shall be two years with the opportunity for re-election. An unexpired term, or vacated term,

of less than two months remaining shall be filed by appointment by the President.

A vacated or unexpired term of more than two months remaining calls for an election by the membership.

Transition shall take place between election day and the last putting day in April, at which time the newly elected officers assume their duties.

At the completion of each officer's term he will turn over all pertinent papers to his successor.

Section 4: Duties of Officers:

4A) President: Shall assume leadership of the Club, preside at all meetings of the Club, appoint all regular and special meetings, as required.

4B) Vice President: Shall assume the duties of the President if the President is unable to function as President, serve as membership chairman,

and attend all board meetings, and other duties as deemed necessary.

4C) Secretary/Treasurer: Shall take minutes of club meetings, shall take attendance at annual meetings and shall be responsible

for determining if a quorum exists at meetings. Shall notify the Community Manager of changes in the Club officers.

Shall provide the Club membership and the Community Manager with a copy of the Club's By-Laws, Shall collect all dues and assessments,

disburse all funds, shall provide periodic financial reports, monitor the Club budget, provide documentation for audits and provide an Annual Report.

4D) Directors:

Arizona Traditions Director: Serve on the Executive Board and perform special tasks assigned by the President or Executive Board.

Happy Trails Director: Serve on the Executive Board and perform special tasks assigned by the President or Executive Board.

Represent Happy Trails club members, in the following ways:

- Publicizing the Club in Happy Trails.

- The day prior to a putting session notifying the putting check-in committee which Happy Trails Club members will be putting in the session

4E) Past President: Serve on the Executive Board and perform special tasks assigned by the President.

4F) Important requirements for all Club Officers/Directors are:

- Protecting the integrity of the club.

- Continuing club growth.

- Implementing new ideas to enhance our putting sessions.

4G) To achieve the quality experience for our membership requires that the offices of President and two other club offices be held by full-time Arizona Traditions residents:

- The addition of a pre-season and post-season now extends our putting season from mid-October through May (7 1/2 to 8 months).

- Organizing and conducting putting sessions and managing club finances must be performed over this entire period, a longer time

than most winter residents are in Arizona Traditions.

- Most putting season planning activities and preparation of putting session materials are accomplished over the Summer.

- Immediate availability to address arising problems so that the putting season is not impacted.

4H) In addition, office holders must be able to, as a group, perform the following tasks:

- Provide an interesting and challenging putting sessions through inclusion of:

-- Special Putting Events.

-- A Club Championship in the month of March.

-- A John Stewart tourney and a Winter Tourney.

-- Develop and reproduce extensive putting handout materials

- Provide periodic e-mail communications to club members.

- Update the club website with relevant materials, including weekly results.

- Write the monthly articles for the AZT newsletter.

- Develop and reproduce the club roster.

The Club President shall assign responsibilities as necessary to club officers and members to perform these tasks.

Article VII - Committees

Section 1: Nominating Committee: Shall be appointed by the President at least 30 days prior to the annual meeting.

The Committee shall consist of at least three members and shall present a nomination for each office to be filled

Section 2: Special or Standing Committees: The President may appoint Standing Committees as needed for The Club operation

and may establish and appoint members of special committees for special projects as needed.

Article VIII - Fiscal Year

Section 1: The fiscal year of the club shall be from the 1st of November to the end of the last day of October.

Article IX - Amendments

Section 1: Upon proposal by the Club Executive Committee, These by-laws may be amended by a

two-thirds majority vote of the members attending a regularly scheduled or special meeting.

Section 2: Proposed changes to these by-laws shall be explained and discussed at a regularly scheduled or

special meeting of the membership at least 28 days prior to voting

on the amendments.

Article X – Conflict of Documents

Section 1: These by-laws are not intended to conflict with Arizona Traditions Covenants, Conditions and Restrictions.

The Club will immediately, upon becoming aware of the conflict, take all necessary steps to bring these by-laws

into conformity with the Covenants, Conditions and Restrictions.

Article XI – Dissolution

Section 1: Any equipment loaned to the Club shall be returned to the lender. All other equipment

purchased or given to the Club shall be given to Arizona Traditions for use on

behalf of all Arizona Traditions residents.
