2.1 – Number and Composition. The membership of the Corporation shall be not less than twenty

nor more than forty, and shall be composed of members of New York Yearly Meeting of the

Religious Society of Friends, Friends from other yearly meetings, and those who have no current

membership as Friends but who are friends of Powell House. All members shall be appointed by

New York Yearly Meeting according to its established procedures. Suggestions for appointments,

reappointment, and changes in appointments shall be made to the Yearly Meeting Nominating

Committee by the President of the Corporation acting in consultation with the Powell House

5.2 Nominating Committee. The Nominating Committee shall be responsible for proposing

names for all officers and directors and for all committees except for the Nominating Committee

itself. The Nominating Committee shall also be responsible for proposing to Yearly Meeting

Nominating Committee names of persons who may be desirable candidates for appointment or

reappointment to membership in the corporation.

5.3 – Appointment of Nominating Committee. The Powell House Nominating Committee shall

consist of three members appointed for three-year terms staggered so that at least one member is

retired each year. Members of this committee shall be proposed at the fall meeting of the

Corporation by an ad hoc committee of two Corporation members named by the President at the

Annual Meeting. No member of the Nominating Committee may be appointed to additional terms

beyond three successive years of service except after the lapse of at least one year. Membership

on the Nominating Committee shall not preclude membership on one standing committee.
