I. Alumni Association Purpose
The Alumni Association of Wuhan University in Canada (Wuhan University in Canada) is a non-profit organization officially registered with the government. It has been authorized and recognized by Wuhan University and is registered with the Wuhan University Alumni Association.
The purpose of this Alumni Association is to provide a platform for mutual assistance and emotional exchange among Wuhan University alumni in Canada. We encourage alumni to care for and support each other, actively support the development of their alma mater, maintain close ties with their alma mater, and participate in its activities, while taking care of themselves and their families' work and personal lives.
This Alumni Association will independently carry out its activities in accordance with its Charter, while also accepting the operational guidance of the Wuhan University Alumni Association.
II. Alumni Association Organizational Structure

The Alumni Association Board of Directors shall consist of 20-30 members, serving a fixed term.
The Alumni Association shall have a President, several Vice Presidents, and a Secretary-General, who may concurrently serve as the Vice President.
Alumni Association Board of Directors
Responsibilities of the Alumni Association Board of Directors:
1) Formulate and amend the Alumni Association's Articles of Association.
2) Elect and appoint and remove the President and Board members in accordance with the Alumni Association's Articles of Association.
3) Discuss the Alumni Association's work plan.
4) Decide on key matters concerning the Alumni Association.
5) Discuss and arrange the work of the Alumni Association and oversee the implementation of the decisions of the Alumni Association Board of Directors.
6) Hear the President's annual report and understand the use of Alumni Association funds.
Composition, Selection, and Operation of the Board of Directors:
1) The Board of Directors shall consist of 20-30 members. Members shall serve a two-year term and may be re-elected.
2) Members of the Board of Directors shall serve on a voluntary basis for the Alumni Association and participate in the organization of its activities and daily management.
3) Additional Board members shall be nominated by two or more current Board members, who shall be willing to serve on their own initiative, upon the President's proposal, after discussion by the Board of Directors, and approved by a majority vote of the Board of Directors.
4) Board Member Qualifications:
● Wuhan University Alumni
● Live or work in Canada
● Recognize and abide by the Alumni Association's Charter
● Support and actively participate in Alumni Association activities
5) The Board of Directors reserves the right to disqualify or suspend any board member who violates Canadian laws and regulations, violates these Charter, or fails to fulfill their board responsibilities.
6) The Board of Directors meets to discuss daily matters, and resolutions must be approved by a majority of the directors present.
Responsibilities of Alumni Association Board Members:
1) Abide by the Association's Charter and Bylaws.
2) Honestly and in good faith safeguard the interests of the Alumni Association.
3) Work diligently and conscientiously for the Alumni Association, demonstrating a team spirit.
4) Attend Board meetings and implement Board resolutions.
5) Do not, in any way, use the Alumni Association's name or alumni information for purposes other than the Alumni Association's.
Alumni Association President
President Qualifications:
Previous service as an Alumni Association Director, selfless dedication to alumni service, active participation in the Association's work, and demonstrated leadership, organizational, and communication skills; the ability to comprehensively manage the Board of Directors' affairs and arrange and carry out the Association's work.
President Selection:
Nominated by the current President, or jointly nominated by three or more Board members, with approval from a majority of more than two-thirds of the Board members voting at a meeting. Each President's term is two years; if re-elected, the term may not exceed two terms. Each Board member may co-nominate with other Board members once. If a new President is not elected, the current Vice President may temporarily serve as Executive President.
President's Responsibilities:
1) Responsible for maintaining communication between the Alumni Association and the Wuhan University Alumni Association, ensuring timely updates.
2) Responsible for liaison and collaboration with other alumni associations and the wider community.
3) Responsible for convening regular or irregular Board meetings and formulating work plans. (Convene a Board of Directors meeting at least once a quarter.)
4) Responsible for arranging the daily work of the Board of Directors and the Alumni Association.
5) Responsible for appointing a dedicated person to manage and oversee the Alumni Association's financial affairs, including accepting donations from alumni and the public, and reviewing the Association's various expenses.
6) Submit an annual work report to the Board of Directors.
7) Promote the Alumni Association and expand its influence through various social media platforms and social activities.
8) Subject to compliance with laws and regulations, regulate the operation and management of the Alumni Association's various social media platforms, including information releases and related matters.
9) Other matters as specified in the Alumni Association's Articles of Association.
III. Alumni Association Fund Management
This Alumni Association is a non-profit organization that accepts donations from individual alumni and the public.
The Alumni Association maintains a dedicated account for donations received, which is managed by a dedicated person. All funds received will be used for the daily operations and activities of the Alumni Association in an open and transparent manner.
A designated person, under the President's authorization, will report the Alumni Association's financial status to the Board of Directors annually.
IV. Alumni Association Sub-Organizations
All sub-organizations established under the name of the Wuhan University Alumni Association of Canada, including social media platforms, online forums, teams, clubs, and associations, shall be guided by the Alumni Association in accordance with the provisions of these Articles of Association.
V. Amendments and Supplements to the Articles of Association
Amendments and supplements to the Articles of Association must be proposed to the President by at least three current Board members and must be approved by a meeting of more than two-thirds of the Board members.
