Terms of Service for Umami

1. Nature of Service

Umami is a platform that connects merchants with surplus food to consumers. We do not produce the food; the quality and safety of the food are the sole responsibility of the merchant.

2. Payments and Transactions

• Payment Processing: All payments are processed through ABA PayWay. By using this service, you agree to comply with ABA’s terms and conditions.

• Finality: Ensure all payment transactions are successfully confirmed before closing the app to avoid order failures.

• Promotional Pricing: The "Total to Pay" displayed at checkout is the final price after all active Umami Discounts or Coupons have been applied. Users are responsible for verifying the discount is active before confirming the payment via ABA PayWay.
  
  

3. Account Deactivation Conditions

To successfully deactivate your account, the following conditions must be met:

• No outstanding orders or unpaid balances.

• No active disputes, complaints, or reports involving the account.

• All wallet balances must be withdrawn prior to deactivation; remaining credits are considered voluntarily abandoned.
  
  

4. Dispute Resolution

If an account is involved in litigation, investigation by authorities, or active complaints, Umami reserves the right to terminate or pause the account cancellation process without prior consent to preserve necessary data.

5. Refund Policy

Users must ensure all transactions are completed before deactivating. Once an account is deleted, rights to returns or refunds related to historical transactions (including those processed via ABA PayWay) are deemed automatically waived.

6. Limitation of Liability

• Umami is not liable for disputes arising from a user's decision to cancel their account or for any loss of virtual property (coupons, points, or vouchers) upon deactivation.

• Expiration and Forfeiture: Umami is not liable for the expiration of promotional codes or the failure of a user to apply a code before an order is placed. Once an account is deactivated, all unused coupons, discounts, and promotional vouchers are permanently forfeited and cannot be transferred or redeemed for cash.

7. Rules for Promotions and Coupons

• Non-Stacking Policy: Unless explicitly stated otherwise, "Coupon Codes" cannot be combined with "Automatic Discounts" (Flash Sales). The system will automatically apply the best available price.

• Usage Limits: Coupons are limited to one (1) use per user/device unless otherwise specified. Creating multiple accounts to bypass "New User" restrictions is a violation of these Terms and may lead to account suspension.

• Modification: Umami reserves the right to modify, pause, or cancel any promotion or coupon at any time without prior notice if fraudulent activity is suspected or the promotion budget has been reached.

• Minimum Spend: Coupons may be subject to a "Minimum Spend" requirement. This amount is calculated based on the Retail Value before platform fees are added.
